Introduction

FHI 360 (Family Health International), is seeking eModule and Video Development Service Providers for our Durham, NC office. FHI 360 operates programs under grants and contracts for Government and international agencies, educational institutions, foundations and corporations. eModule and Video Development jobs will be numerous, various, and range in size and scope. Estimated volume is provided below.

Organizational Overview

FHI 360 is a nonprofit human development organization dedicated to improving lives in lasting ways by advancing integrated, locally driven solutions. Our staff includes experts in health, education, nutrition, environment, economic development, civil society, gender, youth, research, technology, communication and social marketing — creating a unique mix of capabilities to address today's interrelated development challenges. FHI 360 serves more than 70 countries and all U.S. states and territories.

PURPOSE

FHI 360 is soliciting bids for a provider of printing and photocopying services, who will:

  • provide professional eModule and video development services
  • provide excellent customer service
  • deliver finished goods
  • provide discounted costs

There will be no public opening of proposals. FHI 360 is not obligated to make any award by virtue of having issued this solicitation.

PERIOD OF THE CONTRACT (Anticipated Schedule of Performance Period)

FHI 360 anticipates selecting one contractor to provide the range of services specified, however, the unqualified right is reserved to award to more than one contractor if it is determined to be in the best interest of FHI 360.The expected term of the contractis anticipated to be from date of contract execution through March 3, 2019, and may extended for up to one (1) year.

ATTACHMENT B

Scope of Work: eModule Development

FHI360 is soliciting bids for eModule and Video development. We seek eModule and video design and development expertise.

We are seeking support for the design and development of short, administrative related e-modules and/or screen capture videos, most with content already developed (power point format). eModule development with Storyline/Articulate products is preferred. Some products consist of slides with voice over, animation, pre-post assessment (simple 2 or 4 questions), and attention to sound learning principles is required. FHI 360 anticipates the need for approximately 6 to 8 modules per year. Please consider this volume when sharing cost estimates.

Instructions to Offerors

  1. ProcurementNarrativeDescription:TheBuyer(FHI360)intendstopurchaseservicesidentifiedinAttachment A. The Buyerintendsto purchasethe services(basedon deliverablesidentifiedin aScopeof Work).Theterm oftheContractshallbefromAwardDatethroughMarch 3, 2019,unlessextended by mutualagreementof the parties forup to one (1) additionalyear. The Buyer desirestoaward to a single supplier based on conformanceto the listedscope of work, the abilityto service this contract,and sellingprice but reserves the right to award to two (2) or more contractors if deemed to be in the best interest of FHI 360.
  2. Contract:Ifa ContractisestablishedasaresultofthisRFP, vendorunderstands that quantitiesindicatedinthespecifications (AttachmentB)areanestimateonlyandFHI360doesnotguarantee the purchase quantityofany service listed.

3.ProcuringActivity: FHI360shallawardthequantitiesand/orservicesandanyoptionquantities(if exercisedbyFHI360)toSellerbyaproperlyexecutedPurchaseOrderassetforthwithinthetermsofthis properly executedagreement.

4.ProposalRequirements.All supplierswillsubmitaquote/proposalwhichcontainsoffersforallitemsandoptions includedinthisRFP. FailuretosubmittheinformationrequiredinthisRFPmayresultinsupplier’s offerbeing deemed non‐responsive. Suppliersareresponsibleforsubmittingoffers, and anymodifications,revisions,or withdrawals,soastoreachFHI360’sofficedesignatedintheRFPbythetimeanddatespecifiedintheRFP.Any offer,modification,revision,orwithdrawalofanofferreceivedattheFHI360officedesignatedintheRFPafter theexacttime specifiedforreceipt ofoffersis“late” and willnot be considered unlessitisreceived before awardismade or the FHI 360ProcurementOfficer determinesthatacceptingthelate offer wouldnotunduly delaytheprocurement.TheSupplier’s proposal shall includethe following:

5.Past Performance.

A. DuringFHI360’sproposalevaluationprocess,FHI360wouldliketobetterunderstandyourprevious performancewithsimilaritems/services. Accordingly,Sellershallanswerthefollowingquestionsaspart of your officialresponsetothis RFP:Pleaseprovidethenamesandcontactinformationfortwoofyourcustomerstowhom youhavesold and delivered similar items/services in the past thirty-six (36) months.

B. FHI 360willuse pastperformanceinformationprimarilytoassessa Seller'scapability tomeet thesolicitationperformance requirements,includingtherelevanceandcurrencyoftheofferor's workexperience.FHI360mayalsousethisdatatoevaluatethecredibilityoftheSeller'sproposal. Inaddition,FHI 360may use pastperformance informationinmaking a determination of responsibility and also to submit to ourclient, to fulfill RFP requirements.

C. Inevaluatingpastperformance,FHI360mayusepastperformanceinformationobtainedfromsources other than those identified bythe Seller.

6.Forms: Suppliers(potentialbidders)mustinclude theirpricingin addition to AttachmentC–PriceSchedule. Suppliers mustindicate acceptanceofthepurchaserequirements,paymentterms,andnoteanyexceptionstotheRFP’s requirements.Failuretodosomayresultinadisqualification.AllattachmentsandSupplier’scompleteoffershall be fully incorporatedinto thewinningbidder’s resulting contract(this form).

7.QuestionsConcerningtheProposal.AllquestionsinregardstothisRFParetobedirectedtoBrenda Kinyon . Do not telephone the FHI 360 procurement office concerning this proposal, asverbalquestionswillnotbeanswered but only through the Questionnaire provided at the allotted time as noted. Thecut‐offdateforquestionsis2:00pm EST, Monday, February 20,2017.

8.PaymentTerms:NET30Daysafterreceiptoftheinvoiceviawiretransferorotheracceptableform.Suppliersmay propose alternative paymentterms andtheywill beconsideredintheevaluationprocess.

9. AlternativeProposals: Sellers are notpermittedtooffer“alternatives”shouldtheynotbeabletomeetthe listedrequirements.

10.EvaluationandAwardProcess: TheFHI360ProcurementOfficewillawardacontractresultingfromthis solicitationto theresponsibleSupplier(bidder)whoseofferconformstotheRFPandwillbemostadvantageous toFHI360,priceandotherfactorsconsidered.TheawardwillbemadetotheSellerrepresentingthebestvalue to FHI 360. For the purpose of this RFP, price,substantial conformance to service requirements and past performanceareofequalimportanceforthepurposesofevaluatingandselectingthe “bestvalue”awardee. FHI360intendstoevaluateoffersandawardanAgreementwithoutdiscussionswithSuppliers. Therefore,the Supplier’sinitialoffershouldcontaintheSupplier’sbesttermsfromapriceandtechnicalstandpoint. However,FHI 360reservestherighttoconductdiscussionsiflaterdeterminedbytheFHI360ProcurementSpecialist tobe necessary.The evaluation factors will becomprisedof thecriteria indicated on page 4.

SpecialNote: TheSupplier,byhisresponsetothisRFPandaccompanyingsignatures,confirmsthat thisRFPdocumentandallofitsattachmentsincludingFHI360standardtermsand conditions included inAttachmentFhavebeencarefullyreadandunderstoodandallrelatedquestions answered.

11.AwardNotice. Awrittennoticeofawardoracceptanceofanoffer will befurnishedtothe successfulofferorwithinthe timeacceptancespecifiedintheoffer,shallresultinabindingcontractwithout furtheractionbyeitherparty. Uponawardallwinningsupplierswillbeboundbythetermsandconditions specifiedinthis RFP.

14.ValidityofOffer. ThisRFPinnowayobligatesFHI360tomakeanaward,nordoesitcommitFHI360topay any costs incurredbythe Supplier inthe preparationandsubmissionof a proposal or amendmentsto aproposal.

15. Estimated Quantities: Unless otherwise indicated, the quantities reflected within the RFP documents, to the best of FHI 360’s knowledge, reflect projected consumption data. These quantities are not meant to infer or imply actual consumption figures or quantities that will be purchased by FHI 360 under the finalized contract but, pursuant to all RFP documents, these quantities will be used only as calculation figures to determine the successful offeror. FHI 360 makes no guarantee as to the actual quantity that will be purchased under the subsequent Master Agreement resulting from this RFP.

VENDOR SELECTION & CONTRACT AWARD

The final selection will be based on favorable costs and services, as well as other factors such as the ability to accept documents via electronic submission, delivery capabilities and business references.

VENDOR EVALUATION CRITERIA

All quotations will be reviewed, evaluated and scored based upon the criteria listed below. The point structure for evaluating the quotations is as follows:

RIGHT TO SELECT/REJECT

FHI 360 reserves the right to select and negotiate with those firms it determines, in its sole discretion, to be qualified for competitive quotations and to terminate negotiations without incurring any liability.

REQUEST FOR QUOTATION FIRM GUARANTEE

All information submitted in connection with this RFQ will be valid for sixty (60) days from the RFQ due date. This includes, but is not limited to, cost, pricing, terms and conditions, service levels, and all other information. If your firm is awarded the contract, all information in the RFQ and negotiation process is contractually binding.

RESERVED RIGHTS

All RFQ responses become the property of FHI 360, who reserves the right in its sole discretion to:

  • To disqualify any offer based on offeror failure to follow solicitation instructions.
  • Extend the time for submission of all RFQ responses after notification to all offerors.
  • Terminate or modify the RFQ process at any time and re-issue the RFQ
  • Issue multiple awards based on solicitation activities.
  • FHI 360 will not compensate vendors for preparation of their response to this RFQ.
  • FHI 360 shall not be obligated to order any minimum or maximum quantities of services or products and assumes no commitment, financial or otherwise.

ATTACHMENT

FHI 360GENERALTERMS AND CONDITIONS

1. INDEPENDENT ENTITY

TherelationshipofContractortoFHI 360isthatofanindependententity,andnothinginthisContract willbe construedascreatinganyotherrelationship. Assuch,Contractorwillcomplywithalllawsandassumeallrisks incidenttoContractor’sstatusasanindependententity. Thisincludes,butisnotlimitedto,responsibilityforall applicableincometaxes,associatedpayrollandbusinesstaxes,licensesandfees,andsuchinsuranceasisnecessary forContractor’sprotectioninconnection with workperformed underthisContract.NeitherContractornoranyone employedbyitwillbe,represent,act,purporttoact,orbe deemedtobe anagent,representative,oremployeeof FHI 360.

2. OFFERAGREEMENT

Thefollowing termstogether withthoseontheface of thisContract,otherdocuments asmaybe incorporated by referenceorattachedhereto,andadditionaltermsinanychangenoticeissuedtothisContract,constitutetheoffer ofFHI 360to theContractorand shall, when accepted,constitute theentireOrderor ContractbetweenFHI360 and Contractor.ThisContractshallbedeemedtohavebeenaccepteduponContractor’ssignedacceptanceonthecover ofthisContractorcommencementofperformance. Anyreferencehereintoanyproposal,quotation,orother communicationbyContractorshall,unlessindicatedto thecontrary herein, bedeemedtobelimitedtothe descriptionofthe services andtobe limitedby theterms set forth or incorporated byreferenceherein.

3. ASSIGNMENT

NeitherPartymayassignthisContractoranybenefits arisingfromthisContractwithoutthepriorwrittenconsent oftheother,and,unlessotherwiseagreedinwriting,therightsofanyassigneeshallbesubject toallset‐offs, counterclaim,andother comparablerightsarisinghereunder. FHI360shallnot,exceptasotherwiseagreedin writingbyFHI360,delegate orassignall orsubstantially allofonanyitemor service tobe furnishedunderthis Contract.

4.PROPRIETARY INFORMATION &CONFIDENTIALITY Contractorshallconsideralldata,documentation,drawings,specificationssoftwareandotherinformationfurnished byFHI360tobeconfidentialandproprietaryand shallnotdiscloseany such informationtoanyotherperson,oruse suchinformationitselfforanypurposeotherthanthatforwhichitwasintendedincompletingthisContract,unless ContractorobtainswrittenpermissionfromFHI360todoso. ContractoragreestoexecuteFHI360’sstandardNon‐ DisclosureAgreement upon request.

5. TERMSOF PAYMENT

Subjecttoanysuperseding terms on theface hereof, Contractor shall invoiceFHI360 andbepaiduponcompletion/acceptanceoftherequiredsupplies/services.Contractorshallbepaidnotlaterthanthirty (30)daysafterFHI360’sreceiptofanacceptableinvoiceandFHI360’sreceiptofthe completedproducts/services, together withanyrequireddocuments. Drafts will notbehonored.

6. COMPLIANCEWITHLAW

Contractor’sperformanceofworkhereunderandallproductstobedeliveredhereundershallbeinaccordancewith anyandallapplicableU.S.andUgandaExecutiveOrders, Federal,State,municipal,andlocallawsandordinances, and rules, orders,requirementsand regulations.SuchU.S.Federallawsshallinclude,butnotbelimitedto,theFair LaborStandardsActof1938 asamended,E.O.11246,“EqualOpportunity,”asamendedby E.O.11375,“Amending ExecutiveOrder11246RelatingtoEqual Employment Opportunity,”andassupplementedbyregulationsat41CFR Chapter60,“OfficeofFederal

ContractCompliancePrograms,EqualEmploymentOpportunity, Departmentof Labor”,the Copeland“Anti‐Kickback”Act(18USC874 and40USC276cand18USC874assupplementedby DepartmentofLabor regulationsat29CFRpart3,theDavis‐BaconAct,asamended(40USC276a‐a7)andas supplementedby

Unlessotherwiseagreed,governinglaw shallbethecommonlawoftheoperatingcountry.Inaddition,contractorshallabidebytherequirementsof41CFR §§60‐1.4(a),60‐300.5(a)and60‐741.5(a).Theseregulationsprohibitdiscriminationagainstqualifiedindividualsbasedontheir status as protectedveterans orindividualswithdisabilities,andprohibitdiscriminationagainstall individualsbasedontheirrace,color,religion,sex,ornationalorigin. Moreover,theseregulations requirethat coveredprimecontractorsandsubcontractorstakeaffirmativeaction toemployandadvancein employment individuals without regardtorace, color, religion,sex,nationalorigin,protected veteran status ordisability.

7. TITLE ANDRISK OF LOSS

Titletoandriskoflossof,eachproductand/orserviceto bedeliveredhereundershall,unlessotherwiseprovided herein, pass from Contractorto FHI360 uponacceptance of suchproduct/service by FHI360.

8. INSPECTION

(a) Contractorshallworkwithinprofessionalstandardsandlimitationsspecifiedonworkstatements,drawingsand

specificationscoveringtheworkandshallmakesuchinspectionsasaredeemednecessarytoinsureContractor compliance, unless deviation there fromisauthorizedinwritingby FHI360.

(b) AllshipmentsofmaterialsshallbesubjecttofinalinspectionbyFHI360afterreceiptbyFHI360atdestination. Ifmaterialsuppliedorworkperformed byContractorisfoundtobedefective,Contractorshallbegiventhe opportunitytocorrectanydeficiencies withinareasonableperiodoftime. If correctionof suchworkis impracticable, Contractorshallbearallriskafternoticeof rejectionand shall,ifsorequestedbyFHI360andatits ownexpense,promptly makeall necessary replacements.

(c) ContractorshallprovideimmediatenoticetoFHI360ofanypotentialfailureonthe partofitssuppliersto providesupplies/services requiredhereunder. Contractoris responsibleforany deficiencyonthepartofits suppliers. CONTRACTORSHALLBERESPONSIBLEFORANYCOSTSOFPROCUREMENTASMAYBENECESSARYFOR FHI360TOSECURETHESUPPLIES/SERVICES AS A RESULTOFCONTRACTOR’S INABILITY TOPERFORM THAT EXCEED THE AGREEDUPON PRICE HEREIN.

(d) FinalinspectionandacceptancebyFHI360shallbeconclusiveexceptforlatentdefects,fraud,orforanyrights providedby anyproductwarranty.

9. FORCE MAJEURE

TheContractorshallnotbeliablebyreasonofanyfailureinperformanceofthisContractinaccordancewithits termsifsuchfailurearisesoutofcausesbeyondthecontrolandwithoutthefaultornegligenceofContractor.Such casesmayinclude,butarenotrestrictedto,actsofGod,actsofgovernmentor municipalorotherauthorities,fires, floods,epidemics,quarantines,strikes,andlabordisputes.Suchcausesdonotincludedeficienciesonthepartofits suppliers.

10. GENERALWARRANTY

Contractor warrants all supplies/services tobe freefromall materials defects and expresslyrepresents thatall such requiredsupplies/servicesarecapableofperformingthefunctionserviceforwhichtheywereintended.Contractor agrees topassonall manufacturers’warranties to FHI360.

11. LIENS

Contractor agrees to deliver the products/services whichare the subject‐matter of this Contractto FHI360free and clear of all liens,claims,andencumbrances.

12. STOPWORK AND TERMINATION

(a) FHI360shallhavetherighttodirectContractortostop workatany time.Such direction mustbein writing and shallbeeffectiveforaperiodofnotmorethan30days afterwhichtimeContractormaycontinueworkabsent directiontodoso or anoticeof termination.

(b) This Contractmaybeterminatedupondefault ofeither Partyinmeetingits obligationshereunder.

(c) ThisContractmaybeterminatedforconvenience,withoutfaultofeitherParty,byFHI360withadvancewritten notice to Contractor. Contractorshall be paidfor work completedandshallbe reimbursedall actual costsfor work inprocessincurredtotimeof termination notificationinclusiveofanyassociatedadministrativecosts,restocking charges,contractorcancellationchargesandsettlementcosts. UndernocircumstancesshallContractorreceive more than theoriginal valueof this Contractor eachsubsequentTaskOrder.

(d) ThisContractmaybeterminatedforconstructivedefaultintheeventthattheFHI360hasreasonablecauseto believethattheContractorwillnotbeabletoperforminaccordancewith thetermsandconditionsoftheContract. Contractorshallbegivenareasonableopportunitytorespondtoanoticeofconstructivedefaulttermination. In theevent offailureoftheContractorto deliver/completeanypartof thisContract,then FHI360 shall,atitssole discretion,havetherightto acceptanydelivered/completedpartandunilaterallyreducetheagreeduponprice accordingly.

(e) FHI360acceptance ofpartialdeliveriesshallnotconstituteawaiver ofanyoftheContractor’sremaining obligationshereunder.

(f) Theprecedingparagraph(e) shallnotlimitany legalrightsofeitherPartytocancelthis Contractorsubsequent TaskOrdersbyreasonofanydefault,andFHI360further reservestherighttocancelthisContractorsubsequent TaskOrderswithoutfurtherliabilityforarticlesnotacceptedbyFHI360intheeventContractor commitsanactof bankruptcy,filesorhasfiled againstthe petitionofbankruptcyorinsolvencyor suffers anyreceivershipor other similar petitionto befiledforor againstit.

13. INSURANCE & WORK ONFHI360’S OR FHI360CLIENTPREMISES

ContractorshallmaintainadequateinsurancecoverageagainstclaimsarisingfrominjuriessustainedbyContractor

atanytimewhileworkinginFHI360’sfacilitiesandagreestobeliableforalldamagesclaimsarisingagainstFHI360 for which theContractor is responsible.

14. WORK PRODUCTPRESUMPTIVE FHI360PROPERTY

Allwritings,books,articles,computerprograms,databases,sourceandobjectcodes,andothermaterialofany naturewhatsoever,includingtrademarks, tradenames,andlogos,that issubjectto copyright protectionand reducedtotangibleform in wholeor inpartbyContractor inthe courseofContractor’s

service toFHI360shall be consideredaworkmadeforhire,orotherwiseFHI360property. DuringthisContractandthereafter,Contractor agreestotake allactionsandexecuteany documentsthatFHI360may consider necessarytoobtainormaintain copyrights,whether duringtheapplicationforcopyrightorduringtheconductofinterference,infringement, litigation,orothermatter(FHI360shallpayallrelatedexpenses). Contractorshallidentifyallmaterialsinwhich Contractor intends toexemptfrom thisprovisionprior tothe useor development of such materials.

15. RIGHTSINDATA

TheContractorunderstandsandagreesthatFHI360mayitselfandpermitothers,includinggovernmentagenciesoftheUnitedStatesandotherforeigngovernments,toreproducethroughbutnotlimitedtothe publication, broadcast,translation,creationofotherversions,quotationstherefrom,anyprovidedpublications andmaterials, andotherwiseutilizethisworkandmaterialbasedonthiswork. DuringtheContractandthereafter,Contractor agreestotake allactionsandexecuteany documentsthatFHI360may consider necessarytoobtainormaintain copyrights,whetherduringtheapplicationforcopyrightorduringthe conductofaninterference,infringement, litigation, orother matter(allrelatedexpenses to beborneby FHI360). The Contractorshall identifyallmaterials it intendstoexemptfromthisprovisionpriortotheuseordevelopmentofsuchmaterials. TheContractorshall defend,indemnify,andholdharmlessFHI360againstallclaims,suits,costs,damages,andexpensesthatFHI360may sustainbyreasonofanyscandalous,libelous,orunlawfulmattercontainedorallegedtobe containedinthework, oranyinfringementorviolationbytheworkofanycopyrightorpropertyright;anduntilsuchclaimorsuithasbeen settledorwithdrawn,FHI360 may withhold any sumsdue the ContractorunderthisContract.Contractoragreesto specificallyidentifytoFHI360anyandallcomputersoftwarelicenses(“includingshrink‐wrap”)asmayconveytothe FHI360. ContractoragreesthatanyandallcomputersoftwaredevelopedintheperformanceofthisContractor subsequent TaskOrdersusingFHI360moniesshall,unlessotherwiseagreed, becomeandremainthe propertyof FHI360

16.INDEMNIFICATION

TheContractorshalldefend,indemnify,andholdharmlessFHI360againstallclaims,suits,costs,damages,and

expensesthatFHI360maysustainbyreasonofContractor’snegligentor unlawfulactionsarisingfromContractor’s performance under this Contract.

17.LIQUIDATEDDAMAGES

IftheContractorfailstodeliverthesuppliesorperformtheserviceswithinthetimespecifiedinthisContract,FHI360 mayrequirethatContractorpay,inplaceofactualdamages,liquidateddamagesintheamountofonepercent(1%) ofthetaskordervalueforeachdayofdelay. IfFHI360terminatesthisContractinwholeorinpartfordefault,as providedundersection12above,ContractorisliableforliquidateddamagesaccruinguntilsuchtimethatFHI360 reasonablyobtainsdeliveryorperformancefromanotherContractor.Theseliquidateddamagesshallbeinaddition toany excesscostsforre‐purchase.Contractorwillnotbechargedwithliquidateddamages whendelay ofdelivery or performance is beyondthe control and without the faultor negligence oftheContractor.

18.DEBARMENT,SUSPENSION, INELIGIBILITY,AND VOLUNTARY EXCLUSION

ContractorcertifiesbyacceptanceofthisContractthatneitheritnoritsprincipalsispresentlydebarred,suspended, proposedfor debarment,declaredineligible,orvoluntarilyexcludedfromparticipationinthistransactionbyany U.S. Federal Governmentdepartmentor agencyandthehost government.

19.DRUG TRAFFICKING

FHI360reservestherightto terminate this Contract oranysubsequentTask Orders,todemandarefund,or take otherappropriatemeasuresiftheContractorisfoundtohavebeenconvictedofanarcoticsoffenseortohavebeen engagedin drugtraffickingasdefinedin 22 CFRPart 140.

21. COMPUTER SOFTWARELICENSES

ContractoragreestospecificallyidentifytoFHI360anyandallcomputersoftwarelicenses("includingshrink‐wrap") asmayconveytoFHI360.TheContractoragreesthat any andallcomputersoftwaredevelopedin theperformance of this Contractusing FHI360 monies shall,unless otherwise agreed,becomeandremainthepropertyof FHI360.

22. CONTRACTORTERMS ANDCONDITIONS

Thetermsandconditionsof thisContractshallsupersede anyothertermsandconditionsexceptthoseexpressly accepted by FHI360.

23. GRATUITIES

ThisContractshallbeterminatedforcause inaccordance withsection9aboveshoulditbedeterminedbyFHI360 thatContractorofferedor gaveagratuity(e.g.entertainment, gift,servicesormoney)to anyFHI360employeeor otherpersons responsiblefororconnectedto thoseresponsiblefor thedecisionto awardthisContract orthe acceptance of performanceunderthisContractandthat gratuitywas intendedtoobtainthisaward orfavorable treatmentduring performance of the Contract.

24. PAYMENT FORREIMBURSABLEEXPENSES

Requestsfor payment formaterialscostsunderTimeandMaterialsContractsmustbe supportedbyreceiptsfor all items invoiced.

25. INDEPENDENT PRICE DETERMINATION

Contractor certifies that—

(1)ThepricesinthisContracthavebeenarrivedatindependently,without,for thepurposeofrestricting competition,anyconsultation,communication,or agreementwithanyotherofferor,includingbutnotlimitedto subsidiariesorotherentitiesinwhichContractorhasanyownershiporotherinterests,oranycompetitorrelating to(i)those prices,(ii)the intentionto submitanoffer,or(iii)the methodsor factors usedto calculatethe prices offered;

(2)ThepricesinthisContractwerenotknowinglydisclosedbytheContractor,directlyorindirectly,toanyother

offeror,includingbut not limited to subsidiaries or other entities in whichContractor has anyownershipor other interests,oranycompetitorbeforebidopening(inthecaseofasealed bidsolicitation)orcontractaward(inthe caseofa negotiatedorcompetitive solicitation)unless otherwise requiredbylaw; and

(3)NoattemptwasmadebytheContractortoinduceanyotherconcernorindividual tosubmitornottosubmitan offerforthepurposeofrestrictingcompetitionorinfluencingthecompetitiveenvironment.Contractorunderstands andagreesthatviolationofthiscertificationwillresultintheterminationofthisContractorsubsequentTaskOrders for default aswell as exclusionfrom futuresolicitations.

26. ELIGIBILITYRULES FOR GOODS AND SERVICES

Contractorshallnotprocure:(i)Militaryequipment; (ii)Surveillanceequipment; (iii)Commoditiesandservicesfor support of policeor other lawenforcementactivities;(iv)Abortionequipment and services;(v)Luxurygoods and gamblingequipment,or(vi)Weathermodificationequipment. Contractorshallnot procureanygoodsorservices fromfirmsorindividualswhosenameappearsonthe"ListsofPartiesExcludedfromFederalProcurementandNon‐ procurementPrograms."

Priortoprocuringanyofthe followinggoods andservices,Contractormustobtainprior writtenapprovalfromtheFHI360ProcurementOfficer:(i)Agriculturalcommodities;(ii)Motor vehicles;(iii) Pharmaceuticals;(iv)Pesticides;(v)Usedequipment;(vi)U.S.Government‐ownedexcessproperty,or(vii)Fertilizer. Allprocurementsmustbe conductedin accordancewith22CFR228,RulesonSourceandNationalityfor Commodities and Services Financedbythe Agencyfor International Development, whichisincorporatedinto this Contractinitsentirety.

27. OCEAN SHIPMENT OFGOODS

Applicableforawardsfor$150,000ormoreandwhengoodspurchasedunderthisContractaretransportedto cooperatingcountriesonoceanvesselswhetherornotawardfundsareusedforthetransportation. Contractormustensure transport ona USflag commercialvessel. WhenU.S.flagvesselsarenot available,ortheirusewould resultina significant delay,the contractor mustcontact theFHI360ProcurementOfficerbeforeproceeding.

28. AIRTRANSPORTATION

InaccordancewiththestandardprovisionentitledInternationalAirTransportation,anyinternationaltravelrequires prior writtenapproval from the FHI360ProcurementOfficer.

29. AuthorizedGeographicCode:VendorshallcomplywiththeGeographicCodespecifiedbytheUS GovernmentPrimeContractwithFHI360.

30. OrganizationalConflictofInterest:TheVendorwarrantsthat,tothebestofhisknowledgeandbelief,and except asotherwisedisclosed,thereareno relevantfacts orcircumstancesthatmightindicatetheexistence ofor giverisetoactualorpotentialorganizationalconflictsof interest.Organizationalconflictofinterest,meansthat becauseofotheractivitiesorrelationships withotherpersons,apersoninunableorpotentiallyunabletorender impartialassistance oradvice,ortheperson’sobjectivityinperformingthecontractworkisormightbeotherwise impaired,oraperson has anunfaircompetitive advantage.

31. ExcusableDelays: TheVendorshallbeliablefordefaultunlessnonperformanceiscausedbyanoccurrence beyondthereasonablecontroloftheVendorandwithoutitsfaultornegligence.TheVendorshallnotify FHI360in writingas soonas it is reasonably possibleafter thecommencement ofany excusabledelay.

32. ExportControl: Vendorshallcomplyinallrespectswithallapplicablelocal,state,andfederallawsand regulations,as wellas allU.S.statutes,regulations,andadministrativerequirements regarding

relationshipswith non‐U.S. governmentaland quasi‐governmentalentitiesincludingbut notlimitedto theexport controlregulations oftheDepartmentofStateandtheInternationalTrafficinArmsRegulations(“ITAR”),theDepartmentofCommerce andtheExport AdministrationAct(“EAA”), theanti‐boycottandembargoregulations andguidelines issuedunder theEAA, andthe regulationsof theU.S.Department oftheTreasury, Office ofForeign Assets Control.

33. ForeignCorruptPracticesAct:Theanti‐briberyprovisionsoftheForeignCorruptPracticesActof1977 ("FCPA"),15U.S.C.§§ 78dd‐1”,et seq.,makesit unlawfulfor U.S. companies,aswell astheir officers,directors, employees,andagents,to corruptlyoffer ormakea corrupt payment ofmoneyoranythingofvalue toa foreign officialforthepurposeofobtainingorretainingbusiness.Vendoracknowledgesandunderstandsthathe/shemust complyfullywiththeanti‐briberyprovisionsoftheFCPA.

Specifically,Vendorunderstandsandagreesthatitshall beunlawfulfortheVendortopay,offer,promisetopay(orauthorizetopayoroffer)moneyoranythingofvalueto a foreignofficial inorder to assist FHI 360inobtainingor retainingbusiness foror with, or directingbusinessto, FHI

360.A"foreignofficial"meansanyofficeroremployeeofaforeigngovernment,apublicinternationalorganization,
