On motion ofMr. Johnston, seconded byMs. Lee-Sheng, the following resolution was offered as amended:

RESOLUTION NO. 127333

A resolution ratifying the attached Amendment No. 4 to the Agreement among Sisung Investment Management Services, LLC (“SIMS”) and the Parish of Jefferson, Jefferson Parish Hospital Services District Number 1 d/b/a West Jefferson Medical Center and Jefferson Parish Hospital District Number Two, d/b/a East Jefferson General Hospital to provide investment management services. (Parishwide)

WHEREAS, pursuant to Resolution No. 119752 dated the 10th day of October 2012, Jefferson Parish,Jefferson Parish Hospital Services District No. 1 and Jefferson Parish Hospital Services District No. 2 and SIMS entered into the Agreement for investment advisory services for the three year term of January 1, 2013 through December 31, 2015; and

WHEREAS, Amendment No. 1 was authorized pursuant to Resolution No. 123618, adopted on September 17, 2014, to provide an annual fee schedule applicable to the different asset classes that are to be separately and independently applied to Jefferson Parish, West Jefferson Medical Center, and East Jefferson General Hospital for the calculation of their separate and independent fees; and

WHEREAS, Amendment No. 2 was authorized pursuant to Resolution No. 125429, adopted on August 12, 2015, to extend the term of the Agreement for a period of two years toDecember 31, 2017; and

WHEREAS, Amendment No. 2 shall not apply to West Jefferson Medical Center or East Jefferson General Hospital pursuant to Resolution No. 125429 adopted on August 12, 2015; and

WHEREAS, Section 9 of the Agreement provides the Parish has the option to extend the Agreementfor an additional two year period to expire on December 17, 2017; and

WHEREAS, Jefferson Parish, and Jefferson Parish Hospital Services District Number One and SIMS wish to extend the contract pursuant to such provision.

WHEREAS, Amendment No. 3 was authorized pursuant to Resolution No. 126032, adopted on November 4, 2015, to extend the term of the Agreement to June 30, 2016; and

NOW THEREFORE BE IT RESOLVED by the Jefferson Parish Council of Jefferson Parish, Louisiana, acting as governing authority of said Parish;

SECTION 1.That the Attached Amendment No. 4 to the Agreement among SIMS and Jefferson Parish Hospital Services District Number 1 to provide investment management services is hereby ratified.

SECTION 2.The term of the Agreement shall be extended to August 31, 2016for investment advisory services for Jefferson Parish Hospital Services District Number One.

SECTION 3.All other terms and conditions of the Agreement will remain the same.

SECTION 4.The Chairman of the Jefferson Parish Council, or in his absence the Vice-Chairman, be and they are, hereby authorized to execute any and all documents necessary to give full force and effect to this resolution.
