NON-IMPUTATION AFFIDAVIT

The undersigned, being duly sworn, deposes and says,

1. That he (they) is (are) the of (“the Company”), which owns the premises described in the referenced Title Report situate in , New York.
2. The present shareholders (partners/members) have agreed to convey their shares (partnership/membership interests) in the Company to and Riverside Abstract, LLC (“Riverside”) has been requested to issue a non-imputation endorsement as part of its owner's coverage to.
3. To the knowledge of the undersigned, there are no existing unrecorded deeds, contracts, mortgages, leases, options to purchase, rights of first refusal, (other than those set forth in the above-numbered title report), agreements or other instruments adversely affecting title to said property; and that the Company has not done anything to create any lien, encumbrance, transfer of interest, creation of constructive trust, or other equity in the premises whatsoever, except as shown in the above-numbered title report or disclosed herein.
4. To the knowledge of the undersigned, there is no outstanding right in any person to the possession of the premises other than as set forth in the above-numbered title report or disclosed herein.
5. To the knowledge of the undersigned, no work or material for any improvement of the premises has been ordered, delivered or performed that could result in the filing of a mechanic's lien other than as set forth in the above-numbered title report.
6. There are no judgments or decrees or any orders or any of any court or officer for payment of money against the Company, unsatisfied, or any suit or proceeding now pending affecting said premises, except to the extent that judgments in pending suits would entitle the holder thereof to general execution; no proceeding in bankruptcy has ever been instituted by or against the Company and the Company has never made an assignment for the benefit of creditors.
7. The affiant makes this affidavit for the purpose of inducing Riverside to provide a non-imputation endorsement to its policy of title insurance in this matter, knowing that Riverside and its Underwriterwill rely on representations made herein, and that but for such representations, Riverside would not issue such endorsement.
8. The undersigned acknowledge(s) that he (they) have read the foregoing and fully understand the legal aspects of any misrepresentation and/or untrue statements made herein and indemnify and hold harmless Riverside and its Underwriter against any and all liability sustained by reason of its reliance upon the statements made herein.
