1.PURPOSEOFTHISAGREEMENT

The Partiesto this Agreement desire to engagein discussions regardingpresent and/orpotentialfuturebusiness relationships. This Agreement combines a non-disclosure, anon-competition, non-solicitation, non-circumvention and non-competition agreement.The Partiesintend to engagein substantivediscussions andsharingofconfidentialinformation regardingcertain newand usefulbusiness opportunities,business contacts,tradesecrets,business entityformation andstructuring.

Inconnectionwiththese discussions, itmaybe necessaryand/ordesirablefortheParties toprovidetheotherwith,orallowaccess to, proprietary,technical, orbusinessdata, and/orotherconfidential information (collectivelythe "ConfidentialInformation").Therefore,the Partiesherebyagree that theyare bound byan obligation ofconfidentiality.

The Partiesboth believe, and herebyagree, thatConfidentialInformationhassignificantcommercialvaluethat would be diminished byunauthorized disclosure. Accordingly,thecommitmentsofconfidentialityin this Agreement areacondition to the Parties’willingness to engagein thecontemplatedbusiness discussions and planning.

The Partiesagree that theyshallnot use anyadvantagesderivablefromsuchinformation in its ownbusiness oraffairs,unless thesameis done pursuant toa newagreementwithallothersignatoriestothis document. Eachsigningpartyshallbe held responsibleandliablein case ofa breach ofthis Agreement both in a professionalandpersonal capacity.

2.CONFIDENTIALINFORMATION

ConfidentialInformationshallbe defined as anyinformation specificallyidentified as “Confidential”priortodisclosure to the otherParty.This identificationshallbe bywayofformalcorrespondence(letter,faxor email)addressed to the otherPartyoutliningtheproposedinformation to be disclosed(without giving specificdetails), requestingthe receiving Partytorecognize this as ConfidentialInformationand thereforebeingboundbythis Agreement. ThereceivingPartyhas theright toaccepttheinformationunderthis Agreement orto decline theinformation,in whichcaseitwillnot be provided.

3.OBLIGATIONOFCONFIDENTIALITY

The Partiesagree that whenreceipt ofanyConfidentialInformationhasoccurred:

3a. ThereceivingPartyshallnot disclose orcommunicate ConfidentialInformationtoanythird party, except as herein provided. ThereceivingPartyshallprotectsuchinformation fromdisclosure by reasonablemeans,including but not limited to at least thesameminimallevel ofsecuritythat thereceivingPartyuses forits mostcrucialproprietaryand tradesecret information.

3b. ThereceivingPartyshall reasonablyprotecttheConfidentialInformationwithnotless than thesamedegree ofcare exercised byits own personnelto protectits own, orpublicationofits own, mostvaluableconfidentialand proprietaryinformation.

4.OBLIGATIONOFNON-COMPETITION

The non-competition provisions ofthis Agreement are an essentialandmaterialpart ofthe total agreement, bywhich the Partiesagree theyshallnot use anyadvantagesderivablefromsuchconfidentialinformation in theirown business oraffairs,unless thesameis done pursuant toa newagreement executed byallsignatoriesto thisdocument.

5.NON-CIRCUMVENTION

The Partiesherebyagree on behalfofthemselves, theirofficers,directors,agents,associatesand any related parties,that theywillnot, directlyorindirectly, contact,dealwith orotherwise becomeinvolvedwithanyentityoranyotherentitiesorpartiesintroduced, directlyorindirectly, byorthrough the other party,its officers,directors,agentsorassociates,forthe purpose ofavoidingthe payment to the other Partyofprofits,fees orotheramounts,withoutthespecificwrittenapprovalofthe otherParty.

6.NOREPRESENTATIONS

The Partiesboth understand that each Partymakesnorepresentation orwarrantyas tothe accuracyor completenessoftheinformation it provides. The Partiesboth agree thatneitherParty,noranyofits advisers, representatives,agents,oremployees shallbeheldliableforutilizationofConfidential Informationwhichresultsfromthe otherParty’suseofsaidinformation.

7.TERM

This Agreement shall, bymutualconsent ofthe Parties, remainin force and effectforaperiodofsevenyears fromthe date signed and executed byallparties,withtheeffective date beingthe date onwhichthefinal signatureis affixed hereto.

8.JURISDICTION

Thejurisdictionforthis Agreement is globalandworldwide as governed byguidelinessetforth and to bearbitratedifdispute occurs, firstlybythe InternationalChamberofCommerce. Should eitherPartyassert that aviolation has occurred; the assertingPartyshall be entitled to take action toremedytheviolationinthelocaleand/orlegal jurisdictionin which theviolation occurred, and/orin anyotherlocaleor jurisdiction(s)whichis appropriate,in the opinion ofthe assertingPartyand theircounsel.

9.MISCELLANEOUS

9a. As usedin this Agreement, thefollowingterms shallhave thefollowingmeanings:"Agentsor employees”includethe directors,officersand employees ofanyoftheparties. It alsoincludes anycorporation, partnership,association,business trust,contractualorganization, group, orotherentityofwhich eitherPartyis amember,officer,director,agent, trustee,beneficiary,orhas a position similartotheaforementioned.

9b. No right oflicense,eitherexpress orimplied, underanypatent,copyright, tradesecret orother intellectualpropertyright is granted hereunder.

9c. Noagencyorpartnership relationshipis created betweenthe Partiesbythis

Agreement.

9d. NoPartyhas an obligation underthis Agreement to purchase anyservice oritemfromthe other Party,orto offeranyservice oritemforsale to the otherPartyand thatanyagreement to haveabusiness relationship betweenthe partieswillexist onlywhensuchagreement is in writingand dulyexecuted byallthe Partieshereto.

9e. ANYand ALL additions,modifications,andwaivers ofthis Agreement mustbemadein writingandsigned byallParties.However, thefailure ofa Partytoinsist onfullcompliancewithanyprovisions ofthis Agreement in a particularinstance shallnotprecludeitfromrequiringfullcompliance thereafter.

9f. This Agreement is made andshallbegoverned andconstrued in accordancewiththelaws ofthejurisdiction underwhich therespectivecompanies arelocated,oranyotherapplicablejurisdiction. Thepropervenueforanyaction arisingfromorinconnectionwiththeinterpretationorenforcementofthis Agreement shallbe decided bytheclaimingParty.

9g. Ifanyportion ofthis Agreement shallbe heldinvalid,suchinvalidityshallnot affectthe other provisions hereof, and to this extent,the provisions ofthis Agreement are to

be andshallbe deemedseverable. IfanyPartyhereto incurslegal fees, ifalegal actionisinstituted,toenforce the terms ofthis Agreement ortorecoverdamages orinjunctive reliefforbreach ofthis Agreement, itis agreed that thesuccessfulorprevailingpartiesshall be entitled toreasonable attorneyfees and othercostsin addition to anyotherrelieftowhichit ortheymaybe entitled.

This Agreement constitutesthe entire understandingbetweenallthe Partiesandsupersedes allprevious understandings,agreements,communications and representations,whether writtenororal, concerningthediscussions byandbetweentheParties hereto and theConfidentialInformation.

10.MUTUALITY

Totheextentthatconfidentialinformationisdisseminatedorexchangedbybothparties,suchinformationshallbeconfidentialas to both Parties.

11.NON-SOLICITATION

The Partiesherebyconfirmthat neithertheynoranyone on theirbehalforanyone elsehassolicited inanyway, and no document received orthat willbereceivedshallbedeemedto beasolicitation. Additionally,both Partiesconfirmthat there has not beenanyofferto buyorsellsecurities and that this oranyotherdocument fromeitherPartyis not intended to be an offerto buyorsellsecurities.

12.COMPENSATION

Itis herebyunderstood that the partswillarrive at amutuallyaccepted methodof receiving payment andcompensation.

13.BASISOF INFORMATIONANDMANAGEMENTACTIONS

The Partiesacknowledge that the otherPartyobtainsawidevarietyofavailableinformation fromnumerous sources, and therecommendations, advice orbusinessactions developed orcarried out byeach Partyare based upon the professionaljudgment oftherespective Party,its employees,representatives,underwriters,andagents.ThePartiesacknowledgesthattheotherPartydoesnot guaranteethe resultsofanyofits business actions,except as required underthe terms ofthisAgreement.TheParties also acknowledges that the otherParty’s,management,employees, underwriters, and agentsare not actingin anyformofFiduciaryDutyto the otherParty.Both Partiesagreetoseek out licensed professionalsin the areas oflegal, professional,andfinancial priortomaking anyfinancial decision, where appropriate.

14.LEGAL/PENALTY NOTICE

Bysigningthis agreement the Partiesagree that they/theircompanies and/oranyoftheir related entitieswillbesought afterimmediatelyforinjunctiverelief forviolatingthisagreement.Thesigningpartiescanbe held personallyliable. BysigningbelowthisAgreement becomes fullybindingand enforceable.

15.EXECUTION

INWITNESSWHEREOF,the Partieshereto haveindividuallyand bytheirdulyauthorizedrepresentativesexecuted and delivered this Agreement, to be effectiveas ofthe date statedbelow.
