Said parties are known herein as Grantees, inasmuch as they have been awarded a VCDP grant by the Secretary of the Agency of Commerce and Community Development (Grantor) on <DATE>.

Under the authority provided by the Vermont Community Development Act [10 VSA Ch. 29], the Grantees do hereby form a consortium, and contract severally and jointly, for the purpose of administration and implementation.

Further, the Grantees do hereby designate a Lead Grantee to act as agent for the Consortium.

IIRights and Responsibilities of Grantees

A)Delegation to Lead Grantee

1)Except as may otherwise be provided herein, the Grantees do hereby delegate to the Lead Grantee such authority as may be necessary to discharge the responsibilities of this Contract.

2)The <TOWN/CITY/VILLAGE> of consents to serve as and is hereby empowered to serve as the Lead Grantee.

3)Except as may otherwise be provided herein, the Lead Grantee shall have responsibility and authority for the administration and implementation of the program set forth in the Grant Agreement dated <DATE>.

B)Reference to Grant Agreement

In addition to the responsibilities set out in this contract and in consideration of the funds awarded to Grantees pursuant to G.A. # , attached hereto and incorporated by reference, Grantees, by the execution of this contract, agree to be jointly and severally bound and liable for the performance of all of the obligations enumerated in said Grant Agreement as if the same were set out in full herein.

C)Policy

The determination of policy for the administration and functions beyond the provisions of this Contract shall be through the express approval of the Legislative Bodies of all the Grantees.

Grant Administration

IIIAmendments, Changes, Extensions, and Termination

A)Amendments to the Grant Agreement, budgetary changes, extensions of time, and/or termination-for-convenience shall require the express consent of the Legislative Bodies of all Grantees, but shall not be made unless in accordance with said Grant Agreement.

B)This Contract may be amended upon the express written approval of the Legislative Bodies of all Grantees. The Agency shall be notified prior to any such amendment and shall receive a copy of all amended contracts.

IV)Term of This Contract

This Contract shall take effect upon its execution and shall run concurrently with and terminate on the same date as the Grant Agreement.
