VII. TERMS AND CONDITIONS

Eligibility and Payment

All Exhibitors must be GEO members. An invoice has been included with thisexhibitor agreement. Payment terms are net 30 days. Booth space will be assigned according to the date full payment is received. Booths will not be considered reserved until full payment is received.

Exhibitor Hosted Event

Any type of hospitality suite, event or private function scheduled by Exhibitorbeyond that provided by GEO as a part of this agreement, held either at the conference hotel or any other venue, may not begin until the conference and exhibition has closed officially for that day and must not conflict with any other conference activity. Any violations may result in exclusion from future GEO events and speaking opportunities. Official conference hours are referenced in Paragraph II above.

Security

Perimeter security coverage of the exhibit hall will be furnished from move-in until move-out of the conference. Exhibitors are responsible for the security of their booth and for any loss or damage to their property during all published show hours. GEO strongly encourages Exhibitors to remove laptops and valuables from the exhibit area at the end of the exhibit hours each day. GEO officers, staff, volunteers, the conference hotel and the event decorating company will not be liable or responsible for the property of the Exhibitors or participants from damage, theft, loss, fire, accident or other causes.

Insurance

Exhibitor agrees to maintain insurance that will fully protect GEO, the conference hotel, and the event decorating company, from any and all claims of any nature whatsoever, including claims under workers’ compensation, and for personal injury, including death, which may arise in connection with the installation, operation or dismantling of the Exhibitor’s booth. Exhibitor agrees to indemnify and hold harmless GEO, the conference hotel, and the event decorating company from any such claims.

Event Cancellation

GEO will not be liable for failure to hold the conference as scheduled due to any acts beyond GEO’s control. Payments will be refunded in that event. Any actual expenses incurred in connection with the conference exhibition will be deducted if it is cancelled within 90 days or less prior to the opening date due to any acts beyond GEO’s control, which make it impossible or impractical to hold the conference exhibition. GEO reserves the right to make changes in arrangements as necessary and shall have the final determination and enforcement of all terms and conditions. GEO also reserves the right to review booth contents and to advise Exhibitors to make necessary changes to ensure the integrity of the conference is upheld.

Indemnity

Each party shall be responsible for any damages (including property damages and/or personal injuries) suffered or incurred by the party or any employee, agent or guest of such party, as applicable, caused by the other party or its employee, agent or guest. Each party (indemnitor) agrees to indemnify and hold harmless the other, its owners, operators, all entities affiliated with each of them and their respective officers, directors, employees and agents (indemnitees) of and form all actions, costs, claims, losses, expenses and/or damages, including reasonable attorneys’ fees arising our of or resulting form the negligence or willful misconduct of the indemnitor.

Act of God

The performance of this Agreement by either party is subject to acts of God, war, government regulation, disaster, civil disorder, curtailment of transportation facilities, or other emergency over which either party has no control, making it illegal or impossible to provide the facilities or to hold the function. This Agreement may be terminated for any or more of such or similar reasons by written notice from one party to the other and a full refund provided of any monies paid to date, less a prorated share of any nonrefundable expenses made to date.
