FRANCIS BRENNAN’S GRAND TOUR APPLICATION FORM 2016

You are applying to be considered for inclusion in Francis Brennan’s Grand Tour, a television programme that Waddell Media intends to produce and initially transmit on RTÉ.

The cost of the trip including flights, transfers and accommodation on a B&B basis, daily tours and entrance fees is €700 per person (including taxes and charges) based on two people sharing (single room supplement applies). Booking terms and conditions apply.

You must be aged 18 years old on or before 1 April 2016 to apply. You must hold a passport valid for a minimum of 6 monthswith no travel restrictions.

It will be necessary for you to visit your personal health carer for any necessary vaccinations.

You must be available to travel from 12thMay 2016 to 22ndMay 2016

TERMS & CONDITIONS OF APPLICATION

1. Introduction

1.1Your application to take part in the television series called Francis Brennan’s Grand Tour (“Programme”)shall be deemed to be an unconditional acceptance of these Terms & Conditions of Application (“Agreement”).

1.2You hereby warrant that you have truthfully and accurately completed this application form and acknowledge that the producer, Waddell Media Limited (the “Company”) may in its sole discretion exclude your participation in and any contribution made by you in the Programme if at any stage you supply or have supplied untruthful, inaccurate or misleading information about yourself or fail to abide with any reasonable instructions of the Company.

2.Eligibility to participate

2.1Participation in the Programme is only open to persons aged 18 years or over on or before Friday 1st April 2016 with a valid passport (valid for a minimum of 6 months). Employees of the Company and members of their immediate families (including any live-in partner) and the commissioning broadcaster and any associated companies and/or agencies are ineligible to participate.

2.2Completed application forms together with a photograph must be received by the Company no later than midnight Friday 12 August 2011 by email to or by post to Francis Brennan’s Grand Tour Applications, Waddell Media Limited, 7-12 St. Helen’s Business Park, Holywood, Co. Down, BT18 9HQ, Northern Ireland.

2.3If requested to do so by the Company, you must provide evidence of your age.

2.4Only one application per person will be considered for the Programme and that any travel companions nominated by you in your application form must also complete a separate application form.

2.5You agree that any application forms which are not fully completed, incomprehensible, lost in transit or incorrectly addressed or are not received by the Company (for whatever reason) will not be considered by the Company.

2.6The Company shall be under no obligation to acknowledge or respond to each application but will endeavour to do so only where reasonable.

2.7The Company shall have the right to determine your eligibility to take part in the Programme in its sole discretion. Neither the Company nor the commissioning broadcaster shall be responsible to refund any costs or expenses however so incurred in applying to participate in the Programme.

3.The Programme

3.1The Company proposes but does not undertake to broadcast, exhibit or otherwise exploit the Programme.

4.Health and safety

4.1By entering this Agreement you confirm and warrant that, to the best of your knowledge, you have provided sufficient information to the Company to determine your physical and mental ability to participate in the Programme.

4.2You must take all reasonable steps to ensure your own health and safety. Any behaviour or act, which the Company considers to pose any medical, security or safety risk may lead to your immediate exclusion from the Programme.

4.3You are obliged to take all reasonable steps to ensure the safety standards and appropriateness of your behaviour and acts during the making of the Programme and you acknowledge that your participation in the Programme is at your own risk.

4.4You agree not to carry on your person (or in your possession or control) or to purchase or to consume during the making of the Programme any illegal substances.

4.5You will comply with all directions of the Company in respect of health and safety and failure to do so may lead to your exclusion from the Programme.

5. Rights

5.1.Should you be selected to take part in the Programme you agree and undertake to enter into additional contracts with the Company including without limitation any release forms or contributor agreements and you agree to abide by the terms therein.

5.2.In consideration of €1 (one euro) (the receipt of which you hereby acknowledge) you hereby with full title guarantee irrevocably assign to the Company by way of an assignment of present and future copyright the entire copyright and all other rights title and interest of whatsoever nature in the Programme absolutely in all languages and throughout the universe in perpetuity to the extent permitted by law and furthermore shall grant to the Company:

5.2.1all consents necessary to enable the Company to make the fullest use of any contribution by you in the Programme (or any part thereof) and any related programme throughout the universe in perpetuity by any and all means in any and all media, whether now known or hereafter developed or discovered, without liability or acknowledgement to you;

5.2.2the right to reproduce your name and photograph by all means and in all media throughout the world and perpetuity for the purposes of advertising and publicity for the Programme; and

5.2.3the right to edit, copy, add to, take from, adapt or translate any recordings or footage as the Company see fit and, in respect of your contribution, you irrevocably waive the benefits of and agree not to assert any provision of law known as "moral rights" or any similar laws of any jurisdiction.

6. Warranties

6.1You hereby warrant, represent and undertake to the Company that:

6.1.1you are free to enter into and to perform this Agreement and have not entered and will not enter into any professional or other commitment which would or might conflict with the full and due rendering of your obligations hereunder;

6.1.2you will notify the Company immediately if during the term of the Agreement there are any changes to your circumstances that would conflict with or prevent the due rendering of the Contribution hereunder or undermine the format of the Programme.

6.1.3you will ensure that your participation will not (whether by way of speech, inflection or gesture or otherwise) contain any defamatory matter or breach any contract or duty of confidence or constitute contempt of court nor breach any provision of any statute or any regulations made there under nor bring the Company and/or the commissioning broadcaster of the Programme into disrepute;

6.1.4the rights hereby granted and assigned are vested in you absolutely and you have not previously assigned, licensed or in any way encumbered the same so as to derogate from the grant and assignment hereby made nor will you so assign, license or encumber the same;

6.1.5you warrant that you have disclosed in writing full details of any and all criminal convictions, criminal charges and/or criminal and/or civil proceedings of any kind whatsoever from any country. For the avoidance of doubt a criminal conviction shall include any unspent convictions, initial plea, verdict or finding of guilt, plea of no contest, or pronouncement of sentence by a trial court, even if that conviction may not be final or sentence actually imposed, until appeals are exhausted; and

6.1.6you further warrant that you are not subject to any legal proceedings (whether criminal or civil) in any part of the world that might prevent you from participating in the Programme and that you will inform the Company immediately in writing if you become aware of any such potential or actual legal proceedings.

7. Data Protection & Confidentiality

7.1Information and data (personal data) which is provided by you as part of your application will be held and used by the Company, their agents, suppliers and contractors solely in for the purposes of producing the Programme.

7.2You agree and accept that the Company may use the information you have provided in this application form to verify your age and identity and to carry out background checks with law enforcement and other government agencies.

7.3 By completing and submitting the application form you will be consenting to the Company using sensitive personal information that you provide (for example relating to your health or to any civil judgments or criminal convictions) for the purpose of assessing your suitability to take part in the Programme.

7.4You agree and undertake not to engage (either directly or indirectly) (or authorize any third party to do the same) in any public comment, press, solicitation of public support, publicity or other discussions with any third party, media/multimedia outlet or internet site or interactive platform (including without limitation, You Tube, Facebook, Twitter, Yahoo!, MSN) about your application to take part in the Programme, your fellow applicants/participants in the Programme, information about the Company or its group companies, details of conversations, events and other happenings involving you and/or the other participants in the Programme which occur before, during or after the filming of the Programme without the Company’s prior written approval (such approval may be granted or withheld at the Company’s sole discretion).

8.Liability & Indemnity

8.1YOU AGREE TO RELEASE THE COMPANY AND BROADCASTER FROM AND THE COMPANY SHALL NOT BE LIABLE FOR ANY UNFORESEEN COSTS, EXPENSES, DAMAGES, LIABILITY OR INJURY ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE PROGRAMME. THIS EXCLUSION DOES NOT INCLUDE ANY LIABILITY FOR NEGLIGENCE BY THE COMPANY OR DEATH OR PERSONAL INJURY ARISING OUT OF SUCH NEGLIGENCE.

8.2THE COMPANY ACCEPTS NO LIABILITY (AND EXCLUDES ALL LIABILITY) FOR ANY LOSS OF PROFIT, BUSINESS, CONTRACTS, REVENUES OR ANTICIPATED SAVINGS OR FOR SPECIAL, INDIRECT OR CONSEQUENTIAL LOSSES OF ANY NATURE HOWSOEVER ARISING.

8.3OTHER THAN AS EXPRESSLY STATED IN CLAUSE 8.1, THE COMPANY SHALL HAVE NO RESPONSIBILITY FOR AND SHALL ACCEPT NO LIABILITY (AND EXCLUDES ALL LIABILITY) FOR ANY DAMAGE, PERSONAL INJURY OR DEATH ARISING OUT OF ANY HAZARDOUS ACTIVITIES ENTERED INTO BY YOU DURING YOUR PARTICIPATION IN THE PROGRAMME.

8.4YOU WILL INDEMNIFY AND KEEP THE COMPANY AND THE BROADCASTER FULLY AND EFFECTIVELY INDEMNIFIED AGAINST ALL ACTIONS, COSTS, LOSSES, CLAIMS AND EXPENSES OF WHATSOEVER KIND OR NATURE ARISING FROM ANY BREACH OR NONPERFORMANCE OR THREATENED BREACH OR NONPERFORMANCE OF ANY OF THE WARRANTIES, REPRESENTATIONS, UNDERTAKINGS OR OBLIGATIONS ON YOUR PART CONTAINED IN THIS AGREEMENT.

9.Termination

9.1The Company shall be entitled by notice to terminate this Agreement if you fail, refuse or neglect to perform any of its obligations hereunder or are otherwise in breach of any obligation or warranty contained in this Agreement or if any act or conduct by you shall prejudice the production or successful exploitation of the Programme or if you are incapacitated by illness or otherwise. Notwithstanding termination of this Agreement, the Company shall be entitled to all rights of compensation (where relevant and applicable) and all rights granted and assigned to it under this Agreement and all clauses that are intended to survive termination shall continue in force.

10.General

10.1Company shall have the right to assign the rights under this Agreement in whole or in part provided that such assignment shall not relieve the Company of its obligations hereunder.

10.2Company shall not be under any obligation to include and /or use any recordings or footage of you and/or to broadcast, televise and/or otherwise exploit any contribution which you may have made to the Programme hereunder.

10.3Save to the extent expressly set out herein, this Agreement is not intended to nor shall it create any rights, entitlements, claims or benefits enforceable by any person who is not a party to it.

10.4This Agreement sets out the entire agreement between the parties at the date hereof relating to your participation in connection with the Programme and supersedes any prior agreement or arrangements (whether written or oral) between the parties relating thereto.

10.5This Agreement shall be governed by and construed in accordance with laws of Northern Ireland and the courts of the Northern Ireland shall be the courts of competent jurisdiction in respect of matters arising in connection with this Agreement.
