Waratah-WynyardCouncilisinvitingExpressionsofInterestfrompersonsinterestedinoperating commercial tours of Table Cape Lighthouse.
TableCapeLighthousewasthefirstCommonwealth-operatedlighthouseinTasmaniatobeopenedtothepublicfortoursin2010,throughauniquearrangementbetweenAustralianMaritimeSafety Authority(AMSA),TasmaniaParksandWildlifeService(PWS)andWaratah-WynyardCouncil (Council).It has remained a functioning maritime navigational aid since 1888.
Theheritage-listedlighthouseissituatedinaStateReserve(managedundertheNationalParksand ReservesManagementAct2002)atopTableCape,aspectacularvolcanicplug overlooking Bass Straight near Wynyard, in North-West Tasmania.
2.RESPONDENT SUBMISSIONS
2.1.Purpose of Expression of Interest
TheExpressionofInterestprocesscallsforthepresentationofaproposalforthe operationoftours. Theproposalshouldincludeinformationdemonstratingrelevantexperience,andprofessionaland businesscapacity.
ResponsestotheExpressionofInterestwillbeassessedbyapanel(theAssessmentPanel)against the assessment criteria outlinedin AppendixOne.
Respondentsmayalsobeinvitedtoprovideapresentationand/orbeinterviewedontheir Submission by the Assessment Panel.
2.2.Site tour for interested persons

3.SITE PROFILE
3.1.Site history
TableCapeLighthousehaslongbeenaniconofthemunicipality.Constructedinthe1880sitwas firstliton1stAugust1888andacommunityassociatedwithkeepingthelighthouselitandmaintaineddevelopedaroundit.Outlinesinthegrasswithintheprecinctareallthatremainof thoseearlybuildingsbutevidenceremainsinotherforms–thebaytreeandspringfloweringbulbs remindingvisitorstothesiteoffamilieswhomadeahomeonTableCapeoveracenturyago.AmorecomprehensivehistoryofthesiteiscontainedwithintheTableCapeLighthouseConservation Management Plan prepared by Emma Lee in 2009 for Waratah-Wynyard Council.

In1998theCommonwealthhandedoveralllighthousesinTasmaniatotheCrownandthen negotiatedunderaHeadsofAgreementtoleasebackalltheoperationallighthousesincludingTable CapeLighthouse.IncludedwithintheHeadsofAgreementwasaconditionthatlicensestooperate tours within these operational lighthouses couldbe entered into.
TheWaratah-WynyardCouncilembracedthetourismpotentialofthelighthousemorethanten yearsago,whenitbegantheprocessofseekingtohavethelighthouseopenforpublictours. AgrantfromtheCommonwealthDepartmentofResources,EnergyandTourismin2008madeit possibleforCounciltocompletetheinternalmodificationstothelighthousenecessarytoenable safepublicaccesswhilstpreservingitsheritagevalues.Modificationstotheexternalrailingswere undertaken by AMSA to complete the transformation.
In 2009,theMinisterforPrimaryIndustries,Parks,WaterandEnvironmententeredintoasub-licence withtheCounciltoenableittoofferaccesstothelandandalicence to acommercial tour operator to conduct tours within the lighthouse.
In2010,itbecamethefirstCommonwealth-operatedlighthouseinTasmaniatobeopentothe public for commercial tours, and one of only 14 nationally at that time.
In2011,AMSAreceivedTasmanianHeritageCouncilapprovaltorebuildtheentrystairstoincreasesafe access to the tower. Since 2011, the lighthouse tours have been under commercial operation through this “Licence to Conduct Tours agreement”.
3.2. Site Infrastructure
Theentrancetothelighthouseprecinctismarkedwithaheritagepostandrailfencewhichalsoacts toprotectagravelocatedadjacenttotheentry.Thisistheburialsiteofthesonofthefirst LighthouseKeeper.Descendantsofthisfamilystilllivelocally,andwereimportantindocumenting the historyof the site.
Thereisparkingforapproximately12carsandtwobuseswithintheturningcircle.Large interpretivepanelslocatedadjacenttothelighthouseprovideinsightintotheheritagesignificanceof thesite.Apathwaybetweenthelighthouseprecinctalongthecoastlinetoalookoutprovidesa 30-45minute return walk option for visitors.Picnic tables and seating are also provided.
Therearenotoiletfacilitieswithintheprecinct.TheclosestwouldbebyarrangementwithVan Diemen Quality Bulbs Farm Shop or in Wynyard township10minutes drive away.
ThelighthouseisaccessedviaLighthouseRoadwhichhasaboomgatesecuredeachnightandreopened each morning.

4.BACKGROUND INFORMATION
4.1.Current operating context
Council received approval via a sub-licence from the Minister for the Environment, Parks and Heritage to offer a sub-licence to operate tours of this important heritage tourism asset and offered the first licence for tours of the lighthouse inJune 2010to an operator.
Council officers commenced an EOI process in May 2013 seeking submissions from the community to select a new operator of Table Cape Lighthouse tours following the then operator’s decision not to renew their licence to conduct tours.
At the September 2013 Council meeting the recommendation to conclude the Table Cape Lighthouse Expressions of Interest (EOI) process and consider a second EOI process for the operation of tours in spring 2014 was adopted.
In 2014 a new operator commenced anagreement to deliver tours at the Lighthouse. In July 2017 the operatoradvised Council that they would not be seeking a further agreement to deliver the Table Cape Lighthouse Tours.
4.2.Cultural heritage values
ThelighthousewaspermanentlylistedontheTasmanianHeritageRegister(#5147)in1988aspart oftheTableCapeLightStationprecinct.Thelighthousewasrecordedasbeingofparticular significance, whereby:
Theconstructionof thelighthouseincludesaflyover gangwayonthedoortothelighthouse tower
There is a below ground level base to the tower
Represents thecharacteristics ofa Victorian brick lighthouse
It is a dramatic feature of the landscape
It is associated with early expansions of the shipping trade and community development.
4.3.Aboriginal heritage values
TherearenospecificallyidentifiedsitesofAboriginalheritagevaluewithinthePrecinct.However there are two sites of significant value located along the nearby walking track.
5.OPERATING CONTEXT
5.1.The Licence
The licence will be between thetour operator, Waratah-Wynyard Council and the MinisterforEnvironment and Parks whomanages theNational Parks and Reserves Management Act 2002. The licence is non-transferrable and the tour operator may be liable for payment of fees applicable to thislicence.
5.2.Council responsibilities andrequirements
Council is responsible for maintenance of the accessroad, turning circle and coastal pathway, the general appearance of the precinct (e.g.mowing, and interpretive signage) and rubbish removal. The tour operator will be required to provide quarterly reports to Council relating to tour participants (numbers and feedback on tour experience).In addition, the operator will undertake monthly maintenance inspections and provide these reports to Council forinformation and/or action. The tour operator is responsible for cleaning as far as it relates to maintaining safe public access of the lighthouse.

5.3.AMSA responsibilities and requirements
In agreeing to public access to a functioning navigation aid, AMSA has
identified strict conditions relating to access to specific areas andthe conduct
of anoperator on the site.These include, butare not limited to, the
following:
The licensee will be required to have an induction to the lighthouse
and its operation conductedby qualified AMSArepresentative prior
toaccess key being handed over.
There is no publicaccess tothe ground floor maintenance room as
well as the lantern room and the upper balcony catwalk asshown in
adjacentplan.
The business is to operate between the hours of dawn to dusk.
The following conditions relating to conducting tours will be a not negotiable
annexure to the tour licence:
1.The Premises must be inspected by the Guide prior to any tour to
ensure the Premises are in a clean and tidy state and that the Table
Cape Lighthouse is safe to access (e.g. no visible signs of water entry
causing a slippery walking surface).
2.Children under five (5) years of age are prohibited from entering the
Table CapeLighthouse.
3.Children under ten (10) years ofage must be under strictadultsupervision at all times.
4.The Guide must ensure that a safety briefing is given to Tour Participants before any Tour
Participant is allowed to ascend the stairs.
5.No more than ten (10) Tour Participants plus the Guide are allowed inside the Premisesat
any time.
6.Extra Tour Participants are to remain outside the Premises until permitted to enter by the
Guide.
7.Whilst in the Premises Tour Participants are to remain as one group for the duration of the
tour,under the supervision of theGuide.
8.The Guide must always be the first person into the Premises and the last person out.
9.Tour Participants are to assemble at the entrance walkway to the Table Cape Lighthouse.
Then under direction they may proceed to the lower lantern room with the Guide present.
10.When the Tour Participants are assembled in the lower lantern room, the stairway is to be
chained off while the Tour Participants are viewing the lower lantern room and accessing
the balcony.
11.No Tour Participants are to be allowed access to the lantern room orthe upper balcony
catwalk, asshaded on the Lighthouse Plan on page 8.
12.Movement to the balcony is to be controlled by the Guide who must remain with theTour
Participants for the duration of the visit.If strong winds are present no balcony access is
allowed.

13.Upon completion of the tour theTour Participants must re-assemble at the base of the
Premises.
14.Under no circumstances is the Table Cape Lighthouse entrance door to remain open and
unsupervised whilst Tour Participants are inside.
15.Guides are to ensure that noequipment is interfered with.
16.Guides must ensure that all tower internal lights in the Table Cape Lighthouse are turned
off at the completion of each tour.
17.The Table Cape Lighthouse entrance door is toremain locked between visits.
5.4.The Crown requirements
TheSite,encompassedwithintheTableCapeStateReserve,fallsundertheprovisionsoftheNationalParksandReservesManagementAct2002(Tasmania)andthelicencewouldincludeconditionsrelevanttothise.g.noalcoholpermittedontheSite;noalterationsaretobemadetothe Site; and removal of relics or artefacts found on the Siteisnot permitted.
TheSiteislistedontheTasmanianHeritageRegister(#5147),whichisgovernedbytheHistoric Cultural Heritage Act 1995(Tasmania).
PreservationoftheheritageandhistoricvaluesofthebuildingsattheSitearealsotobeinaccordancewiththeprinciplesoftheAustraliaICOMOSBurraCharter,1999(BurraCharter)fortheconservation of places of historical significance.
6.ASSESSMENT PROCESS
SubmissionswillbeassessedbyanAssessmentPanelappointedforthepurpose.TheAssessmentPanel will comprise of the following:

TheAssessmentPanel’srolewillbetoexamineandevaluateallresponsesandrecommendapreferredoperatortoCouncil.TheAssessmentPanelwillmeetonMonday 14 August 2017.Atthistime,ifdeemednecessary,Respondentsmayalsobeinvitedtoprovideapresentationand/orbe interviewedontheirSubmission.Earliest possible notice will beprovided.
TheAssessmentPanelwillrecommendapreferredoperatortoCounciltothencommencelicencenegotiations.ItisanticipatedthattourscancommenceforthestartofthespringtourismseasoninSeptember.
7.OTHER INFORMATION
7.1.Outgoings
ItwillbealicencerequirementthatthetouroperatorwillberesponsibleforsecuringappropriatePublicLiabilityInsurancecoverageforaminimumof$20millionAustralianDollars.Fulldetailsofinsurance coverage requirements are detailed in the licence to be offered to the preferred operator.

8.LODGEMENT OF SUBMISSIONS AND CONDITIONS
8.1.General
1.ThisinvitationforExpressionsofInterestisnotarequestfortender.Itdoesnotconstitutean offer intended to be accepted by the Council.
2. For the purposes of this invitation for Expression of Interest:
(a)“Proposal”meanstheideaarticulatedinresponsetothisinvitationforExpressionsof Interest;
(b)“Council” means Waratah-Wynyard Council;
(c)“InvitationforExpressionofInterest (EOI)”meansthisdocumentinvitingRespondents to offer to deliver theCouncil’s requirements by lodging a Submission;
(d)“Respondent” means any person or corporation lodging a Submission;
(e)“Site” means Table Cape Lighthouse described in the “Site Profile” (Section 3); and
(f)”Submission”means proposalpresentedinresponse tothisInvitationforExpression
of Interest.
3.TheCouncildoesnotwarranttheaccuracyofthecontentoftheEOIandtheCouncilisnot
liable for any omission from the EOI.
4.Nocontractualorotherlegalobligationshallariseonthepart oftheCouncilfromthelodgementofanySubmissionoranyconsiderationorreviewoftheSubmissionbytheCouncil.Norepresentation,commitmentorundertakingisgivenbytheCouncilthatanyRespondentwillbeinvited to do or to provide any or all of the things outlined in thisEOI.
5.AsingleonsitebriefingtoprospectiveRespondentswillbeconducted.Thebriefingisscheduled forMonday 7 August 2017.ItisstronglyrecommendedthatRespondentsattend.Respondentsmustregister for the briefing through the Contact Officer whose details are set out in section2.2.
6.LateEOIwillnotbeaccepted,unlesstheCouncilisoftheview(anditsdecisionwillbeabsoluteand final) that:
(a) circumstances beyond the Respondent’s control were the cause of the lateness; and
(b)acceptingalateEOIwillnotcompromisetheintegrityoftheprocessorprovideanyunfair advantage to the Respondent lodging the lateEOI.
LateEOIwhicharenotacceptedwillbemarkedontheenvelopewiththetimeanddateofreceipt, and will be returned unopened to the Respondent.

7.TheCouncilreservestheoptiontoacceptpart,orthewhole,ofaSubmissionfromthesameor from different Respondents in order to best meet the EOI requirements and specifications.
8.TheRespondentmustensurethatallcommercialinconfidence,confidentialityandprivacyissues andresponsibilitiesareproperlyaddressedintheSubmission,andthatnoconflictofinterestarises in relation to the Submission or any matter relating to the Submission.
9.RespondentsshouldbeawarethatconfidentialityofSubmissionsmaybesubjecttoexceptions where the information:
(a) is required, or authorised, to be disclosed bylaw;
(b)isreasonablynecessaryfortheenforcementofthecriminallaworfortheprotectionof the publicrevenue.
10. All Submissions will become the property of the Council after the closing date for Submissions.
11.RespondentsagreetoprovidetheCouncilwithalicencetocopy,reproduce,use,modifyand adaptanyoftheinformationprovidedintheSubmission,andagreetheCouncilmayprovidecopiesofthedocumentation(inelectronicorhardcopyformat)totheiragents,forthepurposesofassessing the Submissions.
12.TheinformationwhichisprovidedinandwiththeEOIandanyotherinformationprovidedbytheCounciloranyoneonitsbehalftoaRespondentisprovidedforthebackgroundinformationofRespondentsonly.TheCouncilassumesnoresponsibilityfor,andmakesnorepresentationorwarrantywithrespecttotheinformation,includingastoitsrelevance,accuracy,adequacy,currencyorcontent.AccordinglynoRespondent(noranyofitsconsultantsorsubcontractors)mayinanycircumstancesrelyontherelevance,accuracy,adequacy,currencyorcontentoftheinformation.TheCouncildoesnotintendthattheinformationbeusedbyanyRespondentasameansonwhichtobaseitsSubmissionorsatisfyitselfabouttheconditionsoftheSite.AllSubmissionsmustbebasedsolelyontheRespondent’sowninvestigations,determinations,assessment,skillandexperience.AllbusinessandcommercialaspectsoftheSubmissionpreparedbytheRespondentorits agents are at the sole risk of the Respondent.
13. The Council does not warrant the commercial or other feasibility of the tour operation.
14.RespondentsareresponsibleformakingallnecessaryenquiriesabouttheSite.EachRespondentmustacquaintitselfwithallconditionsrelatingtotheEOIandtheSitepriortomakinga Submission.In lodging a Submission, a Respondent is deemed to have:
(a)examinedcarefullyandtohaveacquiredfullknowledgeoftheEOIandanyotherinformationmadeavailableinwritingbytheCounciltothe Respondentsfor the purposeof the EOI;
(b)examinedallinformationrelevanttotherisks,contingenciesandothercircumstanceshaving an effect on the Submission;
(c)visitedthe Siteandfullyinformed themselves of all relevant conditions;
(d)accepted and agreed with the terms and conditions of this EOI;and
(e)reliedsolelyuponitsownenquiriesandinspectionin relation to the Site.
15.TheCouncilandtheAssessmentPanelarenotresponsiblefor,norwillpayfor,anycostor
expense or loss incurred by any Respondent including but not limited to:
(a) preparing and lodging a Submission;

(b) carrying out any investigation in relation to a project or proposal set out in a Submission;
or
(c) any resources used by the Respondent in the preparation of itsSubmission.
16. The Assessment Panel is not bound to or required to endorse any Submission.
17.Respondentsarerequiredtomeetallcostsandexpensesassociatedwithpreparing,documenting and lodging the Submissionand related matters.
18.TheCounciltakesnoresponsibilityfortherelevance,accuracy,adequacy,currencyorcontent of,andmakesnorepresentationorwarrantyofanykindorassumesanydutyofcareinrespectof theinformationprovidedinandwiththisEOIandtheCouncilisnotliableforanyomissionfrom the Invitation for Expressions of Interest.
19. The Council may vary the EOI at any time by:
(a)informing all Respondents; and
(b)notifying allpersons;
a.to whom the Councilhas issued the EOI; or
b.who have downloaded a copy of the EOI;
at the contact address they have provided to the Council; and
(c)advertising thevariationin the newspapers in which the original EOI was advertised.
20. The Council may discontinue or suspend the EOI process.
21. TheEOIisnottobeconstruedasmakinganyexpressorimplied representation,undertakingor commitmentbytheCouncilthatitwillenterintoabindingcontractwithanyRespondentto undertake the Council’s requirements.
22.Norepresentationmadebyor onbehalfof theCouncilaboutaSubmissionortheEOI(or their subject matter) binds the Council.
8.2. Assessment of Submissions
1.AnAssessmentPanelhasbeenappointedtoassessSubmissionsinaccordancewiththeprocess set out in this EOI.
2. Submissions will be assessed against the assessment criteria in Appendix One of this EOI.
IfanySubmissionisassessedasnotsufficientlymeetingtherequirementsofthisEOI,the Assessment Panel may in its sole and absolute discretion:
(a)notconsidertheSubmissionanyfurtherandnotifytherelevantRespondentthatits Submission will not be assessed further; or
(b)ignoreanyapparentlackoffulfilmentofallrequirementsandnonethelessassessthe Submission in accordance with the criteria as applicable.

3.NotwithstandinganyotherrequirementsofthisEOI,aRespondentshall,ifrequested,submit additionalinformationtoallowclarificationofitsSubmission.However, theAssessmentPanelisnot obligedtorequireanyRespondenttoprovideanyfurtherinformationorclarificationandmaynot require additional information.
4.ShouldaRespondentfailtosubmitanyoftheinformationsorequiredbythedateandtime stipulated,theirSubmissionmaybeassessedintheabsenceoftheinformationornotconsidered further, at the Assessment Panel’s sole and absolute discretion.

8.7. Submissions to Comply with Requirements
1.AllSubmissionsshallbepreparedandlodgedinaccordancewiththerequirementsofthisEOI
andanyadditionaltermsandconditionsthatmaybeincludeduponwrittennoticetoeach
Respondent to which this EOI has been issued.
2.NoexplanationoramendmenttothisEOIshallberecognisedunlessitisintheformofan
addendumissuedbytheCouncil,receiptofwhichshallbeacknowledgedinwritingbyeach
Respondent.
3. The Council may reject a Submission that does not comply with the terms of the EOI.
4.AllmonetaryamountsaretobeexpressedinAustralianDollarsandtheRespondentmustquote
any amounts excluding GST.
8.8. Implied agreement
BylodgingaSubmissionin accordancewithclause8.3andinconsiderationoftheCouncilstartingto
evaluate the Submission, the Respondent agrees to be bound by the terms of thisEOI.

8.10.Disclaimer

BylodgingtheSubmission,aRespondentindemnifies,andagreestokeepindemnified,theCouncil againstanyclaimordemandofanynaturewhatsoever,orhowsoever,arisingwithrespecttoany costs incurred by the Respondent in preparing, lodging or expanding upon aSubmission.

8.12. Confidentiality
1.The EOI remains the property ofCouncil and may be used only to prepare a Submission.
2.Exceptforinformationavailabletothepublicgenerally(otherthanbybreachofthisEOI)a
personreceivingtheEOImustnotpublishdiscloseorcopyanyofitscontentsexceptto
prepare aSubmission.
3.TheRespondentmustkeepconfidentialallinformationprovidedbyCouncilaspartof,orin
connection with, the EOI.
4.AllSubmissionsbecomepropertyofCouncil,whichmayreproducealloranypartofa
Submission for evaluation.
5.DespiteanyconfidentialityorintellectualpropertyrightssubsistinginthisEOIorany
attachmentstoit,CouncilmaypublishalloranypartofitwithoutreferencetotheRespondent
providedthatnothinginthisclausederogatesfromaparty’sobligationsunderthePersonal
Information Protection Act 2004 (Tasmania)or the Privacy Act 1988 (Commonwealth).
6.Subjecttothepreviousclauses,theCouncilandtheRespondentmustholdtheSubmissionin
confidence, so far as thelaw allows, except if:
a.Theinformationisavailabletothepublicgenerally,otherthanbybreachofthis
obligation;
b.Alawrequiresapartytofile,recordorregistersomethingthatincludesinformationin
the Submission;
c.Disclosureisnecessaryoradvisabletogetaconsent,authorisation,approvalorlicence
from a governmental or public body or authority;
d.It is necessary to make disclosure to a taxation or fiscal authority;
e.It is disclosed confidentially to a party’s professional advisers;
i.To get professional advice about the EOI process; or
ii.Otherwise to consult such professional advisers.
9.APPENDIX ONE - ASSESSMENT CRITERIA
SubmissionsinresponsetotheEOIshouldaddressthecriteriafrom1-4below.Pleasenoteall
criteria are ofequal weighting andimportance.
1.Criteria Category –Proposal
Submissionsshouldincludeadescriptionoftheproposedvisitorexperiencetobeofferedandthe
Respondent’spreference for duration of thelicence.
2.Criteria Category - Tour Operation
RespondentsshouldundertakeandsubmitapreliminarybusinessplantosupporttheProposal.This
shouldreflectanunderstandingoftourdemand,thevisitorprofile,tourpricesensitivities,tourism
productalignmenttothemunicipalandregionalbrand,aswellasapplicationof“learnings”fromthe
current model of tour operation as described in 4.1.
Pleasenoteitwillbealicenceconditionthatacomprehensiveoperationalplanwillbesubmittedto
Councilincludingatourschedule,marketingplan,riskmanagementplanandanemergency
evacuationplan.ThesedocumentsarenotnecessaryatthisstageoftheEOIbutRespondents
should be prepared for further business planning.
3.Criteria Category –Professional Capacity, Experience and Customer Service
Submissionsshoulddemonstrateprofessionalcapacityandexperienceinorunderstandingofsimilar
tourismprojects.Forexample,Submissions mayincludedemonstratedexperienceorunderstanding
of the following:

interpretation and presentation of cultural heritage and environmental values
management and delivery of visitor services and tourism quality assurances.
4.Criteria Category – Governance and Business Capacity
Thefourthcriteriacategorytobeaddressedisgovernanceandbusinesscapacity.Submissions
should provide:
detailsofthebusinessstructure,andpersonnelandtheirresponsibilitiesinvolvedinthe
business
evidence of financial commitment to the Proposal
particulars ofany current orknown court proceedings against the Respondent.
Inaddition,namesandcontactdetailsoftwo(2)refereesshouldbesuppliedincludingthe
Respondent’sconsentfortheAssessmentPanelorCounciltocontactthoserefereesforthe
purposes of assessing the Respondent’s Submission.
