ARTICLE VIIIAMENDMENTS (Constitution)

TheConstitutionandBy-LawsmaybeamendedattheAnnualGeneralMeeting,orataSpecialMeetingoftheassociation,followingatleast30days’noticeofproposedchangestoallmembers.Amendmentsmustbeapprovedbyamajorityofmemberspresentatthemeeting.(SIC)

ARTICLEIIMEETINGS(Bylaws)

QuorumofAnnualGeneralMeetingsorSpecialMeetingoftheassociationMembersoftheassociationinattendance, orvotingbyproxy,attheAnnualGeneralMeetingorSpecialMeetingoftheassociationshallconstituteaquorum.

AccordingtothesecurrentConstitutionandBylaws,theBoardofDirectorsrequeststhatallmembersingoodstanding,whowishtohold aproxy voteorgive theirproxyvote,followthisprocedure.

1.Boththeproviderandtheholderoftheproxy votemustbemembersingoodstanding ofFOCALatreceipt oftheProxyVotingForm.

2.TheProxyVotingFormmustbesigned,scannedandemailedorsentbyhardcopymail andsenttotheSecretarysoastobereceivedbythelatesttendaysbeforethevoteistobetaken.

3.AllProxyVotingFormswillbereceivedbynoononApril18,2014.

4. Proxy voteswillbecountedinthequorumforthevotingintheAGMbut notforvotingfortheamendmentstotheBylaws.
