REQUESTS

To participate to the tendering procedure launched by the JUDICIAL LIQUIDATIONS OF THE APPROVED ARRANGEMENTS WITH CREDITORS AMT REAL ESTATE S.P.A. (“AMTRE”) and ACQUA MARCIA TURISMO S.R.L. IN LIQUIDATION (“AMT”) for the sale of the Hotel Facilities, as defined and provided for by the Rules for the sales procedure attached hereto( hereinafter, the “Sales Rules” and the "Request" ).

For said purpose, by signing the Participation form, the undersigned:

1)  Declares:

-  That he/she is interested in the purchase of the following Hotel Facility/ies: [•];

-  That he/she is aware that the sales procedure concerns, as one lot, the Hotel Buildings together with the related Hotel Business, as defined in the Rules for the sale attached hereto;

-  That he/she is aware that, at the unquestionable discretion of the judicial Liquidator, other potential interested parties may be admitted to the virtual Data Room from now on;

-  That he/she is conscious that the historical, artistic or cultural goods and chattels included in the Hotel Buildings (whose list will be available in the Data Room), restricted or not, are object of a separate sale procedure, whose management is entrusted to the auction house named "Gioielli di Carta" (www.bonino.us), currently ongoing. The purchasers of the Hotel Buildings, where they are nowadays located, are informed that those goods will be removed, once sold to third parties;

-  That he/she wishes to receive all communications relating to the sales procedure at the following certified e-mail address [also, where appropriate, of a person authorized to receive service]: (i) [•], indicating the following additional data: (ii) telephone number: [•]; (iii) fax number: [•];

-  That he/she is informed, pursuant to Article 13, Italian Legislative Decree N° 196/2003 as amended and completed and for the purposes thereof, that the personal datacollected will be treated, also in computerized form, exclusively with reference to the competitive procedure for which the present statement is made, authorizing for said purpose the Judicial Liquidator;

2)  Asks to be granted access to the virtual Data Room available in electronic format;

3)  Attaches hereto:

- A copy of the Rules for the sales procedure, initialed in original on every page and signed in full at the end [by the interested party, or by all the legal representatives of the entities which are part of the Grouping, or by all the legal representatives of the entities which are part of the Newco], for full and unconditional acceptance of all the terms and conditions set forth therein;

- A short profile detailing the activities carried out by the entity [or by the entities which are part of the Grouping, or which are part of and/or which will be part of the Newco submitting the expression of interest and, if applicable, by the group or groups it belongs to and/or by the parent company/ies; and illustrating the main economic, asset and financial data of the last three-year period (if available and, where applicable, also on a consolidated basis) [of the entity submitting the expression of interest];

- Copy of the latest approved financial statement and, if available, of the latest consolidated financial statement;

- A statement [by the party submitting the expression of interest] attesting that the same is not subject to any kind of bankruptcy proceedings under the law applicable in the Country of origin;

- The Confidentiality agreement, initialed in original on every page and signed in full at the end [by the legal representative of the interested party, or by all the legal representatives of the entities which are part of the Grouping, or by all the legal representatives of the entities which are part of the Newco],for full and unconditional acceptance of all the terms and conditions set forth therein;

- Copy of a valid identity document [of the legal representative of the interested party, or of all the legal representatives of the entities which are part of the Grouping, or of all the legal representatives of the entities which are part of the Newco].

4) Undertakes:

-  that in case of purchase of one or more Hotel Buildings and also throw one or more subsidiary companies, as reported in the Rules for the sales, he/she will pay Coldwell Banker Commercial Realty Advisory S.p.A. an amount equal to 1% (one percent) of the stipulated selling price plus sell taxes, for the commercial brokering treated.

The right to commission will be accrued by Coldwell Banker Commercial Realty Advisory S.p.A. from the acceptance of the irrevocable purchase offer. The commission will be paid at the subscription of the selling deed, after presentation of regular invoice.
