DEED OF ADDENDUM
THIS DEED OF ADDENDUM is made on this day of the month of ______, of the year Two Thousand ______;
BETWEEN
The GOA INDUSTRIAL DEVELOPMENT CORPORATION, a body corporate established under Goa, Daman and Diu Industrial Development Act, 1965 (Act 22 of 1965) with its Corporate Office at Plot No. 13-A/2, Patto Plaza, EDC Complex, Panaji, Goa, represented in this act by SHRI ------, Chief General Manager, Goa Industrial Development Corporation by virtue of Resolution No. 91/2003, hereinafter called as the "PARTY OF THE FIRST PART" (which expression shall, unless the context does not so admit, include its legal heirs successors and assigns);
AND
______,hereinafter referred to as the "PARTY OF THE SECOND PART",
(The expression “Lessor” and “lessee” shall unless the same be repugnant to the context of meaning thereof include its successors, heirs, and legal representatives and permitted assigns).
WHEREAS:
A)By virtue of Deed and Lease dated ______registered under No. ______dated ______at the office of the Sub-Registrar of ______.
The party of the First Part has leased to Late Mr. ______i.e. original proprietor of M/S. ______, Plot No. ______, admeasuring ______square meters, (hereinafter referred to as said “plots”) in ______INDUSTRIAL ESTATE, for the manufacturing of ______.
The said deed is hereinafter called as the Principal Deed.
B) The said Mr. ______expired on ______.
C)______, has represented to the party of the first part that as per the succession deed executed on )______before Notary ______Goa and registered under No. ____dated ______that plot is liable to be transferred in her name.
D)In view of representation made by said Mr. ______and in view of above referred succession deed vide order bearing No.______dated ______, the party of the First Part has accorded its approval to transfer the said plot in favour of said Mr. ______subject to the following conditions, namely:-
i)The terms and conditions set out in the Order dated ______shall remain valid and are to be strictly followed.
ii)Necessary Deed of Addendum is required to be executed, and
iii)The permission is without prejudice to the legal rights and remedies etc., if any of the interested parties.
AND WHEREAS
The parties hereto are desirous of recording and incorporating name of new proprietor of the proprietary concern of the lessee in the PRINCIPAL DEED by means of this Deed of Addendum and do so hereinafter.
NOW THIS DEED WITNESSETH AS UNDER:
1)In Principal Deed with effect from ______M/s. ______shall be treated as Sole Proprietary concern of Mr.______instead of being treated as proprietary concern of ______.
2)Upon execution of the present Deed, the terms, conditions and covenants set out in the present Deed, as also the PRINCIPAL DEED shall being M/s. ______proprietary concern of the party of the Second Part, in the same manner, as if, the PRINCIPAL DEED has been initially executed, with said ______.
3)The said ______, hereby indemnifies the party of the first part against any claims that may be preferred by any person/claiming to be legal heirs and or/and legal representatives and or successors of late Mr.______as regards allotment of the said plot in her favour by the party of the first part.
4)The cost, stamp duty and registration charges pertaining to this deed of addendum shall be borne by the party of the Second Part.
Original of this deed is executed on Non Judicial stamp paper of Rs. ____/-(Rupees ______only).
