ARTICLES OF ORGANIZATION AND BYLAWS OF THE

REDDING EASTON BASKETBALL ASSOCIATION

I. NAME AND ESTABLISHMENT

The Easton Community Center, Inc. (“ECC”) and The Redding and Easton Boys Girls Club, Inc. (“REBGC”) hereby establish a joint sub-committee to be known as the Redding Easton Basketball Association (“REBA”)

II. PURPOSE

The purpose of REBA shall be to conduct and administer a travel basketball program for the benefit of residents of Easton and Redding. REBA shall endeavor to provide a program which will enable participants to develop their skills with players at their grade level and which will create teams that will be competitive in the Fairfield County Basketball League (“FCBL”).

III. COMMITTEE

A. Committee Members The activities, policies, and affairs of REBA shall be managed by a committee (the "Committee") consisting of eight (8) committee members. Four (4) committee members shall be Easton Residents and four committee members shall be Redding residents.

B. Appointment and Term The term of a committee member shall be two years and shall begin and end on May 1st. Terms shall be staggered so that in each year two Easton residents’ terms shall expire and two Redding residents’ terms shall expire. Before May 1st each year, the ECC shall appoint two Easton residents to the Committee and the REBGC shall appoint two Redding residents to the Committee.

C. Removal Committee members who are Redding residents may be removed by the REBGC at any time with or without cause. Committee members who are Easton residents may be removed by the ECC at any time with or without cause.

D. Vacancies Any vacancies (through resignation, removal, or otherwise) in the Redding committee positions shall be filled by an appointment by the REBGC. Any vacancies (through resignation, removal, or otherwise) in the Easton committee positions shall be filled by an appointment by the ECC.

IV. QUORUM AND VOTING

A majority of the number of sitting Committee members shall constitute a quorum for all meetings. All elections shall be and all questions decided by a majority vote of the Committee members present. No proxy votes shall be permitted. In lieu of a meeting, matters may be decided by a majority vote of all current committee members via email.

V. OFFICERS

Each year, at the Committee’s first meeting following May 1st, the Committee shall elect from its members a Chairperson and a Vice-Chairperson. The Chairperson and the Vice-Chairperson shall not be residents of the same town. Their terms shall expire when new officers are elected the following year.

VI. AMENDMENT AND TERMINATION

These Articles of Organization and Bylaws may be amended by an agreement executed by ECC and REBGC. Either ECC or REBGC may terminate this agreement by giving written notice to the other party and the Committee on or before February 1 of the then current year. The effective date of the termination shall be May 1st.
