AGREEMENT BETWEEN

THE UNITED SOYBEAN BOARD

AND

THIS AGREEMENT (the “Agreement”) is made and entered into between the United Soybean Board ("USB") and ______(“QSSB").

WHEREAS, USB is a national organization created pursuant to the Soybean Promotion, Research and Consumer Information Act (7 U.S.C. 6301-6311) (the "Act") and the Soybean Promotion and Research Order (7 CFR Part 1220) (the “Order”)to implement a program of promotion, research, consumer information and industry information designed to strengthen the soybean industry's position in the marketplace, to maintain and expand existing domestic and foreign markets and uses for soybeans and soybean products, and to develop new markets and uses for soybeans and soybean products; and

WHEREAS, QSSB is authorized by state law and meets the criteria, established by USB and approved by the Secretary of the U.S. Department of Agriculture (“USDA”) as a QSSB under the Act and Order and desires to enter into this Agreement with USB to fund the project described herein intended to carry out the objectives of the Act and Order.

NOW, THEREFORE, in consideration of the premises and the mutual agreements contained herein, the parties agree as follows:

I.Project. QSSB desires to contract with USB to carry out the project listed below (the “Project”) as further described in Attachment A which is attached hereto and incorporated by reference.

II.Remuneration. QSSB agrees to pay USB on amonthly basis upon receipt of invoices from USB stating the actual expenses incurred toward the Project during the month. A final invoice will be provided within 90 days following completion of the Project. Payments made to USB by QSSB under this Agreement are in addition to any other funding obligations QSSB may have to USB. QSSB’s total contribution toward the Project will not exceed $______.

III.Contractor Agreement. USB shall contract with third-party contractor (the “Contractor”) toprovide services pursuant to the conduct of the Project. USB agrees to oversee the performance of the Contractors to ensure proper implementation of the Project.

IV.Reports. USB shall contractually require theContractor toprovide to QSSB with(i) written quarterly progress reports of the Projectand(ii) a written final report of the Project within a 90-day period following the completion of the Project. These reports shall include (i) a summary of the progress of work on the Project, and (ii) a financial report of expenses incurred toward the Project.

VI.Block Voting Rule. Funds remitted to USB by QSSB’sfor certain USDA-approved projects are considered assessments authorized by the Act, and therefore the QSSB contribution amount set forth in Section I above shall be included in the calculation of the total amount of assessments remitted by QSSB to USB for the purpose of determining QSSB’s number of roll call votes. QSSB will earn the percentage of roll call votes pursuant to 7 U.S.C. 6304(d)(2)(B)(i), which provides as follows:

". . . each unit shall be allotted one vote for each percent, or portion of a percent, of the total amount of assessments remitted to the Board that was remitted from the unit (net of any refunds made under subsection (l)(2)), on the average, during each of the three previous fiscal years of the Board. "

VII.Ownership. With the exception of intellectual property already developed and owned by QSSB or the Contractor, the title, rights and interest in any copyrights, inventions, publications, processes, information, reports and data resulting from any activity carried out pursuant to this Agreement shall become the property of the U.S. Government as represented by USB and may be licensed by USB subject to the approval of USDA. Any funds generated from the use of such copyrights, inventions, publications, processes, information, reports and data owned by USB shall be income to USB.

VIII.Governing Law. This Agreement shall be interpreted in accordance with the laws of the State of Missouri. The parties submit and consent to the personal jurisdiction of any Missouri federal or state court and agree to accept service by mail.

IX.Effective Date. This Agreement shall commence and become effective as of the date of written approval of this Agreement by USDA and shall remain in effect until the later of (ENTER DATE)or the completion of the Project and fulfillment of all obligations under this Agreement. The letter of USDA approval shall be attached to this Agreement as Attachment B and incorporated by reference herein.
