Constitution and Bylaws

ARTICLE I - NAME

This group shall be called the Vermont Inservice and Continuing Education Group (thereafter referred to as VICE).

ARTICLE II- PURPOSE AND OBJECTIVES

Section1:

The purpose of VICE shall be to advance the development of effective staff development in health care agencies by:

A.providing a venue for education and networking for nurses working in staff development.

B.A secondary purpose of VICE is to provide continuing education for health care professionals.

VICE will accomplish this mission through the following:

I.Facilitating professional contact among health care educators.

2.Developing a mechanism to share educational programs available within the state and region.

3.Providing educational opportunities for its members’ professional growth.

4.Exploring various approaches and methods for staff development.

5.Participating in the development and coordination of statewide educational programs and educational standards.

6. Endorsing the registered professional nurse for the positions of staff development or inservice education in nursing.

Section II:

VICE is a not for profit organization established and organized exclusively for educational purposes. It shall be conducted so that no part of its income or earnings will inure to the benefit of any member, officer, or in any way endanger the exempt status under Section 501 © (3) of the Internal Revenue Code, or a successor statutory authority, as determined by the Executive Committee of VICE.

ARTICLE III : : MEMBERSHIP

ELIGIBILITY:

A.Individual Members: Persons eligible to be members in VICE shall be registered nurses functioning in an educator role and other health care professionals who are involved in staff development in a facility in or near the Vermont border .

B.Institutional Membership: Dues are established at the annual meeting in the fall. For any facility that has more than one person in an educator role and would like the ability to have multiple mailings and attendance, its membership is established on payment of yearly institutional dues.Changes in annual dues are established at the fall meeting for the subsequent year.

C.Each elected officer of VICE must be a member.

SectionII:

Designation and Election: The offices of VICE shall be a President, President-elect, Secretary and Treasurer who shall be elected by the Members of VICE at the Fall Meeting. The President's position may be filled by joint appointment.

Section III:

Terms of Office: The President shall serve for a term of two years. The President-elect shall be elected and assume the office at the next meeting

and serve for two years. The President-elect shall take office as president at the end of his/her term as president-elect and shall serve for two years. The Secretary and Treasurer shall serve a two-year term. Nominations shall be received from the floor. All officers assume office at the first meeting of the calendar year.

Section IV:

DUTIES:

A.President: The President shall be the chief executive officer of VICE. The President shall preside at all meetings of VICE and shall serve as chairperson of the Executive Committee. It shall be the President’s duty to coordinate the activities of VICE and to set the agenda for each meeting and send a meeting reminder; to appoint the chairpersons of committees as authorized by the Executive Committee, and to perform such duties as may from time to time be directed by the Executive Committee. The President or designee will act as spokesperson representing VICE.

B. President-elect: The President-elect shall, in the absence or

incapacity of the President, perform all duties and assume all

responsibilities of the president. The President-elect shall also

perform such duties as the Executive Committee shall direct.

C. Secretary: The Secretary shall prepare minutes and make

available on request said minutes within thirty (30) days

following a meeting of VICE and issue all calls to meetings.

  1. Treasurer: The Treasurer shall receive and dispense moneys as

authorized and report all matters related to the finances of

VICE. Two members of VICE shall audit the treasure’s books

annually. The audit shall be completed by the annual meeting.

ARTICLE IV - COMMITTEES

Section

Executive Committee: The Executive Committee will consist of the four (4) officers. The Executive Committee will appoint a member to assume any officer’s vacant position. The appointed member will serve until the time of the next election.

Standing Committees: The officers shall, at its first meeting of the year, designate the standing committees, and shall define the functions of such committees.

Each committee shall consist of a least two (2) members. The President shall appoint the chairperson of each committee. If a vacancy should occur, the president shall fill each vacancy by appointment. All standing committees shall submit annual reports and such interim reports as may be requested by the president.

ARTICLE V - AMENDMENTS

Sections I:

These bylaws may be amended by a majority vote of the members present and voting at any annual meeting of VICE. Notice of amendments proposed by members of VICE shall be sent to the Secretary not less than sixty (60) days in advance of the annual meeting. Such amendments to the bylaws may be petition of a least three (3) members of the VICE. Amendments to the bylaws that are approved by the membership shall become effective as designated therein.
