Incorporation US$ 725 government fees + US$ 1789 our service fee.

Our fee includes the drafting of all documents to register the company, liaising with the bank for share capital, collating and vetting due diligence and liaising with the Registry in order to register the company, share certificates, combined register and resolution appointing first auditor. The certificates to be ordered from the Registry, the Registry fees for incorporation are not included and would need to be settled separately. Our fee doesn’t include government fee payable to the Registrar of Companies. Currently, they vary from a minimum of USD 435 to a maximum of USD 2538, depending on the value of Authorised Share Capital.

VAT Registration

VAT registration is not included in the incorporation fee, this is a minimal fee and not all companies registered in Malta would need to apply for VAT, this depends on the activities and will be tackled after the company is registered. Fee of VAT registration is 250 USD.

Company Administration services – The role of Company Secretary is a statutory one which must be performed by an individual and NOT a corporate body. The responsibilities of the Company Secretary include the keeping of: the minute book of general meetings of the company; the minute book of meetings of the board of directors; the register of members; the register of debentures; and such other registers and records as the company secretary may be required to keep by the board of directors. Besides, the company secretary is responsible to: ensure that proper notices are given of all meetings; and ensure that all returns and other documents of the company are prepared and delivered in accordance with the requirements of the Companies Act.

Every private company must have, at least, 2 shareholders who may be individuals or corporate. In order to satisfy this requirement, the practice is for a third party to hold a single share with all the other shares being held by the intended beneficiary. A private exempt company may, on the other hand, opt to have a single shareholder.

Please be sure that all the individuals’ names must be the same as the names on their passports. Registration requirement; one shareholder/director is a minimum.

At all times, a Malta Company must be able to prove that it is managed and controlled from within Malta in order to be considered as a resident in Malta and thus benefit from the favorable Malta tax regime. For that reason please consider whether you want to get a directorship. In order to get the status of company residency to get the tax benefits, you need to keep the annual general meeting in Malta. I)  MALTA Apostille and certified copy of documents by MALTA government

In 1968, Malta joined the 1961 Hague Convention abolishing the Requirement of Legalization for Foreign Public Documents. The Convention provides for the authentication of public (including notarized) documents to be used in countries that have joined the convention. This service includes Apostilled; Shares Certificate, Certificate of Incorporation and Memorandum and Articles (M&A).

In order to open up a bank account in MALTA (and in another jurisdiction) is a mandatory to have these documents with a stamp of local authority. Apostilled documents (only one set) are already involved in the incorporation fees – you don’t have to order that separately however if you require separate (extra) aposttiled documents tick the box below and consider the amount of payment.

J)  HSBC bank account Opening

We work with HSBC center in Malta. Our charge for opening a bank account is $ US 450 + $ US XXX postal. If you want to open up a bank account remotely, contact us and we will provide you with a solution. You are not obliged to visit MALTA for bank account opening. Our Service covers; preparing all required documents by HSBC in MALTA, collection of all issued documents and ATM card for you, postal service with documents. Before we open up the bank account we need to collect:

1)  For those director(s), shareholder(s) and bank account signer(s) who will not visit MALTA in person for the bank account opening to verify their signatures and certify their passport and residential address with proof in HSBC overseas branches. For those who own more than 10% of the company. If the address is not in English then needs to be translated by an official translator and certified by a notary firm – that’s why we recommend to get it from your bank which has international form in English.

2)  Incorporation certificate, M&A and Shares certificate – we will get it for you from Government office (included in incorporation service)

3)  We will send you all the bank forms by e-mail which you will need to print and take to a HSBC branch in your country. You will need to sign on the bank form in front of the bank officer in your country. Your passport copy and address proof are also required to be verified by the bank officer. Once the verification is done, there is going to be next procedure required by HSBC.

Furthermore, we need to get following requirements in order to register your company in registry of MALTA:

·  A notarized copy or a copy certified by a lawyer, doctor, accountant of a photographic identity document such as a passport or country issued identity card, which states that the person saw the original, the copy is a copy of the original and if there is a picture, that the picture is a true likeness.

·  Confirmation of address by providing a copy of the relevant portions of a utility bill, telephone bill, or credit card bill, which is dated within the last three months.

·  A bank reference letter or professional reference letter from a lawyer or an accountant or similar person reference setting out the duration of your relationship (preferably at least 2 years) and that in the case of a bank reference, in the opinion of the bank, you have operated your account satisfactorily otherwise that you are of good character and reputation.

K)  Accountancy, Audit, Tax Returns & VAT Returns

The Accountancy Service fee of USD 800 per set of financial statements is charged. Fees include twenty-fifth (25) hours of work with respect to book keeping and to the preparation of the financial statements for audit purposes. If more than twenty five hours are required, additional time spent will be charged at the rate of US$ 37 per hour.
