(certificates UA 9.028.02717-08; UA 9.028.02717-08; UA 9.028.02718-08), named further as Principal, acting on the ground of ______, in the person of ______, on the one side, and ______, named further as Agent, acting on the ground of ______, in the person of ______, on the other side, made the following agreement:

1. Subject of agreement

1.1  According to the given agreement Principal grants Agent services in hotel service (accommodation, meals and using beach ) in boarding house Kobzar ( the Crimea, settlement Uchkuevka ). Accommodation in the two-floor cottages of 3 categories. Economy class – double suites and suites for three with conveniences (toilet, washbasin, balcony). Second category – double suites and suites for three with conveniences (toilet, washbasin, shower – hot and cold water round-the-clock, balcony, separate entrance). First category – double suites and suites for three with conveniences (toilet, washbasin, shower – hot and cold water round-the-clock, separate entrance, TV set, refrigerator, loggia with arm-chairs, table and sun-shade). Time of arrival is free. Check-out time is 8am. An additional sleeping place can be provided in every suite. The distance from cottages to the beach is 200-300 metres. The boarding house canteen offers three times a day meals.

1.2  The number of services is defined and agreed by sides on each application separately according to the demands of Agent and possibilities of Principal.

1.3  Cost of services and conditions of accommodation are defined by the given agreement, applications and letters.

1.4  Approximate sum of agreement in 20_____ is ______.

2. Rights and obligations of sides.

2.1. Rights and obligations of Principal

2.1.1. According to the given agreement Principal provides Agent with complete information concerning the conditions of checking-in, accommodation, meals, cost of service, certificates on business, other materials and documents, which are necessary for Agent to accomplish his activities.

2.1.2. Principal informs Agent not later than 10 days before arrival about any changes of cost of services.

2.1.3. In case of cooperation of agreeing sides on single applications Principal during the first day after getting the reservation informs Agent about either confirmation or refusal in reserving suites. Fax or electronic post account confirms the reservation.

2.1.4. After receiving money from Agent on the settlement account of Principal for services according to the account, services are considered being sold to Agent. Principal is obliged to provide the reception and accommodation in terms, given in the applications of Agent and agreed with Principal, as well as meals in the canteen if they are paid for by Agent.

2.1.5. Principal is obliged to provide Agent with suites with the level of comfort according to the cost of service.

2.1.6. To provide, if necessary, medical insurance (according to Ukrainian legislation) during stay in boarding house.

2.2 Rights and obligations of Agent

2.2.1. Agent accomplishes activities on realization of services for hotel service in boarding house Kobzar.

2.2.2. Agent grants on his firm form the application for each holiday-maker giving his name, surname, date of birth, dates of checking-in and checking-out, category of suite, according to the application 1, number of people (including the number of adults and children) and category of meals ( one / two / three times a day).

2.2.3. Agent is obliged during three bank days after getting the account of Principal to pay the cost of service by means of transferring the according sum of money to the settlement account of Principal and to inform him about the payment.

2.2.4. Agent is obliged to inform the holiday-makers about the rules of accommodation, conditions of rest, epidemiologic situation for children, obligatory medical insurance, conditions of agreement for service. Agent guarantees the authenticity of information given to the holiday-makers.

2.2.5. Agent is obliged to provide the holiday-makers with necessary documents confirming their rights for receiving service ordered by Agent.

2.2.6. Agent is obliged to provide holiday-makers with medical insurance.

3. Order of mutual accounts

3.1. Accounts for service are grounds for mutual accounts. Mutual accounts between Principal and Agent are made by written order according to prices given in application 1.

3.2. Agent is obliged to pay the account of Principal during three bank days since the moment of laying down the account. The date of receiving money on bank account of Principal is considered as moment of payment. In case of absence of payment during three bank days reservation is abolished. Principal doesn’t provide guarantees for reception and accommodation.

The reception of holiday-makers accomplishes at payment of services of Principal made in advance.

3.3. Agent transfers money on the settlement account of Principal on the grounds of accounts of Principal and application 1.

3.4. Agent and Principal accomplish the collation of mutual accounts monthly, confirmed by the act. The final collation of given services during 20_____ is accomplished on condition of October 1, 20_____, the debts should be transferred during 10 days since the moment of signing the act.

3.5. In case of abolishment of reservation by Agent (fax, e-mail) more than 15 days before the arrival of holiday-makers, cost of the paid service is considered as payment for the next reservations. In case of abolishment of reservations in 5 days before arrival, the fine is 20% of total cost, in 6-15 days – 10 % of total cost. Late arrival or early departure is not considered as ground for returning money.

3.6. Cost of service in boarding house Kobzar is given in application 1, which is essential part of the given agreement. In case of setting cost by Agent on his own, the latest bears all responsibility if problems connected with illegal cost of service arise.

3.7. Both sides are obliged to agree with each other all changes of conditions of reservation in written form, not later than 5 days before arrival of holiday-makers.

3.8. Holiday-makers who fail to arrive at the beginning of their stay, don’t get refund from Principal. Neither does Agent get refund as well.

3.9. The currency of the given agreement is ______.

4. Responsibility on the given agreement

4.1. In case of non-observance of duties the guilty side is obliged to compensate the damage.

Non-observance implies

For Principal:

- refusal to provide Agent with confirmed and paid by Agent in time services.

For Agent

- delayed, not sufficient or wrong payment of accounts;

- delayed changes in reservation;

- wrong data in reservation;

- providing customers with not sufficient information about the conditions of their stay according to the item 2.2.4;

- overdue reservations or unoccupied suites.

4.2. Sides don’t bear responsibility for the actions of holiday-makers and breaking the rules.

4.3. Sides don’t bear responsibility for damage caused to holiday-makers through the guilt of other persons, though sides agree to assist in establishing the guilty person before settling down the problem with authorities.

4.4. In case the payment is delayed Agent pays fine equal to 1% from total sum for each delayed day.

5. Force majeure

5.1. Sides are released from responsibility for partial or total non-observance of their obligations of the given agreement if this non-observance is caused by emergency powers which could not be foreseen or averted by sides.

5.2. Under the circumstances mentioned in item 5.1 each side must inform another side without delay. Message should include the information about the character of the circumstances as well as official documents proving the circumstances and, if possible, giving the estimation of their influence on possibility of observance the duties on this agreement.

5.3. If side fails or delays to send the message in time, they are obliged to compensate the damage.

5.4. In case the aforementioned circumstances take place, terms of observance of the duties are postponed according to the time during which these circumstances and their consequences are in force.

5.5. In case the aforementioned circumstances and their consequences last more than two months, sides have additional negotiations for observance of alternative methods.

5.6. Principal has a right to change the cost of service if it is caused by changes in taxation by Ukrainian legislation, by changes of rate of national currencies of Agent or Principal, of increasing the cost of services of other persons involved. Principal informs Agent in written form. The cost of service paid by Agent in advance can’t be changed.

6. Settlement of arguments

6.1. All arguments and misunderstandings, which can occur between sides, and are not mentioned in the given agreement, will be settled down by means of negotiations.

6.2. In case the solution is not found, arguments are settled down according to the Ukrainian legislation.

6.3. Sides don’t have right to hand over their rights and responsibilities to any other persons without agreement with another side.

7. Terms and order of operation of agreement

7.1. The given agreement comes into force since moment of signing it by both sides and is valid until December 31, 20 _____.

7.2. Any changes or additions to the given agreement are valid under condition that they are signed in written form by both sides.

7.3. The given agreement is written in two copies, which have the equal legal force, one copy to each side.

Boarding house Kobzar is situated in the Crimea on the Black sea coast between the settlements Uchkuevka and Loubimovka in the suburban resort zone of Sevastopol. It is ecologically clean place where fresh air is saturated with sea freshness and fragrance of nearby lavender fields and conifer trees. Numerous hotels, campings and boarding houses are scattered all over the coast.

Boarding house Kobzar has a wonderful sand-and-pebble beach on the shore of open sea at 200-300 metres from the cottages. Here you can hire beach and diving equipment, water cycles, bicycles, surfboards.

Housing stock includes two-floor cottages. Each cottage has 6 separate suites ( double suites and suites for three people ). Double suites are situated on the first floor, each suite has a balcony. Suites for three are situated on the second floor. Each suite has a separate entrance. Hot and cold water is round-the-clock. An additional sleeping place can be provided in each suite. You can park your car near the cottage.

The territory of the boarding house is guarded round-the-clock.

Near boarding house Kobzar there is a wine-making plant producing the Crimean wine with a wine-tasting room and a shop.
