1  Introduction

This Request for Quotation (“RFQ”) includes the contractual, commercial and technical requirements for the supply of Civil Works, and Network Infrastructure products and services to Vodafone Procurement Company S.à r.l. (“Vodafone”) for and to Vodacom South Africa.

All references to Installation & Commissioning (I&C) in the RFQ may be deemed to refer to any combination of works or products required Electrical Works, Cable & Antenna Rigging Works or network Infrastructure Installation and Commissioning unless otherwise stated for any specific parts in the RFQ.

The evaluation of the responding supplier company (the “Bidder”) responses to this RFQ will be based on the excellence of the commercial and technical proposals received.

The Bidder’s response to this RFQ shall constitute part of the bidding documentation which shall be binding upon the Bidder.

Vodafone has placed certain requirements on the Bidder’s capability to support Vodacom South Africa and stresses the importance of the Bidder’s capability to supply, deliver, implement and provide continuing support to Vodacom South Africa.

The Bidder shall treat the existence and contents of this RFQ as well as any information disclosed by Vodafone or Vodafone Group Companies in connection with this RFQ as Vodafone ‘Confidential Information’ in accordance with the terms and conditions of the non-disclosure agreement signed between the Bidder and Vodafone (“NDA”), and any such Confidential Information shall not be disclosed to a third party without the prior written consent of Vodafone.

Any information made available by Vodafone or Vodafone Group Companies in relation to this RFQ shall only be used for the purpose of preparing and submitting a reply to this RFQ and for no other purpose.

On notification from Vodafone, Bidder shall securely destroy all copies of documentation made available to it in relation to this RFQ.

In responding to this document the Bidder is accepting the conditions contained herein, including the contractual terms and conditions, unless specified otherwise.

This RFQ is no more than an invitation to tender and constitutes neither a contract nor an offer for the supply of products and services.

Vodafone may accept the Bidder’s proposal in whole or in part without affecting the pricing of the part chosen.

Bidder shall be aware that time is of essence and should Bidder make changes to the RFQ response which delays or jeopardizes the Vodafone deployment plan or proposed roadmaps, Vodafone shall have the right to apply for reasonable direct costs.

Bidder must comply with the Information Security Requirements to be provided along with the documentation.

Closing Date for Responses

Responses to all areas of the RFQ are to be provided by sending the commercial volumes to the following email address; no later than 20 March 2017. Kindly label the commercial volume as follows; VSA I&C RFQ (insert your company name).The technical volumes can be sent to the Vodacom Midrand office on a USB stick at the following address:

-  the “Commercial Volume”, including all the documents containing any commercial terms and/or pricing information, including but not limited to the BOMs; and

-  the “Technical Volume”, including any documents other than those classified under “Commercial Volume”.

Each of the above Volumes must be provided with a password protecting the access to the file. Passwords must be communicated only to the designated commercial SPOC’s in a separate communication.

Vodafone reserves the right to reject any responses that are not submitted by the given time scales or do not supply relevant information. Any additional information may be attached as separate documents in the response.

Responses must follow the same format as detailed within this RFQ.

2  Single Point of Contact for the RFQ

Any inquiry and correspondence in connection with the RFQ must be addressed in writing to the Vodafone commercial representatives indicated below. Any correspondence sent or received which does not follow this convention will be considered as invalid and will not receive the consideration of Vodafone

3  Scope

Vodafone has identified the need to initiate a procurement exercise. The initial scope of this procurement exercise (the “Project”) is set out in this RFQ including the attached Schedules. Any other documentation or information from other sources is not considered part of this RFQ unless such information is communicated by the SPOC’s set out in section 2 above. Vodafone may select any method of communication including emails or letters.

It is Vodafone’s intention to select the Supplier(s) to provide Installation & Commissioning and other products and services.

The scope of the Project including services, and related responsibilities are described in the specific sections and schedules of this document. However, Vodafone would like to highlight that the choice of full scope or partial scope is dependent on the successful bidder’s proposal.

4  Trials

Vodafone may require the execution of trial activities of the products and services proposed by the Bidder in order to assess their technical suitability. The costs of such trial activities shall be borne by the Bidder.

5  Product Information

The Bidder must present in detail, the information on respective performances, (e.g. user perception of service and service access delay), availability dates and costs shall be clearly provided.

The Bidder must provide a general evolution path for the products for the total project duration including pricing as stated in the Bill of Material (BOM).

Bidder shall show details of technical / operational bottlenecks or limitations. Any bottlenecks or limitations not declared by the Bidder shall be resolved at its expense.

6  Vodafone Assessment Criteria

The evaluation of the responses to this RFQ will be based on the excellence of the commercial (pricing and commercial requirements) and technical proposals received, with particular reference to:

ˉ  Compliance with Vodacom’s specification requirements

ˉ  Compliance with Vodacom’s Service Level Agreement requirements

ˉ  Suppliers Capacity in terms of workforce, tools and logistics facilities, enabling the successful delivery of the Vodacom requirements.

ˉ  How favourable the commercial and legal terms offered by Bidder are to the Vodafone Procurement Company and Vodacom. Bidder and Vodafone acknowledge that such commercial and legal terms are the subject of an ongoing negotiation of the Vodafone Procurement Agreement (VPA) by the Parties. Any award is subject to the successful conclusion and signature by the Parties of a VPA or other appropriate contractual vehicle as may be required by Vodafone at its discretion.

7  Statement of Compliance

Bidders are required to respond to all parts of this RFQ with a statement of Compliance, or Non-Compliance. Such statement is to be made beneath the relevant section, using a font in boldface different to the one used in the related RFQ text. All Non-Compliance statements shall be supported with an alternative statement.

In relation to Technical Specifications, the supplier shall indicate in a separate excel sheet full compliance or non-compliance to each document using the Statement of Compliance Template. If a non-compliance is indicated for a volume of the technical specification, the supplier is required to indicate which part of the volume is non-compliant and the alternative solution.

8  Third Party Products

In the event that Bidder’s proposal includes elements of other manufacturers or suppliers or services to be performed by subcontractors or third parties, the names of these must be clearly identified. All proposed third party Bidders must counter sign the Non Disclosure Agreement signed between Vodafone and Bidder, a copy of which is to be sent forthwith to Vodafone. The Bidder must assume total responsibility and shall not be relieved of any of its obligations under the RFQ response for supplies or services from third parties or subcontractors.

Where the Bidder proposes a third party product, then the price to be charged to Vodafone shall be no higher than the best price available on the market.

The Bidder shall provide details of any partnership agreements existing with any third party for the implementation of the products, indicating the roles and responsibilities within such agreements.

Failure by Vodafone to object to a particular sub-contractor at any time will not be deemed a waiver of Vodafone’s right to object to or disapprove of such sub-contractors at a later time.

The Supplier shall remain in any case fully liable against Vodafone for any damages, losses or expenses suffered as result of act or omission of such third party suppliers or subcontractors.

9  Validity of Offers

The submitted offers must remain valid at least until the 31st March 2018. Expiry dates introduced by the Supplier will not be accepted. All documentation, including but not limited to Technical Specifications and Commercial proposals shall be an integral part of the bidding documentation.

10  Vodafone Procurement Company S.à r.l. terms and conditions

The products and services relating to the RFQ shall be governed by the Vodafone Procurement Agreement (“VPA”), which includes general terms and conditions, Global Specifications and Price Books.

VPA is a requisite mandatory action. Vodafone reserves the right to select an alternate contractual vehicle at its discretion.

11  Project Plan Definition

The Project Plan will be based in the scenario defined in the BOM

Vodafone will have the right to modify the date/volumes of each phase depending on Contract Award Date and the current market situation at any given time.

12  Language of Tender/Contract

The language of the tender is English and all matters relating to this RFQ and successive discussions will be so conducted in this language

13  Disclosure of Information

Vodafone may at its own election, and without further consent of Bidder, disclose any information, including terms, conditions and prices relating to this RFQ to other Vodafone Group Companies.

14  Applicable Law

The VPA with the successful supplier, as well as any question regarding the validity, scope, meaning, or interpretation of the RFQ will be governed by the laws of South Africa.

15  Availability constraints

Bidder is to specify any risks related to production capacity/availability of the forecasted quantities for the requested period.

16  RFQ Terms and Conditions

The Bidder shall be held to have examined the RFQ documents carefully and must be satisfied that the RFQ is fully understood.

The Bidder must clearly understand that all information given by Vodafone is expressly without guarantee.

The Bidder shall be deemed to be fully satisfied as to the correctness and sufficiency of this RFQ before submitting their proposal. Failure by Bidder to read and thoroughly examine the RFP will not excuse any failure to comply with the requirements of the RFP or any resulting agreement, nor will such failure be a basis for claiming additional compensation. Failure to comply with the requirements contained in this RFQ may result in the rejection of the proposal.

The Bidder shall bear all costs associated with the preparation, presentation and submission of its RFQ response, including the provision of any information supplied at the request of Vodafone. In no event shall Vodafone be responsible or liable for any Bidder costs or expenses regardless of the conduct or outcome of the RFQ process.

Vodafone has the right at its sole discretion to withdraw from this RFQ without any liability towards the Bidder. Vodafone reserves the right to alter, amend, or modify any provisions of this RFQ, or to withdraw this RFQ at any time prior to the award of an Agreement, if it is determined by Vodafone in its sole discretion to be in the best interest of Vodafone to do so. Additionally Vodafone reserve its right, subject to the cost of the project, to decide to run only part of the project or none of it.

These RFQ Terms and Conditions and the other provisions contained in this RFQ may be, at Vodafone’s sole discretion, made a part of, and govern any Agreement resulting from, this RFQ.

Proposals that are qualified with conditional clauses, alterations, items not called for in the RFQ documents, or irregularities of any kind are subject to disqualification at the discretion of Vodafone. In any event all such items shall be clearly identified and include appropriate explanation.

Alternate proposals from Bidder are not acceptable. If Bidder is capable of proposing alternate solutions Bidder is requested to evaluate these alternatives and select and submit the solution best fitting Vodafone requirements and expectations.
