17.Purchaseof Open Market Items:

NOTE:OpenMarket Items are alsoknownasincidentalitems,noncontractitems,non-Scheduleitems,anditems not ona FederalSupplySchedulecontract.ODCs (Other DirectCosts) are notpartofthiscontract and should be treated asopenmarket purchases.OrderingActivitiesprocuringopenmarketitemsmustfollow FAR 8.402(f).

For administrativeconvenience, an orderingactivitycontracting officermay add items not ontheFederalSupplyMultipleAwardSchedule (MAS)-- referredtoasopenmarketitems--to a FederalSupplySchedule blanket purchaseagreement(BPA) oranindividualtask or deliveryorder,onlyif-

18.Contractor Commitments, Warranties and Representations:

a.Forthepurpose of thiscontract,commitments, warrantiesandrepresentationsinclude,inadditiontothoseagreedtofor the entire schedulecontract:

(1)Time ofdelivery/installationquotations forindividual orders;

(2)Technicalrepresentations and/or warranties of products concerningperformance,totalsystemperformanceand/or configuration, physical,design and/or functionalcharacteristicsand capabilitiesof aproduct/equipment/service/softwarepackagesubmittedinresponsetorequirementswhichresultinordersunderthis schedulecontract.

(3)Anyrepresentations and/orwarrantiesconcerning the productsmade in any literature, description,drawingsand/orspecifications furnished by theContractor.

b.Theaboveisnotintendedtoencompassitems not currentlycovered bytheGSASchedulecontract.

19.Overseas Activities:

Thetermsandconditions ofthiscontract shallapplytoallordersforinstallation,maintenanceandrepairofequipmentinareaslistedinthe pricelistoutsidethe48contiguous statesandthe District of Columbia,exceptasindicatedbelow:

Uponrequestofthe Contractor,the orderingactivitymayprovidetheContractor withlogisticssupport, asavailable,inaccordancewith all applicable ordering activityregulations.Such ordering activitysupportwillbeprovided on areimbursable basis,andwillonly be providedtotheContractor'stechnicalpersonnelwhoseservicesare exclusivelyrequiredforthefulfillment of thetermsandconditions ofthiscontract.

20.BlanketPurchase Agreements BPA(s):

The use ofBPA(s) underanyschedulecontracttofillrepetitiveneedsforsuppliesor servicesisallowable.BPA(s)maybeestablishedwith one ormore schedulecontractors.The number of BPA(s)tobe establishedis withinthe discretion oftheorderingactivityestablishingtheBPAandshould be based on a strategy that is expected to maximize the effectiveness oftheBPA(s).Orderingactivitiesshall follow FAR8.405-3whencreatingandimplementingBPA(s).

21.ContractorTeam Arrangements:

Contractorsparticipatingincontractor team arrangements mustabide byalltermsandconditions oftheirrespectivecontracts.Thisincludes compliancewithClauses 552.238-74, IndustrialFunding Fee and SalesReporting,i.e.,eachcontractor (team member)mustreport sales and remit the IFFforallproductsandservicesprovidedunderitsindividualcontract.

22.Installation, Uninstallation, Reinstallation:

The Davis-Bacon Act(40U.S.C. 276a-276a-7) providesthatcontractsinexcess of $2,000towhichthe UnitedStates ortheDistrict ofColumbiais a partyforconstruction, alteration, or repair (includingpaintingand decorating) of publicbuildings or publicworks withtheUnitedStates,shallcontaina clausethat no laborer ormechanicemployeddirectlyupon thesite of thework shallreceive lessthan the prevailing wage rates as determined by the Secretary of Labor.TherequirementsoftheDavis-Bacon Act do notapplyiftheconstructionworkisincidentaltothefurnishing of supplies,equipment, orservices.Forexample,therequirements do not applytosimpleinstallationoralterationof a publicbuildingor publicworkthatisincidentaltofurnishingsuppliesorequipmentunder a supply contract. However, if theconstruction, alteration or repairissegregableandexceeds $2,000,thentherequirementsofthe Davis-Bacon Act applies.

The orderingactivityissuing thetaskorderagainstthiscontractwill be responsibleforproperadministrationandenforcementof theFederallaborstandardscovered by the Davis-Bacon Act.The proper Davis-Bacon wagedeterminationwill be issued by the orderingactivityatthe time a request for quotationsismadeforapplicableconstructionclassifiedinstallation, uninstallation,and reinstallationservicesunder SIN 132-8.

25.Insurance—Work on a Government Installation (JAN 1997) (FAR 52.228-5):

a.The Contractorshall, at itsown expense, provide andmaintainduringtheentireperformance of this contract,at leastthekindsandminimumamounts of insurance requiredintheSchedule orelsewhereinthecontract.

b.Beforecommencingworkunderthiscontract,theContractorshallnotifytheContractingOfficerinwritingthattherequiredinsurancehasbeenobtained.Thepoliciesevidencingrequiredinsuranceshallcontainanendorsement to the effectthat any cancellationor any material change adverselyaffecting the Government'sinterestshallnot be effective—

(1)For such period as thelaws of theState inwhich this contractisto be performedprescribe;or

(2)Until 30 daysaftertheinsurer or theContractorgiveswrittennoticetotheContractingOfficer,whicheverperiodislonger.

c.The Contractorshallinsert the substance of this clause,includingthisparagraph (c),insubcontracts underthis contract that requirework on a Governmentinstallationandshallrequiresubcontractorstoprovideandmaintaintheinsurance requiredintheScheduleorelsewhereinthecontract.TheContractorshallmaintainacopyofallsubcontractors' proofs of requiredinsurance,andshallmakecopies available tothe ContractingOfficer uponrequest.

26.SoftwareInteroperability:

Offerors are encouragedtoidentifywithintheirsoftware items any componentinterfacesthatsupportopenstandardinteroperability.Anitem’sinterfacemaybe identifiedasinteroperableonthebasisof participationin a Governmentagency-sponsored programor in anindependent organization program. Interfacesmay be identified by referencetoaninterface registeredinthecomponentregistrylocatedat:

TermsandConditionsApplicabletoInformationTechnology(IT)ProfessionalServices(SpecialItemNumber132-51):

1.Scope:

a.The prices, terms and conditions stated under SpecialItemNumber132-51Information TechnologyProfessional Services applyexclusively toIT Services withinthescopeofthisInformationTechnologySchedule.

b.TheContractorshallprovideservicesattheContractor’sfacilityand/orattheorderingactivitylocation, asagreedto by the Contractor and the ordering activity.

2.Performance Incentives:

a.Performanceincentives may be agreeduponbetweentheContractorandtheorderingactivity on individualfixed priceordersor BlanketPurchase Agreementsunderthiscontractinaccordance withthis clause.

b.The orderingactivitymustestablish a maximumperformanceincentiveprice for these services and/or totalsolutions onindividualorders orBlanketPurchase Agreements.

c.Incentives should be designedtorelateresultsachieved by thecontractor tospecifiedtargets.Tothemaximumextentpracticable, orderingactivitiesshallconsiderestablishingincentiveswhere performanceiscriticaltothe orderingactivity’smissionandincentivesare likely to motivate the contractor.Incentives shall bebased on objectivelymeasurabletasks.

3.Order:

a.Agenciesmay use writtenorders,EDI orders,blanket purchaseagreements,individualpurchaseorders, ortask orders fororderingservicesunderthiscontract.BlanketPurchaseAgreementsshall not extendbeyondtheendofthecontractperiod;all servicesanddeliveryshall be madeandthecontracttermsandconditions shallcontinueineffectuntilthecompletionoftheorder.Orders fortasks whichextendbeyondthe fiscalyear forwhichfundsareavailableshallinclude FAR 52.232-19(Deviation –May2003)Availability ofFundsfortheNextFiscalYear.Thepurchaseordershallspecifytheavailability offundsandthe periodfor whichfunds areavailable.

b.Alltaskordersaresubjecttothetermsandconditions of thecontract.Intheeventofconflictbetweena taskorder and thecontract, the contract will take precedence.

4.Performance of Service:

a.The Contractorshallcommenceperformance of servicesonthe dateagreedto by the Contractorandtheorderingactivity.

b.TheContractoragreestorenderservices onlyduringnormalworkinghours, unless otherwiseagreedto bythe Contractor and the orderingactivity.

5.StopWorkOrder(FAR 52.242-15)(AUG1989):

a.TheContractingOfficer may,atanytime, by writtenordertotheContractor, requiretheContractortostopall, or any part,oftheworkcalledfor by this contractfor aperiod of 90daysaftertheorderisdeliveredtotheContractor,and foranyfurther periodtowhichthe parties mayagree. Theordershall be specificallyidentifiedas a stop-work orderissuedunderthisclause.Upon receiptof the order,theContractorshallimmediatelycomplywithitstermsandtakeallreasonablestepstominimize the incurrenceof costsallocabletotheworkcovered by the order duringtheperiod of workstoppage. Withina period of 90daysafter a stop-workisdeliveredtotheContractor, orwithinanyextension of that periodtowhichthepartiesshall have agreed,theContractingOfficershalleither-

(1)Cancelthestop-workorder;or

(2)Terminatetheworkcovered by the order as providedinthe Default, or theTerminationforConvenience of the Government,clause of thiscontract.

b.Ifa stop-workorderissuedunderthisclauseiscanceled or the periodofthe order or anyextensionthereofexpires,theContractorshallresume work. The ContractingOfficershall makeanequitableadjustmentinthedelivery schedule or contract price,or both, and the contract shall be modified, inwriting,accordingly, if-

(1)Thestop-workorderresultsinanincreaseinthetimerequiredfor, or in the Contractor's cost properlyallocableto,theperformance of any part ofthiscontract;and

(2)TheContractorassertsitsrighttotheadjustmentwithin30daysaftertheendoftheperiod of workstoppage;provided, that,iftheContracting Officer decidesthefactsjustifytheaction,the ContractingOfficermay receive and actupon theclaimsubmitted at anytime beforefinalpayment underthis contract.

c.Ifa stop-workorderisnotcanceledandthe workcovered by the order isterminatedfor theconvenience oftheGovernment,theContractingOfficershallallowreasonablecosts resultingfromthestop-work orderinarrivingattheterminationsettlement.

d.Ifastop-workorderisnotcanceled and the work covered by the orderisterminatedfordefault,theContractingOfficershallallow, by equitableadjustment or otherwise,reasonablecosts resultingfromthestop-workorder.

6.Inspection ofServices:

TheInspection of Services–Fixed Price (AUG 1996) (Deviation – May2003)clause at FAR52.246-4appliestofirm-fixed priceordersplacedunder this contract. The Inspection–Time-and-Materials andLabor-Hour (JAN 1986)(Deviation –May 2003) clauseat FAR 52.246-6applies to time-and-materials and labor-hour ordersplaced under thiscontract.

7.Responsibilitiesof the Contractor:

TheContractorshallcomplywithalllaws, ordinances,and regulations (Federal, State, City, or otherwise)coveringworkof thischaracter.Ifthe end productofa taskorder issoftware,thenFAR52.227-14(Deviation – May2003)RightsinData – General,mayapply.

8.ResponsibilityoftheOrderingActivity:

Subject tosecurity regulations, the ordering activity shall permit Contractor accesstoall facilitiesnecessaryto performtherequisiteITServices.

9.Independent Contractor:

All IT Services performed bytheContractor underthe termsofthis contractshall beas anindependentContractor,andnot asanagent oremployeeofthe orderingactivity.

10.OrganizationalConflicts of Interest:

a.Definitions:

“Contractor”meansthe person, firm,unincorporatedassociation, jointventure, partnership, or corporationthatis a party to this contract.

“Contractor anditsaffiliates”and“Contractor oritsaffiliates”referstothe Contractor,its chiefexecutives,directors,officers,subsidiaries,affiliates,subcontractorsatanytier,andconsultantsandanyjoint ventureinvolvingtheContractor,anyentityinto or withwhichtheContractorsubsequentlymerges or affiliates,oranyothersuccessor or assignee ofthe Contractor.

An “Organizationalconflictofinterest”existswhenthenature ofthe workto be performed under a proposedorderingactivitycontract, withoutsomerestrictiononorderingactivities by theContractoranditsaffiliates,mayeither(i) resultinanunfaircompetitiveadvantageto the Contractor orits affiliatesor(ii)impairtheContractor’s or itsaffiliates’ objectivityinperformingcontractwork.

b.Toavoidanorganizationalorfinancialconflictofinterestandtoavoidprejudicingthebestinterestsof theordering activity, ordering activitiesmay place restrictionson the Contractors,itsaffiliates,chief executives,directors, subsidiariesandsubcontractors at anytier whenplacing ordersagainstschedule contracts.Suchrestrictions shall be consistentwith FAR 9.505and shallbe designedtoavoid, neutralize, ormitigateorganizational conflicts of interestthatmightotherwiseexist in situationsrelated to individualordersplacedagainsttheschedulecontract.Examplesofsituations, whichmayrequire restrictions, areprovidedat FAR9.508.

11.Invoices:

The Contractor,uponcompletion ofthe workordered,shallsubmitinvoicesfor IT services.Progress paymentsmay beauthorized by the ordering activity on individualordersif appropriate.Progress paymentsshall be based uponcompletionof definedmilestones orinterimproducts.Invoicesshall be submittedmonthlyforrecurringservicesperformedduring the precedingmonth.

12.Payments:
