The Company is seeking to raise $3,000,000 and is offering 20% of the issued share capital. The funding will be used for cosmetic renovations, fit out and audio for the venue, advance booking of Jazz artists, initial operating expenses and cash reserve.
Management Company / Pink Monkey Private Members Pty Ltd (PMPM)
Privately owned company incorporated to own and operate an exclusive, high-end private members club in an iconic location in Potts Point, in Sydney’s eastern suburbs, a vibrant part of Sydney which is experiencing a revival. PMPM has assembled a strong management team with extensive experience of the hospitality industry:
·  Arash Langaroudi (CEO) has been involved in the hospitality and financial industries for the last 26 years. He holds a Ph.D. in International Finance from Columbia University, has graduated from the prestigious Manhattan Culinary school, and has an Advanced Sommelier Certificate. Arash spearheaded the opening and establishment of some of the most fruitful and high profile live music clubs and restaurants in New York City, such as Highline Ballroom, BB Kings Blues, and Lucille Grill. He has also worked alongside top chefs in the USA, and managed their restaurants.
·  Stephen Lovchyld (COO) has over 20 years’ experience in the music and entertainment industry, including artist management, recording, publishing, A&R, marketing, digital IP and international licensing.
·  Adam Callen (Creative Director) has extensive experience in the music and entertainment industry including emerging technology in the cross-platform digital space. He has worked globally with some of the most exciting global brands and high profile projects for clients such as Capital Records, Foxtel, Universal, Sony, Hi5, Entertainment One, Yahoo7, Warner Music, and Spotify.
·  Wayne Daniels (Head of Production) is one of Australia’s most well-known and respected fashion and celebrity photographers. His distinctive and unique images have featured on the front covers of major lifestyle magazine across the world and he has worked with celebrities and artists internationally, shooting film clips for record companies and acting as the musical director for several Australian bands.
Industry Environment / Australia is considered one of the wealthiest countries in the world, with the one of highest incomes per capita, in particular in Sydney's eastern suburbs. Sydney also has a large population of high net worth Asian people living in or moving to Sydney. They desire luxury lifestyle goods and services, however there is lack of luxury business and entertainment facilities. Live international music in Sydney is difficult to find. No venue offers nightly entertainment to enjoy live acts on stage where you can eat and drink at a table in cabaret style.
About The Club (name to be finalised) / The Club design is by STUDIO GRAM, and will be based on an Art Deco, 1950s Cuban style.
·  Business Club: a lounge area and meeting rooms in sophisticated surroundings will be available for members during the day to meet and discuss business.
·  Live Entertainment: world class Jazz, Blues, RnB, Cuban, and Latin music, with a range of exclusive artists from around the world.
·  Fine Dining: world class chefs from different regions cooking different international cuisine every six months, including French, Italian, Spanish, Cuban and Portuguese.
·  Specialist Drinks: Alex Ott, one of the best mixologists in the world, will be serving and mixing drinks for guests.
·  Associated Benefits: includes use of luxury catamarans and motor yachts, with full crew and celebrity chef.
About Club Membership / There is a large pool of potential members from the high-earning and wealthy demographic residing in Sydney. The number of annual Corporate memberships will be limited to 400 at $10,000 for two nominated members. Guests can accompany members at $250 per visit.
Investment Profile / The $3,000,000 funding sought will be structured as an interest free unsecured loan to the Company repayable after 3 years. Revenue will be generated through membership fees, guests fees and food and beverage. Additional revenue is also anticipated through sponsorships.
Once operating, the Company intends to pay dividends to shareholders on a monthly basis, subject to compliance with legal requirements and cash flow demands. No exit event (trade sale of IPO) is planned or guaranteed by the Company.
Note the Company has entered into a lease relating to the Club premises with a proposed term of 5 years with two 5 year options. This includes the current fit-out estimated at $12.5 million.
