SAMPLE AGREEMENT FOR SITE LOCATION

Walk-On Event for the Bright Horizons Foundation for Children will take place on Saturday, ______. In an agreement between Bright Horizons Children’s Centers LLC (“Bright Horizons”) and Tri Properties, Imperial Center Park will be the event site. Please see the detailed information below for the specifics in the agreement.

·  Tri Properties agrees to make parking lots available for the staging area, which has been set for the Winchester Place building.

·  Bright Horizons agrees to perform event set-up of said areas beginning after business hours on Friday, March 26, 2012. No permanent marking such as spray paint is allowed. No stakes may be driven into the ground. The only signage allowed is pencil-sized wire holders that must be placed about 5 feet out beyond the trail, so as not to puncture our irrigation system. Preventing or blocking employees from parking and entering buildings to work is strictly prohibited. And water may not be drawn from park buildings or fire hydrants without permission from Tri Properties.

·  All staging areas will be cleaned and made free of event supplies and trash taken off-site (not loaded in our dumpsters) by the evening of Sunday, March 28 after the event so the lots will be available for business on Monday, March 29.

·  Bright Horizons agrees to list Tri Properties, Inc, PFG Imperial Center Holding, Crown Imperial Center, LLC, DCF IV, LLC and America’s Capital Partners as additional insured on the Walk-On Event for the Bright Horizons Foundation for Children event insurance. A copy of the insurance certificates will be provided to Tri Properties at least 1 week prior to this event.

·  Tri Properties agrees to give permission to the Bright Horizons to use the Tri Properties and Imperial Center logos as appropriate on event materials. On this same note, the Bright Horizons agrees to publicize the contribution made by Tri Properties as appropriate.
