Shadowparentgovernor
- IntheseRegulations“shadowparentgovernor”meansapersonwhoisappointedassuchbythelocaleducationauthoritytobeamemberoftheshadowgoverningbodyandwhois—
(a)aparentofaregisteredpupilattheschool,orwheresuchanappointmentisnotpracticable,
(i)aparentofaformerregisteredpupilattheschool, or
(ii)aparentofachildunderorofcompulsoryschoolage.
(b)or, wheretheschoolisacommunityspecialschoolorafoundationspecialschoolaparentofaregisteredpupilattheschool,orwheresuchanappointmentisnotpracticable,
(i)aparentofaformerregisteredpupilattheschool,

- —(1)IntheseRegulations“shadowpartnershipgovernor”meansapersonwhoisappointedassuchbythelocaleducationauthoritytobeamemberoftheshadowgoverningbodyandwhois—
(a)wheretheschoolhasareligiouscharacter([g]),appointedforthepurposeofsecuringthatsuchreligiouscharacterispreservedanddeveloped,
(b)inanyothercase,suchotherpersoninthecommunityservedbytheschoolastheyconsiderappropriate,providedthatnopersonis to beappointedunlessthatpersonwouldbeeligibleforappointmentasashadowcommunitygovernor.
(2)Thelocaleducationauthoritymaynotappointasashadowpartnershipgovernorapersonwhois—
(a)aparentofaregisteredpupilattheschool;
(b)eligibletobeashadowstaffgovernoroftheschool;
(c)anelectedmemberofthelocaleducationauthority;or

- —(1)IntheseRegulations“shadowstaffgovernor”meansapersonwhoisappointedassuchbythelocaleducationauthoritytobeamemberoftheshadowgoverningbodyandwhois—
(a)apersonwhoispaidtoworkattheschoolandissoworkingatthetimewhenheisappointed,
(b)theheadteacher,whoisashadowstaffgovernorbyvirtueofhisofficeunlessheresignstheposition;
(2)Wheretheheadteacherhasresignedthepositionofshadowstaffgovernorinaccordancewithsub-paragraph(1)(b),hemaywithdrawhisresignationatanytime.
ShadowLEAgovernor
- IntheseRegulations“shadowLEAgovernor”meansapersonwhoisappointedassuchbythelocaleducationauthoritytobeamemberoftheshadowgoverningbody.

Shadowfoundationgovernor
- —(1)IntheseRegulations“shadowfoundationgovernor”meansapersonwhoisappointedassuchbythelocaleducationauthoritytobeamemberoftheshadowgoverningbodyandwhois—
(a)appointedforthepurposesofsecuringthatthecharacteroftheschool,includingwheretheschoolhasaparticularreligiouscharacter([h])suchreligiouscharacter,ispreservedanddeveloped,and
(b)wheretheschoolhasafoundation,appointedforthepurposeofsecuringthattheschoolisconductedinaccordancewiththefoundation’sgoverningdocuments,including,whereappropriate,anytrustdeedrelatingtotheschool.
(2)Beforeappointingapersontobeashadowfoundationgovernorinaccordancewithsubsection(1)(a)thelocaleducationauthorityshallconsult—
(a)inthecaseofaChurchofEnglandschooloraRomanCatholicschool,theappropriatediocesanauthority,and
(b)inanyothercase,theappropriatereligiousbody.
(3)Beforeappointingapersontobeashadowfoundationgovernorinaccordancewithsubsection(1)(b)thelocaleducationauthorityshallconsultthetrusteesofanyfoundationrelatingtotheschool.
- Ashadowgovernormayatanytimeberemovedfromofficebythelocaleducationauthorityforincapacityormisbehaviour.

EstablishmentofaShadowGoverningBody
Arrangements for the establishment of a shadow governing body
- —(1)Wherethenoticegivenundersections65(1)or69(1)ofthe Actspecifiesthedurationofthe periodattheendofwhichthegoverningbodywillbecomeanormallyconstitutedgoverningbody,thelocaleducationauthoritymayatleastsixmonthsbeforetheendofthat periodmakearrangementsprovidingfortheestablishmentofagoverningbodyfortheschoolinanticipationofthetransitiontoanormallyconstitutedgoverningbody.
(2)Wherethenoticegivenundersection65(1)or69(1)ofthe2006Actdoesnotspecifythedurationofthat periodandanoticehasbeengivenunderparagraph17(1)ofSchedule6totheEIA 2006,thelocaleducationauthoritymayatleastsixmonthsbeforethedategiveninthenoticeonwhichthegoverningbodyaretobecomeanormallyconstitutedgoverningbody,makearrangementsprovidingfortheestablishmentofagoverningbodyfortheschoolinanticipationofthetransitiontoanormallyconstitutedgoverningbody.
(3)IntheseRegulations,agoverningbodysoestablishedisreferredtoasashadowgoverningbodyandmembersoftheshadowgoverningbodyarereferredtoasshadowgovernors.
(4)NothingintheseRegulations preventstheappointmentofaninterimexecutivememberasashadowgovernor.
(5)Nopersonis to beappointedasashadowfoundationgovernororashadowpartnershipgovernorunlessthelocaleducationauthorityhavefirstconsultedanypersonwhowouldbeentitledtoappointfoundationgovernorsorpartnershipgovernorsundertheinstrumentofgovernmentoftheschoolifthegoverningbodywereanormallyconstitutedgoverningbody.
(6)Incalculatingthenumberofshadowgovernorsrequiredineachcategoryinaccordancewithregulations13to17,thenumbersshallberoundedupordowntothenearestwholenumber.

Communityschools,communityspecialschoolsormaintainednurseryschools
- Theshadowgoverningbodyofacommunityschool,communityspecialschoolormaintainednurseryschoolis to comprise the following:
(a)onethirdormore shadowparentgovernors;
(b)atleasttwobutnomorethanonethird shadowstaffgovernors;
(c)onefifth shadowLEAgovernors;and
(d)onefifthormore shadowcommunitygovernors.
Foundationandfoundationspecialschoolswhichdonothaveafoundation

PART5
ConductofaShadowGoverningBody
Chairandvice-chairoftheshadowgoverningbody
- —(1)Theshadowgoverningbodymust ,attheirfirstmeeting,electachairandvice–chairoftheshadowgoverningbodyfromamongtheirnumber.
(2)Apersonemployedtoworkattheschoolmaynotbeelectedaschairorvice-chair,howevernothinginthisregulation preventsaninterimexecutivememberfrombeingelectedaschairorvice-chair.
(3)Thechairorvice-chairoftheshadowgoverningbodymay,atanytime,resignthat officebygivingnoticeinwritingtotheclerktotheshadowgoverningbody.
(4)Thechairorvice-chairoftheshadowgoverningbody ceasestoholdofficeif that person ceases to be a shadow governor, or becomes employed to work at the school.
(5)Whereavacancyarisesintheofficeofchairorvice-chair,theshadowgoverningbodymustattheirnextmeetingelectoneoftheirnumbertofillthatvacancy.
(6)Wherethechairisabsentfromanymeetingorthereisatthetimeavacancyintheofficeofthechair,thevice-chairmust actasthechairforallpurposes.
Appointmentoftheclerktotheshadowgoverningbody
- —(1)Thelocaleducationauthoritymustappointtheclerktotheshadowgoverningbody.
(2)Theclerktotheshadowgoverningbodymustnotbe:
(a)ashadowgovernor;or
(b)theheadteacheroftheschool.
(3)Notwithstandingparagraph(2),theshadowgoverningbodymay,wheretheclerkfailstoattendameetingoftheirs,appointanyoneoftheirnumbertoactasclerkforthepurposesofthatmeeting.
Proceedingsoftheshadowgoverningbody
- Theshadowgoverningbodymaydeterminetheirownprocedure,subjecttoregulations23and24.
Functionsoftheclerktotheshadowgoverningbody
- Theclerktotheshadowgoverningbodymust:
(a)attendmeetingsoftheshadowgoverningbodyandensurethatminutesoftheproceedingsareproducedandsigned(subjecttotheapprovaloftheshadowgoverningbody)bythechairofthemeeting;and
(b)performsuchotherfunctions determinedbytheshadowgoverningbodyfromtimetotime.
Minutesoftheshadowgoverningbody
- —(1)Subjecttoparagraph(2),theshadowgoverningbodymust,assoonasreasonablypracticable,makeavailableforinspectionacopyof—
(a)theagendaforeverymeeting;
(b)thesignedminutesofeverymeeting;and
(c)anyreportorotherpaperconsideredatthemeeting.
(2)Theremaybeexcludedfromanyitemrequiredtobemadeavailableinpursuanceofsub-paragraph(1)anymaterialrelatingto—
(a)anamedpersonwhoworks,oritisproposedshouldwork,attheschool;
(b)anamedpupilat orcandidateforadmissiontotheschool;or
(c)anyothermatterthat,byreasonofitsnature,theshadow governingbodyissatisfiedshouldremainconfidential.

TransitiontoaNormallyConstitutedGoverningBody
Endoftheinterimperiod
- Fromthedayonwhichtheinterimexecutivemembersceasetoholdoffice(“thetransferdate”)inaccordancewithparagraph18(1)ofSchedule6tothe Act—
(a)theshadowgoverningbodyare tobetreatedasiftheywereanormallyconstitutedgoverningbody;and
(b)despiteRegulation4(1),Part5oftheConstitutionRegulations appliestotheshadowgoverningbodyasiftheywerethegoverningbodyoftheschool.
Constitutionofthegoverningbodyinaccordancewiththeinstrumentofgovernment
- —(1)Thelocaleducationauthoritymustgiveoneterm’snoticeofadate(“theconstitutiondate”),nolaterthan13monthsafterthetransferdate,onwhich—
(a)theshadowgovernors vacateoffice;and
(b)thegoverningbodyoftheschoolare to be constitutedasanormallyconstitutedgoverningbody.
(2)Sub-paragraph(1)(a)doesnotpreventtheappointmentofashadowgovernorasagovernorofthenormallyconstitutedgoverningbody.
(3)Thelocaleducationauthoritymust securethattherequiredappointmentorelectionofgovernorstakesplaceinaccordancewiththeinstrumentofgovernmentbeforetheconstitutiondateandtakeseffectonthatdate.
- Wherealocaleducationauthorityhavenotappointedashadowgoverningbodytheymustsecurethatbythetransferdate:
(a)anewinstrumentofgovernmentismadefortheschoolinaccordancewiththeConstitutionRegulations;and
(b)thegoverningbodyoftheschoolareconstitutedasanormallyconstitutedgoverningbodyandinaccordancewiththenewinstrumentofgovernment.

EXPLANATORYNOTE
(ThisnoteisnotpartoftheRegulations)
These Regulations make provisions with respect to the transition of a governing body constituted as an interim executive board in accordance with Schedule 6 to the Education and Inspections Act2006 to a normally constituted governing body in accordance with section 19(1) Education Act 2002.
Part 1 provides for the Regulations to come into force on [xx] June 2009, sets out the Regulations that are to be revoked or amended and contains the interpretation provisions. Under regulation 4 certain statutory provision relating to the constitution of a governing body do not apply to the shadow governing body, nor does the school’s instrument of government in so far as it relates to the constitution of the governing body .
Part 2 provides for a shadow governing body to be appointed by the local education authority, describes the various categories of shadow governors that may be appointed and provides that a local education authority may remove a shadow governor at anytime for incapacity or misbehaviour.
Part 3 sets out that a local education authority may make arrangements providing for a shadow governing body at least six months before the interim executive board is to become a normally constituted governing body.
Part 4 sets out the composition of a shadow governing body for each category of school including foundation and foundation special schools which do and do not have a foundation within the meaning of section 20 of and Schedule 2 to the School Standards and Framework Act 1998, and qualifying foundation schools which are defined as schools which have a foundation established otherwise that under the School Standard and Framework Act 1998 and whose instrument of government provides for the majority of governors to be foundation governors appointed by the foundation.
Part 5 deals with the conduct of a shadow governing body and provides for the appointment of a chair, a vice-chair and clerk. The clerk must attend meeting of the shadow governing body and ensure that minutes are taken and signed by the chair. For each meeting of the shadow governing body a copy of the agenda, the signed minutes and any report or papers considered, must be made available for inspection as soon as reasonably practicable. In all other respects the shadow governing body shall determine their own procedure.
Part 6 sets out the procedure for the transition from an interim executive board to a normally constituted governing body. Where a shadow governing body has been appointed by a local education authority, when the interim executive members vacate office, the shadow governing body shall be treated as if they are a normally constituted governing body until a date determined by the local education authority when they will vacate office and the governing body must be constituted in accordance with regulations made by virtue of section 19 of the Education Act 2002 and in accordance with the school’s instrument of government.
Under regulation 27, where a shadow governing body has not been appointed by the local education authority, they must ensure that from the day the interim executive members cease to hold office a new instrument of government is made and the governing body are constituted as a normally constituted governing body in accordance with regulations made by virtue of section 19 of the Education Act 2002.
