Trustorirrevocablygrants,transfersandassignstoTrusteeinTrust,with PowerofSalethatpropertyintheCountyof ,StateofCalifornia,describedasfollows:

Togetherwiththerents,issuesandprofitsthereof,subject,however,totheright,powerandauthorityhereinaftergiventoandconferreduponBeneficiarytocollectandapplysuchrents,issuesandprofits.

FORTHEPURPOSEOFSECURING(1)paymentofthesumof($)Dollarswithinterestthereonaccordingtotheterms ofapromissorynoteornotesofevendateherewithmadebyTRUSTOR,payabletoorderofBENEFICIARY,andextensionsorrenewalsthereof;(2)theperformanceofeachagreementofTRUSTORincorporatedby referenceorcontainedhereinorrecitingitissosecured;(3)paymentofadditionalsumsandinterestthereonwhichmayhereafterbeloanedtoTrustor,orhisorhersuccessorsorassigns,whenevidencedbyapromissorynoteornotesrecitingthattheyaresecuredbythisDeedofTrust.

A.ToprotectthesecurityofthisDeedofTrust,andwithrespecttothepropertyabovedescribed,Trustoragrees:

(1)Tokeepsaidpropertyingoodconditionandrepair;nottoremoveordemolishanybuildingthereon;tocompleteorrestorepromptlyandin goodandworkmanlikemanneranybuildingwhichmaybeconstructed,damagedordestroyedthereonandtopaywhendueallclaimsforlaborperformedandmaterialsfurnishedtherefor;tocomplywithalllaws affectingsaidpropertyorrequiringanyalterationsorimprovementstobemadethereon;nottocommitorpermitwastethereof;nottocommit,sufferorpermitanyactuponsaidpropertyinviolationofthelaw;tocultivate,irrigate,fertilize,fumigate,pruneanddoallotheractswhichfromthecharacteroruseofsaidpropertymaybe reasonablynecessary,thespecificenumerationshereinnotexcludingthegeneral.

(2)Toprovide,maintainanddelivertoBeneficiaryfireinsurancesatisfactorytoandwithlosspayabletoBeneficiary.Theamountcollectedunderany fireorotherinsurancepolicymaybeappliedbyBeneficiaryuponanyindebtednesssecuredherebyandinsuchorderasbeneficiarymaydetermine,oratoptionofBeneficiarytheentireamountsocollectedoranypartthereofmaybereleasedtoTrustor.Suchapplicationorreleaseshallnotcureorwaiveanydefaultornoticeofdefaulthereunderorinvalidateanyactdonepursuanttosuchnotice.

(3)Toappearinanddefendanyactionorproceeding purportingtoaffectthesecurityhereofortherightsorpowersofBeneficiaryorTrustee;andtopayallcostsandexpenses,includingcostofevidenceoftitleandattorney’sfeesinareasonablesum,inany actionorproceedinginwhichBeneficiaryorTrusteemayappear,andinanysuitbroughtbyBeneficiarytoforeclosethisDeedofTrust.

(4)Topay:atleasttendaysbeforedelinquencyalltaxesandassessmentsaffectingsaidproperty,includingassessmentsonappurtenantwaterstock;whendue,allencumbrances,chargesandliens,withinterest,onsaidproperty oranypartthereof,whichappeartobepriororsuperiorhereto;allcosts,feesandexpensesofthisTrust.

ShouldTrustorfailtomakeanypaymentortodoanyactashereinprovided,thenBeneficiaryorTrustee,butwithoutobligationsotodoandwithout noticetoordemanduponTrustorandwithoutreleasingTrustorfromanyobligationhereof,may:makeordothesameinsuchmannerandtosuchextentaseithermaydeemnecessarytoprotectthesecurityhereof,BeneficiaryorTrusteebeingauthorizedtoenteruponsaidpropertyforsuchpurposes;appearinanddefend anyactionorproceedingpurportingtoaffectthesecurityhereofortherightsorpowersofBeneficiaryorTrustee;pay,purchase,contestorcompromiseanyencumbrance,charge,orlienwhichinthejudgmentof eitherappearstobepriororsuperiorhereto;and,inexercisinganysuchpowers,paynecessaryexpenses,employcounsel andpayhisorherreasonablefees.

(5)TopayimmediatelyandwithoutdemandallsumssoexpendedbyBeneficiaryorTrustee,withinterestfromdateofexpenditureattheamountallowedbylawineffectatthedatehereof,andtopayforanystatementprovidedforbylawineffectatthedatehereofregardingtheobligationsecuredhereby,anyamountdemandedbytheBeneficiarynottoexceedthemaximumallowedbylawatthetimewhensaidstatementisdemanded.

B.Itismutuallyagreed:

(1)Thatanyawardofdamagesinconnectionwith anycondemnationforpublicuseoforinjurytosaidpropertyoranypartthereofisherebyassignedandshallbepaidtoBeneficiarywhomayapplyorreleasesuchmoneysreceivedbyhimorherinthesamemannerandwiththesameeffectasaboveprovidedfordispositionorproceedsoffireorotherinsurance.

(2)Thatbyacceptingpaymentofanysumsecuredherebyafteritsduedate,Beneficiarydoesnotwaivehisorherrighteithertorequirepromptpaymentwhendueofallothersumssosecuredortodeclaredefaultforfailuresotopay.

(3)Thatatanytimeorfromtimetotime,withoutliabilitythereforandwithoutnotice,uponwrittenrequestofBeneficiaryandpresentationofthisDeedandsaidnoteforendorsement,andwithoutaffectingthepersonalliabilityoranypersonforpaymentoftheindebtednesssecuredhereby,Trusteemay:reconveyanypartofsaidproperty;consent

tomakingofanymaporplatthereof;joiningrantinganyeasementthereon;orjoininanyextensionagreementoranyagreementsubordinatingthelienorchargehereof.

(4)Thatuponwrittenrequestofbeneficiarystatingthatallsumssecuredherebyhavebeenpaid,anduponsurrenderofthisDeedandsaidnoteto TrusteeforcancellationandretentionorotherdispositionasTrusteeinitssolediscretionmaychooseanduponpaymentofitsfees,Trusteeshallreconvey,withoutwarranty,thepropertythenheldhereunder.Therecitalsinsuchreconveyanceofanymattersorfactsshallbeconclusiveproofofthetruthfulnessthereof.TheGranteeinsuchreconveyancemaybedescribedas“thepersonorpersonslegallyentitledthereto.”

(5)Thatasadditionalsecurity,TrustorherebygivestoandconfersuponBeneficiarytheright,powerandauthority,duringthecontinuanceoftheseTrusts,tocollecttherents,issuesandprofitsofsaidproperty,reservinguntoTrustortheright,priortoanydefaultbyTrustorinpaymentofanyindebtednesssecuredherebyorinperformanceofanyagreementhereunder,tocollectandretainsuchrents,issuesandprofitsastheybecomedueandpayable.Uponanysuchdefault,Beneficiarymayatanytimewithoutnotice,eitherinperson,byagent,orbyareceiverto beappointedbyacourt,andwithoutregardtotheadequacyofanysecurityfortheindebtednessherebysecured,enteruponandtakepossessionofsaidpropertyoranypartthereof,inhisorherownnamesuefororotherwisecollectsuchrents,issues,andprofits,includingthosepastdueandunpaid,andapplythesame,lesscostsandexpensesofoperationandcollection,includingreasonableattorney’sfees,uponanyindebtednesssecuredhereby,andinsuchorderasBeneficiarymaydetermine.Theenteringuponandtakingpossessionofsaidproperty,thecollectionof suchrents,issuesandprofitsandtheapplicationthereofasaforesaid,shallnotcureorwaiveanydefaultornoticeofdefaulthereunderorinvalidate anyactdonepursuanttosuchnotice.

(6)ThatupondefaultbyTrustorinpaymentofanyindebtednesssecuredherebyorinperformanceofanyagreementhereunder,BeneficiarymaydeclareallsumssecuredherebyimmediatelydueandpayablebydeliverytoTrusteeofwrittendeclarationofdefaultanddemandforsaleandofwrittennoticeofdefaultandofelectiontocausetobesoldsaidproperty,whichnoticeTrusteeshallcausetobefiledforrecord.Beneficiaryalsoshalldeposit withTrusteethisDeed,saidnoteandalldocumentsevidencingexpendituressecuredhereby.

Afterthelapseofsuchtimeasmaythenberequiredbylawfollowingtherecordationofsaidnoticeofdefault,andnoticeofsalehavingbeengivenasthenrequiredbylaw,TrusteewithoutdemandonTrustor,shallsellsaidpropertyatthetimeandplacefixedbyitin saidnoticeofsale,eitherasawholeorinseparateparcels,andinsuchorderasitmaydetermine,atpublicauctiontothehighestbidderforcashinlawfulmoneyoftheUnitedStates,payableattimeofsale.Trusteemaypostponesaleofalloranyportionofsaidpropertybypublicannouncementatsuchtimeandplace ofsale,andfromtimetotimethereaftermaypostponesuchsalebypublicannouncementatthetimefixedbytheprecedingpostponement.Trusteeshalldelivertosuchpurchaseritsdeedconveyingthepropertysosold,butwithoutanyconvenantorwarranty,expressorimplied.Therecitalsinsuchdeedofany mattersorfactsshallbeconclusiveproofofthetruthfulnessthereof.Anyperson,includingTrustor,Trustee,orBeneficiaryashereinafterdefined,maypurchaseatsuchsale.

Afterdeductingallcosts,feesandexpensesofTrusteeandofthisTrust,includingcostofevidenceoftitleinconnectionwithsale,Trusteeshallapplytheproceedsofsaletopaymentof:allsumsexpendedunderthetermshereof,notthenrepaid,withaccruedinterestattheamountallowedbylawineffectatthedatehereof;allothersumsthensecuredhereby;andtheremainder,ifany,tothepersonorpersonslegallyentitledthereto.

(7)Beneficiary,oranysuccessorinownershipofanyindebtednesssecuredhereby,mayfromtimetotime,byinstrumentinwriting,substitute asuccessorofsuccessorstoanyTrusteenamedhereinoractinghereunder,whichinstrument,executedbytheBeneficiaryanddulyacknowledgedandrecordedintheofficeoftherecorderofthecountyorcountieswheresaidpropertyissituated,shallbeconclusiveproofofpropersubstitutionofsuchsuccessorTrusteeor Trustees,whoshall,withoutconveyancefromtheTrusteepredecessor,succeedtoallitstitle,estate,rights,powersandduties.SaidinstrumentmustcontainthenameoftheoriginalTrustor,TrusteeandBeneficiaryhereunder,thebookandpagewherethisDeedisrecordedandthenameandaddressofthenewTrustee.

(8)ThatthisDeedappliesto,inurestothebenefitof,andbindsallpartieshereto,theirheirs,legatees,devisees,administrators,executors,successors,andassigns.ThetermBeneficiaryshallmeantheownerandholder,includingpledgees,ofthenotesecuredhereby,whetherornotnamedasBeneficiaryherein.InthisDeed,wheneverthecontextsorequires,themasculinegenderincludesthefeminineand/ortheneuter,andthesingularnumberincludestheplural.

(9)TheTrusteeacceptsthisTrustwhenthisDeed,dulyexecutedandacknowledged,ismadeapublicrecordasprovidedbylaw.Trusteeisnot obligedtonotifyanypartyheretoofpendingsaleunderanyotherDeedofTrustorofanyactionorproceedinginwhichTrustor,BeneficiaryorTrusteeshallbeapartyunlessbroughtbyTrustee.

Beneficiarymaychargeforastatementregardingtheobligationsecuredhereby,providedthechargethereofdoesnotexceedthemaximumallowedbylaws.

TheundersignedTrustor,requeststhatacopyofanynoticeofdefaultandanynoticeofsalehereunderbemailedtohimorherathisorheraddresshereinbeforesetforth.
