British Schools Gymnastics Association Sponsorship Contract

1.  Parties

1.1  The British Schools Gymnastics Association (hereafter referred to as BSGA) of Aderyn Dwr 5 Bulrush Close, Llaneirwg, Caerdydd CF3 0AZ and Milano Pro Sport (hereafter referred to as Milano) of The Arena, Bow Lane, Preston PR1 8ND

2.  Term

2.1  The agreement shall operate from 1st May 2015 until 31st August 2019 unless otherwise terminated prior to that date under the provisions stated hereunder.

3.  Subject

3.1  The subject of the agreement is the provision of cash support by Milano to BSGA, the attendance at BSGA events and the benefits given by BSGA to Milano in recognition of such support.

4.  Value

4.1.1  The value of the cash support supplied by Milano to BSGA shall be to a value of £6,000 per annum for the duration of the agreed term. Payable in 2 instalments, 1st September and 1st March each year.

4.1.2  BSGA shall have the option to take some or all of the Sponsorship value in kit of an equivalent value.

5.  Review

5.1  The agreement shall be kept under review and any of the terms and conditions set out within this document may be varied with the consent of the two parties, such consent to be evidenced by the exchange of a notice signed by both parties. An annual review shall take place on or around the anniversary of the contract or at such other time as agreed by both parties

6.  It is agreed by BSGA

6.1  Milano shall receive free of charge, the opportunity to place a full page advertisement on the outside back page, or any such page nominated by Milano, subject to reasonable notice being observed, of any BSGA handbook or similar publication. BSGA will retain the rights to sell remaining advertising space to other companies at their discretion.

6.2  Milano shall receive free of charge, an advert in all competition programmes for all BSGA events.

6.3  Milano shall have sole and exclusive rights to attend any events involving the qualifying disciplines to promote and sell Leotards and associated Gymnastic wear, where such event is under the control and jurisdiction of the BSGA, and be provided with suitable locations for the effective promotion of its brand and products to the maximum number of attendees. BSGA shall give Milano details of such events with sufficient notice, generally not less than 3 months.

6.4  Associated gymnastic wear shall include all apparel that a gymnast might reasonably be expected to wear/use for training and competition in the sport of gymnastics and includes leotards, tracksuits, shorts, scrunchies, hand guards.

6.5  Where Milano is not in a position to attend a BSGA competition Milano may, at its discretion, allow a local organiser to appoint an alternative supplier subject to a payment of £50 to BSGA from the supplier. The local organiser may impose other charges as appropriate.

6.6  Milano is granted the right to use the BSGA logo in its advertising

6.7  Milano shall receive the right and benefit of a link between the BSGA and Milano website, such link to be clearly identified as being National clothing Sponsor to BSGA.

6.8  Milano to be the sole Leotard and associated gymnastic wear supplier promoting its products and brand in all BSGA programmes, literature and the BSGA Web site.

6.9  BSGA will advertise Milano as national sponsor on all appropriate BSGA stationary.

6.10  BSGA will name the Group Competition ‘The Milano Competition or such similar title as is agreed by both parties. If for any reason that event does not proceed an alternative event will be allocated a similar title.

6.11  BSGA to invite Milano to be present at any schools or other development initiatives where it is able to do so.

6.12  BSGA agrees to undertake mailings on behalf of Milano to its membership where given appropriate notice and on the understanding that Milano will cover all additional printing, postage and packaging costs.

6.13  BSGA will allow Milano to use information and pictures of the BSGA gymnasts and events in its publicity material and Brochures subject to the requirements of 7.1.

7.  It is agreed by Milano

7.1  Milano will submit for approval to the BSGA, all advertising copy incorporating the BSGA name, logo and images of gymnasts and events; however such approval shall not be unreasonably withheld.

7.2  Milano must give the BSGA reasonable notice of competitions it will attend.

7.3  Milano will place their Marketing Officer at BSGA’s disposal to publicise and promote news and events provided to it via their own media channels such as Facebook, Twitter, Blogs etc ,subject to content being submitted in reasonable time, of a suitable nature and and which does not conflict with the Milano brand.

7.4  Milano will support the aims of BSGA through our network of contacts and suppliers to increase the Association’s profile and alternative Sponsorship opportunities

7.5  Milano will extend an offer of a 5% discount on team orders from Milano for any Schools which are affiliated to BSGA for the duration of the contract subject to Milano’s normal terms and conditions. BSGA to give Milano a list of affiliated schools to check eligibility

7.6  Milano will supply a raffle prize of a leotard voucher at any event we attend when requested by the organiser. The voucher to be used solely at that event for the purpose of a raffle except where an alternative use is agreed with Milano beforehand.

7.7  Milano will supply signage in the form of pull up posters or ‘A’ boards for National events promoting the Milano and BSGA brands.

7.8  Milano will extend an offer of a factory visit to schools affiliated to BSGA to combine gymnastics with learning subject to sufficient notice being given and operational constraints.

8.  Termination

8.1  This agreement shall be automatically terminated in the event that either party is unable to meet its obligations through insolvency or any such event that renders either party incapable of meeting its obligations where such incapacity is likely to persist in excess of one month.

8.2  Either party may terminate this agreement on six months notice in the event that any undertaking is breached by the other party where the parties have been unable to resolve the matter by negotiation, save that in such cases both parties agree to the matter being forwarded to arbitration by the sports dispute resolution panel.
