ARTICLE I – TITLE, MISSION STATEMENT, VALUES OF NON-DISCRIMINATION

Section I – The title of this organization shall be The Swahili Club at The Ohio State University.

Section II – The purpose of the Swahili Club at The Ohio State University shall be to further the exposure to the Swahili language and culture for all Ohio State students who desire it.

Section III – This organization and its members shall not discriminate against any individual(s) for reasons of age, disability, gender identity or expression, national origin, race, religion, sexual orientation, or veteran status.

ARTICLE II – MEMBERSHIP

Section I – All voting Members must be currently enrolled students at The Ohio State University.

Section II – All Members must donate a contribution.

Section II – Distinction of Honorary Member may be granted to anyone not currently enrolled as a student at Ohio State by way of approval of a majority of voting Members.

Section III – Honorary Members shall not have voting rights.

Section IV: Any member may be removed from membership for violation of the purposes of the organization by a two-thirds vote of the membership. All members must be notified of this pending action at least one week prior to the removal decision.

ARTICLE III – LEADERSHIP

Section I – An Executive Council shall represent all voting Members.

Section II – The Executive Council shall be comprised of a President, Vice President, Treasurer, Secretary, and at least three, but not more than five, additional voting Members. Thus, the Executive Council shall always be comprised of between seven and nine voting Members.

Section III – The Executive Council shall meet weekly, if not more frequently.

Section IV – The Executive Council shall set the agenda for all meetings of the general body.

Section V – The Executive Council shall be elected by the general body.

ARTICLE IV – DUTIES AND POWERS AND METHOD OF SELECTION OF PRESIDENT, VICE PRESIDENT, TREASURER, SECRETARY.

Section I – The President shall set the agenda for and run all Executive Council meetings. The President is also responsible for oversight of all Club activities. The President shall run meetings of the general body.

Section II – The President shall be elected by the Executive Council.

Section III – The Vice President shall serve as President in the President’s absence.

Section IV – The Vice President shall be elected by the Executive Council.

Section V – The Treasurer shall serve as President in the absence of both the President and Vice President. The Treasurer shall keep a record of Club accounts, expenditures, budgets, etc., and shall report on financial matters to both the Executive Council and general body.

Section VI – The Treasurer shall be elected by the Executive Council.

Section VII – The Secretary shall serve as President in the absence of the President, Vice President, and Treasurer. The Secretary shall record the minutes of Executive Council and general body meetings.

Section VIII – The Secretary shall be elected by the Executive Council.

ARTICLE V: REMOVAL FROM OFFICE

Section I: Any officer may be removed from office for failure to perform his/her prescribed duties by a two-thirds vote of the membership, provided that all members are notified of this pending action at least one week prior to the removal decision. Removal from office can occur either for failure to carry out the responsibilities of that office, or for actions which violate the purposes of the organization. Written charges by a member are to be presented to the Executive Committee who will notify the officer in question with sufficient opportunity given for the officer to answer charges at a meeting of the membership.

ARTICLE VI – ADVISER

Section I – The Adviser shall be a permanent member of the faculty of the African American and African Studies Department of the Ohio State University.

Section II – The Adviser shall serve as a resource for the general body and Executive Council on all matters.

Section III – The Adviser shall attend at least one Executive Council meeting a quarter, except summer.

Section IV – The Adviser shall attend at least one general body meeting a quarter, except summer.

Section V – The Adviser shall be appointed by the Executive Council with a simple majority.

Section VI – The Adviser may be removed with a 2/3 vote of the Executive Council.

ARTICLE VII – MEETINGS

Section I – There shall be no fewer than four general body meetings with quorum per quarter, except summer.

Section II – Quorum constitutes fifty percent of voting Members.

ARTICLE VII – AMENDING THIS CONSTITUTION

Section I – Proposed amendments must be presented, in writing, by a voting Member to the Executive Council.

Section II – The Executive Council shall determine whether or not to bring the proposed amendment to the general body of voting Members with a simple majority.

Section III – The proposed amendment shall be read to the general body of voting Members at the first general body meeting following approval by the Executive Council, but shall not be voted on at this same meeting.

Section IV – The proposed amendment shall be voted on by all voting Members at the general body meeting following the general body meeting at which it was read. It shall pass with a 2/3 majority of voting Members, provided there is a quorum. If no quorum exists, the vote shall be postponed.

ARTICLE VIII – DISSOLUTION

Section I – Any proposal to dissolve this organization shall be brought to the Executive Council.

Section II – The Executive Council shall decide whether or not to bring Articles of Dissolution to the general body of voting Members with a 2/3 vote.

Section III – Articles of Dissolution shall be read to the general body of voting Members at the first general meeting after approval by the Executive Council.

Section IV – Articles of Dissolution shall be voted on during the same meeting at which they are read.

Section V – Articles of Dissolution pass only with a ¾ majority of voting members, provided there is a quorum. If no quorum exists, the vote is postponed.
