This is an application for exhibit space at the 2016 IFEDC in Beijing, China,which will become a bindingcontract if the potential exhibitor satisfies IFEDC exhibitor requirements and if such application is accepted by IFEDC.The undersigned company (the “Exhibitor”)does hereby make application to participate as an Exhibitor in the 2017 IFEDC to be held on 21-22, September2017

We request IFEDC to reserve exhibit space for our use at the Exhibition. We understand that specific booths will be assigned, to the extent available,based on first-come, first-served basis.

Preferred Stand Locations: All 3 Preferred Booth Locations must be completed. If all 3 locations are not complete, exhibitor loses the right to be contactedif selections are no longer available. In such case, IFEDC reserves the right to place the exhibitor in alike configuration in the best available location.

TERMS AND CONDITIONS

1. CONTRACT

The following provisions, plus any additions and amendments (includingExhibit Regulations and the Exhibitor Services Manual) thereto that may hereafter be established by IFEDC, become binding upon acceptance of thiscontract between the Exhibitor, its employees and agents and IFEDC.

The individual signing this agreement warrants that he/she has the authority to bind contractually the organization applying for exhibit space. The individual signing this agreement also warrants thatthe product sought to be exhibited qualifies for the exhibition.

2. CHARACTER

IFEDC is undertakenby the sponsoring organizations primarily for the technical educationof their attendees. To provide the best possible atmosphere to discussthe technical application of the equipment and services displayed, eachexhibitor agrees to abide by the rules and regulations stated herein and asexplicitly stated in the Exhibit Regulations.

3. PAYMENT/CANCELLATIONS/SPACE REDUCTION

A. If IFEDC later determines that such product in fact does not qualify for theexhibition, IFEDC can cancel the space and contract withoutrefunds.

B. Applications for space must be accompanied by a minimum 50%deposit. Space application without required payment will delayassignment on or before 31thAugust2017- 100% of total exhibits space fee • No refunds will be made on space cancelled after 31thAugust2017.

C. The individual signing this agreement will take careful notice of the build-up time which will be clearly outlined in the Exhibit Prospectus or Exhibitors Service Manual.

D. IFEDC may be held liable for loss, injury, or damages sustained by exhibitor or exhibitor’s personnel (i.e., exhibitor’s agents, servants,invitees, guests, or employees) only to the extent such loss, injury,or damages are solely caused by the gross negligence or willful misconduct of IFEDCor its agents or employees, and not otherwise.

E. IFEDC shall not be responsible for any loss business, loss of profits, injury, damage or expense, of whatever nature that the exhibitor may suffer due to event cancellation as a result of conditions thatrender the event impracticable. Causes of impracticability include, but without limitation, casualty, explosion, fire, lightning, utility interruption, flood, weather, epidemic, hurricane, tornado, earthquakeor other acts of God, or any law, ordinance, rule or regulation, acts of public enemies, strikes, riots, or civil disturbances.

F. The exhibitor hereby agrees to defend, indemnify, and hold harmless IFEDC and its agents and employees with respects to any claims, suits, damages, liabilities, losses, expenses, and costs (includingreasonable attorney fees) with IFEDC and its agents or employees may suffer or be subject to, and which are in any way connected with the Agreement of the presence by the exhibitor or exhibitor’spersonnel at the exhibition; provided, however, that the exhibitor’s duty to indemnify and hold harmless shall not extended to such claims, suits, damages, liabilities, losses, expenses, and costs(including any of the foregoing resulting from IFEDC ’s own gross negligence, including reasonable attorney fees) as are solely caused by the gross negligence or willful misconduct of IFEDC or its agentsor employees.
