... London. hereinafterreferredtoasthe'Seller'of theonepart andM/s. XYCo. Ltd., a Company registeredunderthe(Indian)CompaniesAct,1956.andhavingitsregistered officeat... hereinafterreferredtoas'theBuyer'oftheOtherPart;

1. TheSelleragreestosell totheBuyerandtheBuyeragreestobuy fromtheSeller, syntheticrubberof...tons...quantityatthepriceof...sterlingperton(hereinafter referredtoas thesaid'goods')C.I.F.forDecember-Januaryshipment.

2. TheSeller-willengagespaceinashipattheportofshipmentandIntimatethe nameoftheshipandherexpecteddateofarrivalinanyportinIndia.

3. TheSellerwillenterintoacontractofaffreighmentwith theowneroftheshipfor transportinganddeliveryofthesaidgoodsattheport of...inIndia.TheBuyershall alsoobtainaPolicy ofInsuranceforthevalueofthesaidgoodsuponthecurrent termsand makeoutaninvoice.

4. TheBuyershall openaLetterofCreditthroughitsBankersfortheagreedpriceof thegoodsandincludingthefreight, insuranceandotherchargesin favourofthe Seller'sBankerviz...

5. TheSellershall shipthegoodsintheshipanddespatchthedocumentsrelatingto thesaidgoodsnamelythecontractofaffreighment,insurancepolicy,invoice.billsof ladingetc.toItsBankersattheportofarrival.

6. Thesaiddocumentsdulyendorsedinfavourof theBuyerwillbehandedovertothe Buyer'sBankersagainst encashment of theLetter of Credit andtheBuyerwill receivethesamefromItsBankerstoenabletheBuyertoget thegoodsclearedat theportofarrival.Suchdeliveryofdocumentswill bedeemedtobedeliveryofthe goods totheBuyerandthereafterthegoodswillbeatthe riskoftheBuyer.

7. Ifthesaidgoodsareshortdeliveredorarenotaccordingtothequantityorquality agreedupon theBuyer,hewillbeentitledtoclaimcompensation fortheloss sufferedbyitduetoshortdeliveryorbreachofwarrantyandtheSellerwillbeliable to makegoodtheloss.

8. IfthegoodsarenotshippedbytheSellerwithintheshipmentperiodmentioned above,theBuyerwillhavetheoption eithertocancelthiscontractortoextendthe period.Ifthecontract isnotcancelledwithin twoweeksfromthelastdateof shipment,theBuyershallbedeemedtohaveagreedtoan extension ofa reasonableperiodforshipment.

9. Itwillhethe responsibilityoftheBuyertoobtainlicensefortheImportofthegoodsIn itscountryandtopayallthecustomduties,importdutiesandotherclearance chargesforclearingthegoodsfromtheshipandcarryingthemtoitsfactoryor godown.

10. Similarly itwillbetheresponsibility ofthesellertotakeoutan exportLicenseif requiredbythelawofitscountryandtopayallcharges fortransportandshipmentof thesaidgoods.

11. Thesellershallintertothecontractatisownexpenseforthecarriageofthegoods totheportofdestinationnamely-bytheusualrouteInaseagoingshipforthe transportofthesaidgoods.

12. Thesellershallobtain at isown costscargoInsuranceforthepriceofthegoods plus10%sothatthebuyershallabletotheclaimdirectlyfromtheinsuranceprovide thebuyer withtheInsurancepolicyorotherevidenceofinsurancecover.Theinsurer shallbeofgoodreputedandtheInsuranceshallbein accordancewith maximum coverofthecargoclausesembedby theinstituteofundeprescribedwriters.The declaration oftheinsuranceshallbefromthedelivery ofthegoodson boardthe shipattheportofshipment namely.....

13. Thesellershallheresponsibleforalltheriskoflossofdamagetothegoodsuntil suchtimeastheyhavethepassedtheshipsrailatthesaidportofshipment.The sellershallalsobartherisktothegoodsuntiltheyhavebeendeliveredasaforesaid includingcostsofloadingthegoodsonboattheshipandchargesforunloadingat theport of dischargewhichmaybeleviedbytheshippinglinewhencontractingfor carriageandalsopayallcustomschargesforexportationaswillas alldutiestaxes andotherGovernmentchargespayableonexportation.

14. Thesellershallgivesufficientnoticethatthegoodshavebeendeliveredonboard theshipaswillasany othernoticerequiredtoallowthebuyertotakemeasures necessarytounablehimtotakedeliveryofthegoods.

15. Thebuyershallpayallcostsrelatingtothegoodfromthetimetheyhavebeen deliveredtotheshipandpay allcostsandchargesrelatingtothegoodswhilstin transituntilherarrivalandotherchargesanddutiesandtaxespayableat theportof discharge.

16. Ifany disputearisesbetweenthepartiesinrespectofthiscontractofwhatsoever natureorifanyclaimbyoneagainsttheotherisdisputedthesamewillbereferred toarbitrationundertheBye-lawsofthe...AssociationinLondon.
