PART ONE: INTRODUCTION TO QUOTATION PROCESS
1.introduction
1.1Request for Quotation: This Request for Quotation (RFQ) is for the submission of quotations ("Quotation") from third parties to KiwiRail Holdings Limited ("KiwiRail") in respect of the purchase of DQ Locomotives and associated inventory holdings in accordance with the requirements set out in Part Three of this RFQ.
1.2Structure of RFQ: The material included with this RFQ ("RFQ Documentation") consists of:
(a)Introduction to Quotation Process: Part One of this RFQ sets out the background and other information relevant to the Proposal process.
(b)Rules of Quotation: Part Two of this RFQ contains the terms and conditions that will be applied by KiwiRail in relation to the Quotation process ("Rules of Quotation").
(c)Quotation Requirements: Part Three of this RFQ contains the KiwiRail requirements for Quotation that all Bidders must comply with.
1.3Background to KiwiRail's Operations:
(a)KiwiRail is a State Owned Enterprise and the backbone of New Zealand’s integrated transport network. Our vision is to be a world class mover of freight and people by rail and ships, and to be the natural choice for our customers in the markets in which we operate
We have four business units:
- KiwiRail Freight provides rail freight services and locomotives for passenger services
- KiwiRail Infrastructure and Engineering maintains and improves the rail network, controls the operation of trains on the network, and operates the heavy workshops that refurbish and maintain our rolling stock
- KiwiRail Interislander operates the ferry passenger and freight services
- KiwiRail Passenger provides urban passenger services in Wellington under contract to the Greater Wellington Regional Council through the Tranz Metro team, and the Tranz Scenic team operates the long distance passenger rail services.
(b)KiwiRail is responsible for the operation, maintenance and renewal of the New Zealand rail network and is charged with running the network efficiently, effectively and safely.
(c)The New Zealand rail network comprises approximately 4,100 km of track, extending from the tip of the NorthIsland to the bottom of the South Island, as well as coast to coast in both islands.

(e)KiwiRail has invested in new Locomotives to replace the existing life expired fleet. The locomotives represent part of the existing life expired fleet being disposed of along with any respective inventory holdings.

2.Indicative timetable
2.1Indicative Timeline and Dates for Submission of Quotations: Table 1 (below) outlines the overall process and timeline for this RFQ process as currently envisaged. KiwiRail reserves the right to change the overall process, steps and any timing at any time.

3.RFQ questions
3.1RFQ Clarification Questions:
(a)All RFQ questions shall be in writing and emailed to the KiwiRail representative at the email address noted in paragraph 4.1 below.
(b)All RFQ questions must clearly and concisely set out what further information is sought and/or what matters require clarification.
(c)KiwiRail will endeavour to respond by email to RFQ questions, as soon as reasonably practicable, to all parties to whom this document has been distributed.
(d)Where respondents have questions that they would prefer were kept in confidence, such questions should be clearly identified to enable KiwiRail to discuss if the response is sufficiently specific to the bidder's quotation that the question should not to be distributed to other respondents.
(e)All answers and clarifications resulting from RFQ questions received automatically become a part of the RFQ and any such answer or clarification provided by KiwiRail takes precedence over any information provided by the original RFQ language.
(f)KiwiRail accepts no liability for any Bidder who does not receive a response to a RFQ question for any reason.
PART TWO: RULES OF QUOTATION
This part of the RFQ sets out the terms and conditions of the Quotation process. By responding to this RFQ and submitting a Quotation the Bidder agrees that it has read, understood, and is bound by these terms and conditions.4.QUOTATIONS
4.1Submission of Quotations:
(a)In submitting a Quotation, Bidders shall be deemed to have:
(i)carefully examined this RFQ, all associated documents and any other material made available in writing by KiwiRail to Bidders for the purpose of submitting a Quotation; and
(ii)made their own interpretations, deductions and conclusions as to the difficulties and costs of complying with all the obligations of this RFQ.
(b)Quotations must be received by the KiwiRail representative noted below by 5:00pm Monday 18thFebruary("Closing Date"), time being strictly of the essence, at the following address:

(c)Bidders are to submit two hard copies of their Quotation, by courier or registered mail to the street or postal address set out in paragraph 4.1(b) above or alternatively submit an email copy to the email address set out in paragraph 4.1(b) above.
4.2Non-compliance: If a Quotation does not comply with the terms and requirements of this RFQ, KiwiRail, in its absolute discretion, may accept or reject such Quotation or declare such Quotation invalid and exclude it from further consideration.
4.3Late Quotations: If a Quotation is received by KiwiRail after 5:00pm on the Closing Date, KiwiRail, in its absolute discretion, may accept or reject such Quotation or declare such Quotation invalid and exclude it from any further consideration.
4.4Amendments to Quotations: Quotations, once submitted, cannot be withdrawn or amended except with the written consent of KiwiRail, and are valid for 60 days from the date of submission.
4.5Modification by KiwiRail: Should KiwiRail make any amendments to this RFQ, KiwiRail will use all reasonable endeavours to notify (by email) all Bidders who were registered as having been sent this RFQ of the amendment. KiwiRail does not accept any liability to any Bidder who does not receive a copy of the amendment. If a Quotation has been submitted prior to the amendment, that Quotation may be withdrawn, modified to take account of the amendment, and resubmitted by the Closing Date.
4.6Quotations are the property of KiwiRail: All Quotations submitted in respect of this RFQ will become the property of KiwiRail and do not have to be kept, destroyed or returned to the Bidder. KiwiRail may use the Quotations as it sees fit, subject to the confidentiality provisions.
5.Requirements of Bidders
5.1Bidders must not provide any form of incentive to KiwiRail representatives during this Tender process.
5.2No respondent shall at any time make any public statements in relation to this Tender process or the evaluation process without the prior written consent of KiwiRail.
6.Rights and Liability of Kiwirail
6.1Rights of KiwiRail: Without derogating from its rights expressed elsewhere in the RFQ Documentation, KiwiRail shall have, at all times, the right to:
(a)run the RFQ process as it sees fit, including by varying the RFQ process without assigning a reason;
(b)change any rule of this RFQ process;
(c)change any time or date specified in this RFQ (including extending the Closing Date for receipt of Quotations) by notice in writing to each Bidder registered as having received this RFQ.
(d)suspend or terminate at any time the RFQ process without assigning a reason and without liability to any person;
(e)terminate at any time participation by any Bidder from the RFQ process without assigning a reason;
(f)reject or not consider further (in whole or in part) any compliant or non-compliant Quotation it may receive from a Bidder or other correspondent;
6.2Acceptance of Quotations: KiwiRail shall in no circumstances be bound at any time to accept the highest priced Quotation or any Quotation.
6.3Reliance on Information
(a)While KiwiRail has endeavoured to ensure that any information or documentation provided by it in connection with this RFQ is accurate, it disclaims, to the extent allowed by law, any direct or indirect liability (whether in contract, tort (including negligence) or otherwise) to any person for any statement, representation, misrepresentation, inaccuracy, omission or otherwise in respect of, or any reliance by any person on, any information or documentation KiwiRail or any of its representatives directly or indirectly makes available or otherwise discloses (whether orally or in writing) at any time to prospective Bidders or their representatives in connection with this RFQ or subsequent negotiations.
(b)KiwiRail will rely on information provided by a Bidder, and by submitting a Quotation, the Bidder acknowledges and agrees that all such information, however and whenever provided in connection with this RFQ is accurate, correct, complete and not misleading.
6.4Confidentiality
(a)It is KiwiRail's policy that the provisions of this RFQ, KiwiRail's entire evaluation of any Quotation submitted, and any correspondence under, or in connection with, this RFQ will be deemed proprietary and confidential information of KiwiRail.
(b) Each Bidder must mark its Quotation and all correspondence in connection with this RFQ as "Commercial-in-Confidence" if the Bidder wishes KiwiRail to treat it as confidential. KiwiRail agrees that it will not provide copies or extracts of one Bidder's RFQ to another Bidder. However, Bidders are advised that this policy can be challenged under the Official Information Act 1982 and therefore KiwiRail cannot, and does not, guarantee confidentiality of any information supplied by the Bidder.
6.5No liability for costs of Proposals: KiwiRail will not be liable (whether in contract, tort (including negligence) or otherwise) for any direct or indirect costs, expenses, damage or losses to any Bidder or any other person directly or indirectly under or in connection with this RFQ, including without limitation for:
(a)the preparation of any Quotation;
(b)the receipt of any information from KiwiRail in response to an RFQ question;
(c)the acceptance or non-acceptance of any Quotation;
(d)any breach of confidentiality by the Bidder or any other person;
(e)the termination of any Bidder's participation in the tender process; or
(f)the cancellation of the RFQ process.
7.QUOTATION EVALUATION CRITERIA
7.1Criteria: Criteria by which Quotations will be evaluated by KiwiRail include, but are not limited in any way whatsoever to:
(a)compliance with the RFQ and RFQ Documentation;
(b)acceptable pricing structure;
(c)evidence of sound company organisational background;
(d)track record and references;
(e)timeline for removal of locomotive/s from KiwiRailWoburn site
(f)timeline for removal of inventory from KiwiRail Woburn site
7.2Criteria only a guide: These criteria are not in any order, are not exhaustive, and are only for the guidance of prospective Bidders to develop, and make assessments as to the suitability of, their Quotation.
7.3KiwiRail's discretion reserved: KiwiRail shall not be obliged to use, and reserves in its absolute and uncontrolled discretion the weight that may be placed on, all or any of the criteria.
7.4Bidders to provide information to assist in evaluation: Bidders must complete all the information requirements to assist KiwiRail in applying the criteria.
8.COMPLETION OF QUOTATION PROCESS
8.1Acceptance of a Quotation: No contract or any arrangement, understanding, obligation or liability shall be created between KiwiRail and any Bidder until KiwiRail has formally accepted the Quotation, noting the final terms and conditions of agreement.
8.2 Notice of Decision:
(a)KiwiRail will use reasonable endeavours to give written notice to all unsuccessful Bidders.
PART THREE: QUOTATION REQUIREMENTS
This part of the RFQ sets out the requirements for the Quotation including the mandatory terms and conditions of the Quote. By responding to this RFQ and submitting a Quotation the Bidder agrees that it has read, understood, and is bound by these requirements.9.REQUIREMENTS
9.1Services:

Dimension and specification details for this class of locomotive are shown in Appendix II. A sample photo of each locomotive is also included for information purposes. A full list of the 61 inventory holdings is included in Appendix II.
9.2Terms & Conditions:
(a)Bidder’s prices represent the amount to be paid to KiwiRail for the possession of the locomotive/sand inventory holdings on aas is where is basis. Bidders are responsible for all transportation costs from the nominated location/s.
(b)For avoidance of doubt KiwiRail has no liability with respect to the locomotive/s and/or inventory holdings once possession has been taken by the successful bidder.
(c)Payment to KiwiRail is to be made within 14 days following the datethat possession is taken place.
9.3Form of Quotation:
(a)Quotations must include the following:
(i)completed Response Template (Appendix II)
(ii)completed Pricing Template (Appendix III)
(iii)any additional information (clearly labelled as “Supporting Material”)
9.4Alternative Pricing:
KiwiRail can have locomotive/s relocated by rail between the locations specified in the Pricing Template or to other rail yard locations nominated by the Bidder. Relocation will be considered if Bidders can provide a favourable pricing differential relative to the cost of relocating the locomotive/s. Bidders are therefore encouraged to submit alternative pricing in addition to the required Pricing Template. The alternative pricing shall be clearly marked in the same format as the Pricing Template with any changes to the locomotive/s locations also clearly marked.

This locomotive now has many missing parts which have been harvested for other units.
The following items were noted on inspection.

-One exhaust stack removed
-All bogies disconnected, rear bogie has impact damage
-4B Axlebox bearing failed. Bearing cover is missing
-Radiator fan coupling missing
-No2 bogie shock absorbers missing
-No handrails cab B side
-3 headstock cocks missing
