I. EXECUTIVE SESSION: 10:00 a.m.

A.Department staff will update the Members regarding examination information which is confidential pursuant to IC 28-1-2-30 This aspect of the Executive Session is authorized by IC 5-14-1.5-6.1(b)(7).

  1. Approval of the minutes of the meeting held November 13, 2014.
  1. BANK AND TRUST DIVISION:

1.The Lynnville National Bank, Lynnville, Warrick County, Indiana

The Lynnville National Bank (“Lynnville”) has applied to the Department for approval of a Plan of Conversion whereby Lynnville will convert from a nationally chartered commercial bank to a state chartered commercial bank pursuant to IC 28-3-2. Lynnville intends to change its name to LNB Community Bank. (Kirk J. Schreiber)

2.The First State Bank, Bourbon, Indiana, Bourbon, Marshall County, Indiana

The First State Bank, Bourbon, Indiana (“FSB”) has applied for approval of a merger with iAB Merger Bank (“Merger Bank #1”), Fort Wayne, Allen County, Indiana pursuant to IC 28-1-7. FSB will be the surviving bank and will be a wholly-owned subsidiary of Independent Alliance Bank, Inc., Fort Wayne, Allen County, Indiana. FSB will immediately change its name to iAB Merger Bank (“Merger #2”) with its principal office located at 118 Ludwig Road, Fort Wayne, Indiana. (Kirk J. Schreiber)

3.IAB Financial Bank, Fort Wayne, Allen County, Indiana

IAB Financial Bank (“IAB”) has applied for approval of a merger with iAB Merger Bank (“Merger Bank #2”), Fort Wayne, Allen County, Indiana pursuant to IC 28-1-7. IAB will be the surviving bank. IAB and Merger Bank #2 will be wholly-owned subsidiaries of Independent Alliance Bank, Inc., Fort Wayne, Allen County, Indiana prior to consummation of the merger. (Kirk J. Schreiber)

1.Financial Center Federal Credit Union, Indianapolis, Marion County, Indiana.

Request for approval of the proposed conversion of Financial Center Federal Credit Union, Indianapolis, Marion County, Indiana into a state chartered credit union.

3. Bloomfield State Bank, Bloomfield, Greene County, Indiana

On December 10, 2014 the Department received notice that Bloomfield State Bank will be closing their Newberry branch effective March 31, 2015. The branch is located at 458 Broad Street, Newberry, Greene County, Indiana. This item is for informational purposes only.
