BOARD RESPONSIBILITIES

PURPOSE: Together with other Board members, the Board is legally and morally responsible for all activities of the CIL. The Board is solely responsible for determining CIL policy, approving the annual budget, and determining the goals of the CIL. A minimum of 51% of the Board members must have a disability. Responsibilities include the following:

POLICY ADMINISTRATION

Continue the legal and corporate existence of the CIL. Ensure that the CIL meets legal requirements for the conduct of its business and affairs. Be responsible for adopting by-laws and ensuring that the CIL operates within them. Act on proposed revisions to the by-laws. Adopts policies, which determine the purposes, governing principles, functions and activities and courses of action of the CIL. Assume ultimate responsibility for internal policies, which govern the CIL.

EVALUATION

Regularly evaluate and review the CIL's operations and maintain performance standards. Monitor the activities of the CIL, including: reviewing committee reports, confirming, modifying or rejecting proposals, counseling and providing good judgment on plans of committees or the Executive; and considering, debating and deciding issues.

PUBLIC AND COMMUNITY RELATIONS

Give sponsorship and prestige to the CIL and inspire confidence in its services. Understand and interpret the work of the CIL to the community. Relate the services of the CIL to the work of all agencies and focus on social reform and progress for people with disabilities.

PERSONNEL

Select, employ and evaluate the Executive Director. Approve policies, which govern the administration of personnel. Participate in recruitment, selection and development of Board members (primary charge for the activity is assigned to a nominating committee).

FINANCE

Approve and monitor the corporate finances of the CIL. Create a financial climate for fulfilling the CIL's purpose. See that sufficient funds are available for the CIL to meet its objectives. Authorize and approve an annual audit. Be responsible for all expenditures dealing with the CIL's facilities and/or properties and improvements for purchase of additional land or building (unless a special committee has been designed for this purpose).
