Pride Fest 2015 EVENT AGREEMENT

AGREEMENT: All personal property of the event participants is the sole responsibility of the participant. Sarasota Pride, Inc. is not responsible for lost or stolen property. By signing this agreement, the participant will indemnify Sarasota Pride, Inc., Pride’s officers, directors, members, sponsors, agents and volunteers and hold them harmless from and against all claims, actions, damages, liability, and/or expense connected with or arising out of the loss of life, personal injury, and/or damages to life or property arising from or out of any occurrence in, upon or around the Pride Fest 2015 event, including parking lot and any adjoining property to the event, occasioned wholly or in part by any act or omission of an exhibitor, its agents or employees and shall protect Sarasota Pride, Inc., its officers, directors, members, sponsors, agents and volunteers in connection with any act or conduct of any person(s} whether or not a party or privy hereto. The participant agrees to rely solely on its own insurance for any loses or injury arising out of or associated with Pride Fest 2015. Participant agrees to abide by all rules and regulations of Sarasota Pride, Inc. This agreement: and any attachments and exhibits are the complete and exclusive agreement between the parties and may only be modified, or any rights under it waived, by a written document executed by all parties.

SARASOTA PRIDE, Inc. Event Rules and Regulations

SET-UP: Begins at 9 AM and must be completed by 11:30 AM. Due to limited space, booths will be held until 10:00 AM on the day of the event. If your booth is not set-up and occupied by 11 AM, your space may be offered to another participant.

TEAR DOWN: May not begin before the day time event ends at 6 PM and must be completed by 7 PM.

By submitting an application for participation, all vendors agree to comply with the following:

1. Vendors may bring their own coolers with food and water but NO ALCOHOLIC BEVERAGES ALLOWED. Coolers will be inspected during set up.

2. Booths are provided on a first-come, first-served basis. Reservation confirmation is defined as receipt of funds. All necessary forms must be signed.

3. Vendor agrees to set/remove his/her display and/or products during above indicated parameters. All exhibitors are required to provide their own trash receptacle and clean their areas before exiting including trash.

4. Displays are to be of professional quality. No displays over 8 ft. in height or extending beyond the assigned booth area are permitted. All packaging materials and boxes are to be stored out of sight.

5. Vendors must conduct all activities and sales within designated booth space only. No distribution of literature, flyers, handbills, petitions, surveys, items, etc., may be conducted outside your booth space, on or about the premises, inside or out, without express written permission of Sarasota Pride, Inc. ROAMING PERMIT IS REQUIRED.

6. Vendors will be responsible for all equipment necessary for set-up (such as dollies, carts, extension cords, hoses, etc.)

7. All booths and exhibits must be tended at all times, as personal property is the sole responsibility of the exhibitor.

8. Two Vendors are not allowed to share a booth unless each have paid a separate vendor application fee.

9.. Amplification of music or voice is NOT allowed from any vendor booth.

Pride Fest 2015 EVENT AGREEMENT

10. Sarasota Pride, Inc. reserves the right to prohibit signs, banners or groups marketing or promoting illegal, obscene or pornographic items. Vendors displaying such items will be dismissed from the event with loss of any fees paid.

11. All state and local ordinances regarding nudity will be strictly enforced. All clothing must comply with obscenity statutes as well. No see-through clothing, jock straps, bras, panties, or chaps (Without accompanying shorts/pants) shall be permitted.

12. All vendors and booth attendees are expected to conduct themselves in a

professional manner.

13. Promotional giveaways must be approved in advance by Sarasota Pride, Inc.

14. All vendors must submit a list of merchandise to be sold along with their application. Only items approved on application will be allowed. Exclusivity of product or service is not offered due to the inclusive nature of event. However, Sarasota Pride, Inc. reserves the right to limit the number of "like kind" exhibitors.

15. All participants understand that Sarasota Pride, Inc. has no control over festival attendance, inclement weather or acts of God. All participants shall hold harmless Sarasota Pride, Inc., its officers, and committee members, for any losses they may incur as a result of participation in this event.

16. Use of the City of Sarasota logo is prohibited in any marketing or other material.

In signing this agreement for the 2015 Pride Fest, participants agree to abide by all clauses set forth in this agreement. Failure to comply will give Sarasota Pride, Inc. and/or authorized agents of Sarasota Pride, Inc. the authority to terminate this agreement. Participant agrees to immediately vacate premises and forfeit any and all fees paid for the privilege of participation upon notice of violation of this agreement. This agreement may not be altered in any way without written permission of Sarasota Pride, Inc.
