DISCOUNT AGREEMENT

ThisDISCOUNTAGREEMENT hereinafter “Agreement” is made and shall be effective on the01 November 2016to 31/12/2017by and between:

Layal Spa & Beauty Center with its business address at Al-Aziziyah area, Al-Oqhowan Street, opposite AlKawthar high school for girls and Lycee Franco-Qatarien Voltaire school, Doha, Qatar, represented in this Agreement by Miss Mona Massoudin her capacity as the Business Manager

And

QDVC, (hereinafter referred to as “QDVC”);

Layal Spa & Beauty Center and QDVCmay individually be referred to herein as a “Party” and jointly as "Parties".

IN WITNESSETH

WHEREAS, Layal Spa & Beauty Centerdesires to provide discounton specific servicesto QDVCstaffas set out here below and

WHEREAS, QDVC has agreed to promote the above mentioned discountto their staffin accordance with the terms and conditions of this Agreement;

NOW, THEREFORE, it is hereby agreed between the two parties as follows:

1. Layal Spa & Beauty Centeragrees to provide to QDVC ladies staff and the spouses of the male staffwith:

1. 20% discount on any service excluding sale of products, sports, LPG, and slimming programs.

1. The above mentioned discount cannot be used in conjunction with any other promotions, discounts or privileges.

1. In order to receive the said discount the QDVC staff must presenther QDVCidentification to the reception at the time of purchase (sample of current ID is exhibited in Appendix A herein).
2. The spouses of the male staff will be identified via the company QDVC by either providing Layal Spa & Beauty Center with their Qatari ID as well as their spouses’ ID or by a letter from the company stating the name of the staff and his spouse as well as her mobile number as proof for our records.

1. In the event that QDVC learns of a member who has not received the discountprovided for herein QDVC staff will promptly notify Layal Spa & Beauty Centerwho will investigate thematter and make the best effort to rectify the situation provided that the terms of this Agreement have been honoured.

1. Each party agrees to indemnify and hold the other harmless for any losses,including reasonable attorneys’ fees arising from its wrongful acts or omissions in connection with

its acts or omissions pursuant to this agreement.

1. This agreement shall run for a period of one yeartill 31/12/2017.

IN WITNESS WHEREOF, the receipt and sufficiency duly acknowledged, the PARTIES or their duly authorized representatives have caused this Agreement to be executed on the day and date first written above:
