CONTRACT FOR PROFESSIONAL LEGAL SERVICES

BEITKNOWNTHATonthisdayof,201 ,thisagreement isenteredintobyandbetween(StateAgency)hereinaftersometimesreferredtoas

(“State”) and (Contractor), hereinafter sometimes referred to as (“Counsel”).

1.

Counsel hereby agrees to furnish the following services:

Thescopeofthiscontractdoesnotincludelitigationorproceedingsarisingoutof or involving tortor worker’s compensation.

Theselegalservicesaretobeprovidedundertheimmediatesupervisionofthe staffofthe(StateAgency)andsubjecttosecondaryreviewbytheDepartmentof

Justice, Office of the Attorney General.

The (StateAgency) hereby certifies and Counsel hereby acknowledges that:

1.Goalsandobjectives:The(StateAgency)hasenteredintothiscontractinorder to obtain professional and reliable legalservices as referred to hereinabove.

2.Performancemeasures:Theservicesprovidedbycounselshallbeevaluatedto determine that the services are provided timely and professionally.

3.MonitoringPlan:Thestaff of the (State Agency) shall monitor the performance of counselbyreviewofallinterimwrittenorverbalreportssubmittedbycontractor and by supervision of the services provided by counsel.

Inconsiderationofservicesdescribedhereinabove,Stateherebyagreestopay the Counsel as follows:

Thetotalofallsumspayableunderthiscontractincludingfeesand reimbursement of expenses shall not exceed (maximum amount of contract

$)andshallbebilledinaccordancewithPolicyandProcedureMemo 50 (Attorney Case Handling Guidelines and Billing Procedures).

FinalbillingshallbesubmittedtotheStatewithin90daysofcontractexpiration date.Attheendofeachcalendarmonth,CounselshallsubmittotheStateforreview andapproval,viaAcuityManagementSystem,(referencetoAcuityshouldbeincluded onlyifagencyisenrolledinstate’selectroniclegalbillingsystem),anitemizationofall workperformed,listingtimebydateforworkperformedbyhours,downtothetenthof anhour,withspecificreferencetothenatureoftheworkperformed(e.g.,draftingof pleadings,research,reviewoffiles,etc.).ItisunderstoodthatshouldCounselfailto submitstatementswithinthirty(30)daysfollowingtheendofeachmonth,Stateshall notberesponsibleforpaymentthereofunderthiscontactorinquantummeruit.All billingsbyCounselforservicesrenderedshallbesubmittedincompliancewithLSA- R.S. 39:1618.

AlllegalfeesandcostsshallbepaidinaccordancetheStateAgencyorDivision ofAdministrationAttorneyCaseHandlingGuidelinesandBillingProceduresassetforth

inPPM50.Counselshallbereimbursedforout-of-pocketexpensesinaccordancewith theDivisionofAdministrationTravelRulesandRegulationsassetforthinPPM49. Traveltime,atthedirectionandfortheconvenienceoftheState,isbillableasservices ifdoneduringnormalworkinghoursatone-halftheagreeduponAttorneypayrateand shallnotexceedeighthoursperdaywithoutwrittenjustification.Counselagreesto comply with the instructions on Attachment #1 when submitting invoices.

Counselherebyagreesthattheresponsibilityforpaymentoftaxesfromthe fundsthusreceivedunderthisagreementand/orlegislativeappropriationshallbesaid counsel’sobligationandidentifiedunderFederaltaxidentificationnumber(federal

taxid number and State LDR account number).

InaccordancewithR.S.39:1624(A)(10),theLouisianaDepartmentofRevenuemust determinethattheprospectivecontractoriscurrentinthefilingofallapplicabletax returnsandreportsandinpaymentofalltaxes,interest,penalties,andfeesowedtothe stateandcollectedbytheDepartmentofRevenuepriortotheapprovalofthiscontract bytheOfficeofStateProcurement.Theprospectivecontractorherebyatteststoits currentand/orprospectivecompliance,andagreestoprovideitsseven-digitLDR AccountNumbertothecontractingagencysothattheprospectivecontractor’stax paymentcompliancestatusmaybeverified.Theprospectivecontractorfurther acknowledgesunderstandingthatissuanceofataxclearancecertificatebythe LouisianaDepartmentofRevenueisanecessarypreconditiontotheapprovaland effectiveness of this contract by the Office of State Procurement. The contracting

agencyreservestherighttowithdrawitsconsenttothiscontractwithoutpenaltyand proceedwithalternatearrangementsshouldthevendorfailtoresolveanyidentified apparentoutstandingtaxcompliancediscrepancieswiththeLouisianaDepartmentof Revenue within seven (7) days of such notification.

The State Legislative Auditor, internal auditors of the Division of Administration, agency auditors, and if applicable, federal auditors shall be entitled to audit the books and records of a contractor or any subcontractor under any negotiated contract or subcontractor to the extent that such books and records relate to the performance of such contract or subcontract. Such books and records shall be maintained by the contractor for a period of five (5) years from the date of final payment under the prime contract and by the subcontractor for a period of five (5) years from the date of final payment under the subcontract.

Thiscontractisineffectfortheperiodcommencing(enterbeginningdate)and ending on (enter ending date).

Theeffectivedateofthiscontractmaybeextendedonlyifanamendmenttothat effectisdulyexecutedbythecontractingpartiesandapprovedbythenecessary authoritiespriortosaidterminationdate.Requestsforextensionsmaybeinitiatedby eitherpartybythemailingofsuchrequesttotheparty,viaCertifiedMail,returnreceipt requested,notlessthanthirty(30)daysbeforetheterminationdateprovidedforherein

orthirty(30)daysbeforetheterminationofthefirstextensionofthiscontract.Ifeither partyinformstheotherthatanextensionofthiscontractisdeemednecessary,an amendmentmaybepreparedbyStateandforwardedtotheotherpartyforappropriate action by the other party, and said amendment is to be returned to State withappropriateinformationandsignaturesnotlessthanfifteen(15)dayspriorto terminationdate.Uponreceiptoftheamendmentitwillbeforwardedtothenecessary authorities for their approval.

Notwithstandingtheforegoing,innoeventshallthetotaltermofthiscontract, including extensions hereto, be for a period of more than three (3) years.

6.

Thecontinuationofthiscontractiscontingentupontheappropriationoffundsto fulfilltherequirementsofthecontractbythelegislature.Ifthelegislaturefailsto appropriatesufficientmoniestoprovideforthecontinuationofthecontract,orifsuch appropriationisreducedbythevetooftheGovernororbyanymeansprovidedinthe appropriationsacttopreventthetotalappropriationfortheyearfromexceeding revenuesforthatyear,orforanyotherlawfulpurpose,andtheeffectofsuchreduction istoprovideinsufficientmoniesforthecontinuationofthecontract,thecontractshall terminateonthedateofthebeginningofthefirstfiscalyearforwhichfundsarenot appropriated.

7.

Counselshallnotassignanyinterestinthiscontractandshallnottransferany interestinsame(whetherbyassignmentornovation),withoutpriorwrittenconsentof

theState,providedhowever,thatclaimsformoneydueortobecomeduetothe CounselfromtheStateunderthiscontractmaybeassignedtoabank,trustcompany, orotherfinancialinstitutionwithoutsuchpriorwrittenconsent. Noticeofanysuch

assignmentortransfershallbefurnishedpromptlytotheStateandtheOfficeofState Procurement.

8.

TheStateshallhavetherighttocancelthiscontractforanyreasonbygivingthe otherpartywrittennoticesenttoCounsel’saddressbycertifiedmail.Counselshall havetherighttocancelthiscontractforanyreasonbygivingtheState30day’swritten notice by certified mail.

NoticeshallbesentCertifiedMail,returnreceiptrequested,tothefollowing addresses:

If to Counsel:(provide name of contractor (counsel) and full address)

9.

Allrecords,reports,documentsandothermaterialdeliveredortransmittedto CounselbyStateshallremainthepropertyofState, and shall be returnedby Counsel to State,atCounsel’sexpense,atterminationorexpirationofthiscontract.Allrecords, reports,documents,pleadings,exhibitsorothermaterialrelatedtothiscontractand/or obtainedorpreparedbyCounselinconnectionwiththeperformanceoftheservices contractedforhereinshallbecomethepropertyofState,andshall,uponrequest,be returnedbyCounseltoState,atCounsel’sexpense,atterminationorexpirationofthis contract.

10.

TheStateandCounselacknowledgeandagreethattheDepartmentofJustice hastherighttoreviewallrecords,reports,worksheetsoranyothermaterialofCounsel relatedtothiscontract.TheStateandCounselfurtheragreethatCounselwillfurnishto theDepartmentofJustice,uponrequest,copiesofanyandallrecords,reports, worksheets, bills, statements or any other material of Counsel related to this contract.

11.

Counselagreestoabidebytherequirementsofthefollowingasapplicable:Title VIoftheCivilRightsActof1964andTitleVIIoftheCivilRightsActof1964,as amendedbytheEqualEmploymentOpportunityActof1972,FederalExecutiveOrder 11246asamended,theRehabilitationActof1973,asamended,theVietnamEra Veteran'sReadjustmentAssistanceActof1974,TitleIXoftheEducationAmendments of1972,theAgeDiscriminationActof1975,theFairHousingActof1968asamended, andcontractoragreestoabidebytherequirementsoftheAmericanswithDisabilities Act of 1990.

Counselagreesnottodiscriminateinitsemploymentpractices,andwillrender servicesunderthiscontractwithoutregardtorace,color,religion,sex,sexual orientation,nationalorigin,veteranstatus,politicalaffiliation,ordisability,orageinany matter relating to employment.

Anyactofdiscriminationcommittedbycounsel,orfailuretocomplywiththese statutory obligations when applicable shall be grounds for termination of this contract.

12.

Thiscontractisnoteffectiveuntilapprovedinwritingbythe(StateAgency)and theOfficeofStateProcurementinaccordancewithLSA-R.S.39:1595.1.Itisthe responsibilityofthecontractortoadvisetheStateinadvanceifcontractfundsor contract terms may be insufficient tocomplete contract objectives.

13.

Anyclaimorcontroversyarisingoutofthecontractshallberesolvedbythe provisions of LSA-R.S. 39:1672.1 – 1672.4.

ATTACHMENT #1 INSTRUCTIONS FOR SUBMITTING INVOICES

Attheendofeachcalendarmonth,anitemizationofallworkperformed,listing timebydateforworkperformedbyhours,downtothetenthofanhourwithspecific referencetothenatureoftheworkperformed(e.g.draftingofexpertreports, research,reviewoffiles,etc.)shouldbeinvoicedto(agency)viaAcuityManagement System(ifagencyisusingelectronicbillingsystem)ORinaccordancewiththe agency’s request.

Reimbursementforallexpensesmusthavereceiptsordocumentationattached totheinvoicesorreimbursementwillnotbemade.Someexamplesofthereceiptsor documentation that will be acceptedare given below:

1.Express Mail - a copy of the invoice from the vendor.

2.Travelexpenses-purposeofthetrip,milestraveledorairline ticket receipt,parkingreceipts,taxireceipts,hotelreceipts(creditcardreceiptwillnotbe accepted).

3.Invoicesaretobesubmittedattheendofeachcalendarmonthandmust indicatetheamountofthecontract,theamountbilledtodateandtheremaining balance.

If your invoices are billedby each individual case that you have worked on please includeasummarysheetforthatmonthforthatinvoice.Donotincludeanyprevious balances owed on the summary sheet.

LSA-R.S. 39:1618 calls for invoices to be submittedin the form of an affidavit.
