NORTH RIVERSIDE NEIGHBORHOOD ASSOCIATION

ARTICLE ONE

NAME AND PURPOSE

Section 1. Name

The name of the organization shall be NORTH RIVERSIDE NEIGHBORHOOD ASSOCIATION, hereinafter referred to as NRNA.

Section 3. Purpose

The purpose of NRNA shall be to work on a continuum to enhance the quality of life of neighborhood residents, business owners and their workers.

ARTICLE TWO

MEMBERSHIP

Section 1. Membership

General membership is open to any person who resides, owns property, or is employed full-time within the following boundaries in the City of Wichita, County of Sedgwick: From 21st Street and Amidon east to the Little Arkansas River, southeasterly along the south and west bank of the river to 13th Street, west to the Arkansas River and north to 21st.

ARTICLE THREE

OFFICERS

Section 1. Eligibility

Officers are elected from neighborhood residents. Business owners and their employees who are not residents within the neighborhood boundaries are not eligible to serve as Officers of NRNA. Ownership of property is not a prerequisite for eligibility.

Section 2. Officers

Officers are President, Vice-President, Secretary, and Treasurer.

Section 3 Election

The ballot/slate of officers shall be presented to the Board of Directors at least thirty (30) days prior to election. Elections are before the members in attendance at the last regular meeting of the year, normally the third Monday evening of November (see ARTICLE FOUR, MEETINGS).

Section 4 Terms

Term of office shall commence with the first meeting of the new year, normally the third Monday in January. Each Officer’s term will be for 2 years and will include eligibility for re-election to one additional consecutive term.

Section 5. Duties of Officers

  1. President

1. Oversee all business and affairs of NRNA subject to concurrence of Executive Board

2. Preside at all meetings of the membership and of the Executive Board.

  1. Appoint standing committees, ad-hoc committees and their chairpersons subject to concurrence of Executive Board.
  2. Serve as ex-officio member of all committees except nomination committee
  3. Represent the Association at meetings, delegating this activity when necessary.
  4. Perform other duties as necessary.
  1. Vice-President

1. Perform duties of the President when the President is unable to serve.

2. Assume duties of the President if the office becomes vacant until the next general

election or until a special election is held.

  1. Perform other duties as may be assigned by President or Executive Board.

B.Secretary

1. Record minutes of Association and Executive Board meetings.

  1. Maintain electronic copies of all minutes.
  2. Maintain paper copy in NRNA Secretary’s Manual.
  3. Maintain all other Association records and official papers in Secretary’s Manual.
  4. Provide attendance sheets for each meeting and maintain in Secretary’s Manual.
  5. Assist as requested with any correspondence of the Association and Board.
  6. Perform other duties as may be assigned by President or Executive Board.
  1. Treasurer

1. Receive monies, pay bills and disburse funds as directed by Executive Board.

2. Maintain accounting records for NRNA projects and committees as directed by

Executive Board.

  1. Provide a written Treasurer’s report at each NRNA meeting and at Executive Board Meetings.

4. Perform other duties as may be assigned by President or Executive Board.

Section 6. Vacancies.

An officer may be removed from office by the Executive Board upon the officer’s unjustified absence from three (3) consecutive general or board meetings. When a vacancy exists upon the death or resignation of a Board member or the declaration of a vacancy by the Board, the highest elected officer on the Board has the authority to fill the vacancy. At the next general meeting following that appointment, a general membership vote of confidence will be held.

ARTICLE FOUR

MEETINGS

Section 1. Meetings

General Meetings shall be held on the third Monday of each month, or as called by the President of the Association.

Section 2.

Voting is open to any member of the Association.

ARTICLE FIVE

EXECUTIVE BOARD

Section 1. Executive BoardMeetings

All Officers, Standing Committee Chairpersons, and the Past President are considered members of the Executive Board.

Section 2. Board Meetings

A. The meetings of the Executive Board shall be scheduled regularly by the President.

B. A majority of the Board shall constitute a quorum for transaction of business at any

Section 3. Duties

A. Control and manage the funds of the Association.

B Conduct business between meetings of the Association.

1. Establish and fill such committees as they may deem necessary for the discharge

of the affairs of the Association.

2. Approve committee appointments which are made by the President.

3. Executive Board shall review the by-laws periodically as deemed necessary. By-

laws may be altered, amended or repealed and after approval by Executive Board and after proper notice to membership new by-laws may be adopted by a majority of votes at a general meeting.

Section 4. Term of Committee Appointment

Members appointed to committees shall serve for one year or until their successors are appointed.

ARTICLE SIX

Parliamentary Authority

Section 1.

Parliamentary Authority shall be Robert’s Rules of Order, latest addition.
