P A R T O N E

  1. MEMBERSHIP

Upon payment of both Entrance Fee and the appropriate proportion of the Annual Subscription, in each case at the rate laid down by the Board of Directors at time of admission, persons may be admitted to the following classes of membership at the sole discretion of the Board of Directors:

a)Family

Husband and wife plus children under 18 years of age. If a child of a member wishes to become a golf member, he must submit a Kenya Golf Union handicap or receive initial handicap rating from the Windsor Golf professional.

b)Single

Any person over 18 years of age.

c)Corporate

A named employee of a Company (The Sponsoring Company) as full Family member in accordance with (a) above. Corporate membership may be transferred from one name employee to another upon application to the Club and payment of the prescribed fee, but without payment of an Entrance Fee.

The Sponsoring Company remains liable for all Entrance Fees, Annual Subscriptions and transfer fees payable under Corporate Membership.

d)Membership Details

Membership of the Windsor Golf & Country Club will be made available under the following categories.

  1. Golf Membership

Members will be entitled to the following golfing benefits:

  • No green fee charge on the 18 hole championship golf course.
  • Set (preferential) tee times
  • Use of the driving range
  • Golf tuition discount 20% with out resident Golf Pro.
  • Use of a members club house.

Other Social and Sporting Benefits:

  • Access to the Hotel’s tennis courts
  • Access to the squash court
  • Tennis and squash tuition discounts 20% with out resident coach.
  • Use of our heated swimming pool.
  • Access to the Health Club complete with exercise room, hairdresser and steam room.

Discounts of 20% on the published rates on the following hotel properties:

  • Accommodation
  • Conference room and audio visual equipment
  • The restaurants and coffee shop
  1. Social Membership

Social members will be entitled to the following privileges:

  • Access to the Health Club complete with exercise room, hairdresser and steam

room.

  • Access to the golf course on payment of green fee.
  • Access to the Hotel’s tennis courts.
  • Access to the squash court, croquet lawn,
  • Use of our heated swimming pool.

Discounts of 20% on the published rates of the following hotel properties:

-Accommodation

-Conference room and audio visual equipment

-The restaurants and coffee shop

-Tennis and squash tuition with our resident coach

  1. OBLIGATIONS OF MEMBERSHIP

a)To pay an Annual Subscription as provided for Bye-law 5.

b)To pay an Entrance Fee, where relevant, as provided for in Bye-law 5.

c)All accounts shall be made up at the end of each month and posted to members. If on the 30th, of the month following that in which the account was dispatched member’s account remain unpaid he shall be surcharged at the rate of 10% per month on the amount outstanding and his name shall be reported to the Committee who may take action.

d)To pay and make good to the Club any loss or damage which the Club may sustain through any act or default of the Member, or his guests or family members.

e)To notify the Club of any change in residence or status which entails the transfer of Membership from one class to another.

f)To observe the provisions of all Bye-laws, Rules and Regulations of the Club.

  1. PRIVILEGES OF MEMBERS

Members shall be entitled to full use of the facilities of the Club, subject to any restrictions by virtue of membership classification as laid down in Bye-Law 1, and subject where required to the payment of any fee, and to the conditions under Bye-Law 10.

  1. ELECTION TO MEMBERSHIP

a)Full Membership

On completion of the relevant application form and payment of the relevant fees, and subject to the sole discretion of the Board of Directors.

b)Temporary Membership

Applicants for Temporary Membership must be introduced by a full Member who shall be responsible for any unpaid debts or liabilities incurred by the applicant agreed as at the discretion of the General Manager.

  1. ANNUAL SUBSCRIPTIONS AND ENTRANCE FEES

a)Annual Subscriptions and Entrance Fees shall be at rates laid down from time to time by the Board of Directors. please note there will be a moratorium on the

subscription fee for 2 years (from 1.1.92).

b)Annual Subscriptions are due on the 1st of January of each year. Upon first being admitted to membership, a Member shall pay a pro rata proportion of the current Annual Subscription for the period to the following 31st December.

c)Children of Members attaining the age of 18 years will be liable to payment of an Entrance Fee and Annual Subscription on election to membership.

d)Children will be deemed to have attained the age of 18 as of 1st January following his/her twenty-first birthday.

e)Any Member who has not paid his/her Membership fee within 45 days of the due date will cease to be a Member of the Club.

  1. MEMBERSHIP CARDS

A Membership card indication the Member’s name, a membership number and the expiration date will be issued tothe Club Member as well as other eligible Members of his or her family upon payment of his dues by the Member. Membership cards are not transferable.

  1. ACCOUNTS

a)Entrance Fees, Annual Subscriptions and other fees are payable in full in advance.

b)All food and beverage and services of the Club charged to the Member’s Club account will be billed monthly. Accounts will be due and payable within thirty (30) days of billing. If a Member’s Club account has not been paid in full after fort-five (45) days from the date of a statement, that Member’s membership shall be liable to termination or suspension, at the Club's option. Further, all amounts which remain unpaid after thirty (30) days as aforesaid will bear interest at the rate of 10% (or, if lower, the highest rate permitted by applicable law) per month

from the date of the statement until paid in full.

c)If the Club account of any member is delinquent, the Club may at its option take whatever action it deems necessary to effect collection. If the Club commences any legal action to collect any Club account owed by any member, or to enforce any other liability of any Member to the Club and if a judgement is obtained by the Club, that Member shall reimburse the Club for its costs and expenses of the legal action (including reasonable lawyers’ fees and all costs and expenses expended in connection with any appeal proceedings).

  1. SUSPENSION AND TERMINATION OF MEMBERSHIP

a)A Member may resign his or her membership in the Club by delivering to the General Manager of the Club written notice of resignation in accordance with the Bye-Laws of the Club. Notwithstanding resignation, the Member shall remain liable for any amounts unpaid on the Member’s Club account, dues and fees.

b)A Member’s membership may be terminated or suspended by the Club if the Member should:

i)exhibit unsatisfactory behaviour, deportment or appearance;

ii)permit his or her Membership card or Club account to be used by a Non-Member;

iii)fail to accompany a guest where required when using facilities of the Club;

iv)fail to pay monthly dues, fees or Club accounts in a proper and timely manner;

v)fail to abide by the rules and regulations as set forth for use of the facilities of the Club;

vi)treat the personnel or employees of the Club in an unacceptable manner.

c)Notwithstanding any termination or suspension of a Member’s membership, the Member shall remain liable for any unpaid Club account, dues and other fees and such Member shall not be entitled to a refund of any part of the dues theretofore paid by the Member of the Club.

d)Membership is non-transferable.

  1. LOSS, DAMAGE AND REMOVAL OF THE CLUB’S PROPERTY

a)If any loss or damage to the Club’s property is caused by a Member or any of his or her guests or family members, that member shall be responsible for the prompt repair or replacement of the property so lost or damaged at his sole expense and shall indemnify the Club against any costs or expenses howsoever incurred by the Club in repairing or replacing that property promptly upon receiving a statement thereof from the Club.

b)No person shall remove any of the Club’s property from the Club’s premises without prior written authorization of the General Manager.

  1. ABANDONED PROPERTY

Property left on the Club’s premises (other than in a place allocated for storage and upon payment of the applicable fee) for more than six (6) months shall be deemed abandoned and shall be sold or otherwise disposed of, without notice to its owner, by the Club which shall keep any proceeds for sale.

  1. DISCLAIMER OF LIABILITY

a)All persons entering the Club’s premises or using the Club’s facilities do so entirely at their own risk and all such persons must be responsible for their own safety and for the care of their belongings. Neither the Club nor any of its Directors, employees, agents or contractors shall be liable for any injuries (including loss of life) incurred by such persons or for loss or damage to their belongings, however the same may occur.

b)All persons taking part in any activity, whether on the Club’s premises or which is organized by the Club elsewhere, shall be deemed to have consented to all risks of injury (including loss of life) and of loss or damage to their property inherent in that activity.

  1. LIABILITIES OF MEMBERS, THEIR FAMILY AND GUESTS

A person may enter the Club’s premises or use the Club’s facilities only subject to the condition that he or she shall fully and effectively indemnify the Club against any cost, claim, loss, liability or expense the Club may incur as a direct or indirect result of that person causing injury (or loss of life) to any other person or loss or damage to any other person’s property. If any person who is not a member fails to fully and effectively indemnify the Club as aforesaid, the Member of whom that persons was a guest or family member shall indemnify the Club to the same extent.

  1. CHILDREN

a)Children of Family Member under the age of 18 years enjoy the facilities of the

Club free of annual subscriptions subject to the conditions laid down herein.

b)Children under the age of 15 years are not permitted in the Club House unless accompanied by an adult.

c)Children under the age of 8 years will not be permitted to use the Golf Club House. However, they will be allowed to use the other facilities under parental supervision. Children under the age of 15 will be permitted to use the facilities under parental supervision.

P A R T T W O

  1. GUESTS

a)Guests must be sponsored by a fully paid-up Member of the Club.

b)Guests must complete a Guest Form.

c)No individual may be invited to use the sports facilities of the Club as a guest more that 2 times per month.

d)Except by prior arrangement with the General Manager, no Member may sponsor more than 1 guest in any one day.

e)A Member enjoying single membership may not sign his/her spouse in as a guest more that 2 times per month.

f)A member may sponsor for golf one guest per round.

g)Guests must be accompanied by the Member.

h)Guests will be liable to pay a green fees and social fees for the use of all facilities of the Club.

i)The sponsoring Member will become liable for any fees or other charges incurred by a guest and not paid.

j)Guests are, whilst on the Club premises, the responsibility of the sponsoring Member, and any debts or damages incurred as a result of any action of the guest shall be the responsibility of the Member.

  1. VISITORS

The Club reserves the right to allow visitors access to the Club House, grounds or facilities for any organized event on payment of such fees, and subject to such conditions as it sees fit.

P A R T T H R E E

  1. HOURS OF OPENING

The Club and its facilities shall be open on the days and during the hours established, from time to time, by the Board of Directors.

The Course opens at 7.00 am should members wish to play before this time advance arrangements must be made with the Golf Manager. Members wishing to play may book with Golf Administration. Bookable times are from 7.00 am to 3.00 pm.

Members should not plan or set dates for sports or social activities without prior approval of the Golf Manager.

Performance by entertainers will not be permitted on the property of the Club without the permission of the General Manager.

  1. TEMPORARY CLOSURE

The Board shall be empowered to close the whole or any part of the Club to Members for any period and charge an entrance fee for that period. Twenty-four hours notice of any closure shall be given to Members where possible.

  1. COMMERCIAL ADVERTISEMENTS

Commercial advertisements shall not be posted or circulated in the Club nor shall business of any kind be solicited or transacted on the property of the Club nor upon the Club’s stationery without approval of the Board of Directors.

19FOOD AND BEVERAGE SALES.

Outside catering is not permitted except with the express authority of the General Manager. All food and beverages consumed on the properties of the Club must be furnished by the Club or its appointed agent.

20.PETS.

Dogs and other pets are not permitted on the Club’s premises.

  1. ATTIRE/DRESS REGULATIONS (see also Sports Facilities)

a)Members will be expected to dress in a manner befitting the surroundings and atmosphere of the Club.

b)Members will be responsible for ensuring that children and guests are likewise properly dressed at all times.

c)Gentlemen will be required, in addition to (a) above, to wear long trousers whilst in the Lounge Bar, Cocktail Bar or Restaurant after 7.30 p.m.

d)Spiked shoes will be permitted in designated areas.

e)None of the above regulations shall preclude the wearing of National Dress in any area of the Club.

f)Exceptions to all, or any, of the above regulations may be made for theme parties or other designated events.

g)Swimwear may only be worn in the immediate area of the Swimming Pool, Pool Terrace and Pool changing room.

P A R T F O U R

  1. GOLF RULES

a)All Members and guests must obtain a starting time from the Golf Administration before beginning play.

b)All players must start from the first or tenth tee unless permission has been

obtained room the Golf Administration and cutting in, is not permitted in any area

of the course.

c)Practice is not allowed on the golf course. The driving range and the practice putting green should be used for all practice.

d)Playing more than one (1) ball is prohibited.

e)If a match fails to keep its place on the course and loses more than one clear hole on the players ahead, it must allow the following match to play through.

f)All players who pause after playing nine (9) holes must occupy the next tee, so as not to be in breach of rule (e) or they will lose their position on the golf course.

g)All tournament play must be approved in advance by the Gold Administration.

h)Proper golf etiquette should be observed at all times.

i)Golf Admin. Staff has the authority to regulate play and enforce golf cart regulations. The Golf Admin. Staff has full authority on the golf course to enforce all rules and speed of play.

j)Each player must have his or her own set of golf clubs.

k)Appropriate golf attire is required for all players.

l)The dress code is mandatory for all players. Improperly dressed golfers will be asked to change before playing. If you are in doubt concerning your attire, please check with Golf Admin.

m)The Club reserves the right to refuse access to the course to any person until that person has satisfied the Golf Professional that he/she possesses sufficient ability to a satisfactory and acceptable standard.

n)Golf Starting Times

i)All players must have a starting time reserved through the Golf Admin.

Starting times may be reserved up to 14 days in advance.

ii)The Golf Admin. will again assign the starting time depending on availability.

iii)Every effort will be made to separate two ball and four ball play.

iv)Cancellation must be notified to the Golf Admin. Continued abuse of this regulation will lead to disciplinary action from the Board.
