CERTIFICATE RE:

NEVADA BUSINESS OPERATIONS AND PROPERTIES

In connection with a debt financing by Southern California Edison Company, a California corporation (the "Company"), the undersigned hereby certifies that:

(1)The undersigned is a duly elected officer of the Company and has authority to execute and deliver this certificate;

(2)The undersigned is generally familiar with the operations and properties of the Company and the information that is the subject matter of this certificate and, although not personally familiar with all of such information, is informed and believes, based on the undersigned’s familiarity with the activities of the Company and on confirmations of such information from appropriate persons within the Company, that such information is accurate and complete; and

(3)With respect to the business operations and properties of the Company located in the State of Nevada, the Company is operating agent for itself and other participants of transmission lines and a substation with related lands, rights-of-way, permits and easements in which it owns an undivided interest, and owns or leases related communication facilities (the lines, substation and communication facilities, located in Clark County, are referred to as the "Eldorado System"); the Company is the sole owner and operator of certain transmission lines and related communication circuits,with related lands, rights-of-way, permits and easements, and other facilities in Clark County (the "Edison Facilities"); the capacity of the Eldorado System that is owned by the Company and of the Edison Facilities is used for transmission of electric energy generated both within and outside the State of Nevada; the Company owns an undivided interest as tenant-in-common in a D-C transmission line (the "D-C Line") and related communication facilities operated by another tenant-in-common extending from the Nevada-Oregon border southerly to the Nevada-California border, and passing through the Counties of Washoe, Pershing, Churchill, Lyon and Mineral, all in the State of Nevada; the Company occasionally transmits and receives electrical energy with utilities outside the State of Nevada using transmission facilities located within the State of Nevada; the Company transmits electric energy for various California and Arizona utilities using the Eldorado and Mead Substations, both of which are in Clark County, Nevada; the Company owns no electric distribution facilities in the State of Nevada and makes no sales or purchases of electricity at retail in that state; the Company makes no sales for resale to other utilities and no purchases for resale from other utilities in the State of Nevada except as follows:

(a)Sales of transmission service to Arizona Electric Power Cooperative, Inc., and various California utilities between Mead and Eldorado Substations and various delivery points in central and southern California;

(b)Lease of two 230 kV transmission lines owned by SCE between the Boulder Canyon Project (Hoover Dam, which is owned by the United States Department of the Interior, Bureau of Reclamation) and Mead Substation for the delivery of the electrical output of the Boulder Canyon Project to Mead Substation;

(c)Purchases from the Western Area Power Administration ("WAPA") of electric energy from the Boulder Canyon Project under an electric service contract calling for delivery at Mead Substation in Clark County in the State of Nevada which, with respect to sales by the Company, have been and will in the future be resold to and consumed by California customers;

(e)Occasional short-term purchase and sales transactions with power marketers, utilities or other load serving entities throughout the western United States in accordance with master enabling agreements where energy is sold, purchased, or exchanged in each state;and

(f)Monthly exchanges and occasional sales and purchases of electric energy at delivery points located at the California-Nevada border and Mead Substation to and from Valley Electric Association, Inc.;

(g)Delivery of electric energy to the Metropolitan Water District of Southern California ("MWD") at Mead Substation in the State of Nevada, which energy so delivered to MWD is consumed outside the State of Nevada;

(h)The Company receives electricity from Parker Dam and Davis Dam through WAPA as the agent for MWD and the United States Air Force's entitlement to the Parker-Davis Project;

(i)The Company purchases transmission service from WAPA between Mead Substation and Parker Substation in California to serve a fringe portion of the Company’s retail load in California; and

the Company does not conduct any operations or activities, or own any property, related to the generation, purchase, transmission, distribution or sale of electricity in the State of Nevada other than as previously referred to in this paragraph (3).
