The undersigned does hereby constitute and appoint ______(appointed proxy must be a unit owner in good standing) as attorney and agent for me, in my name, place, and stead, to vote as my proxy at the above captioned meeting. [If I have not named a specific person as my proxy in the preceding sentence, then I shall be deemed to have appointed the Secretary of the Association as my proxy.]
I authorize my proxy to vote in accordance with the choice indicated on the attached ballot regarding the proposed amendment to the By-Laws. [If I have not attached a ballot or indicated any choices on the ballot, then my proxy is authorized, in his or her discretion, to cast my vote as my proxy deems appropriate.] My proxy is also authorized, in his or her discretion, to vote on my behalf regarding any other business properly before the Association.
If my proxy is unable to attend the meeting or is otherwise ineligible, unable, or unwilling to act as my attorney and agent, then my proxy may designate a substitute proxy to act in my proxy's name, place, and stead. Such designation must be in writing and must be delivered to the Secretary prior to the opening of the polls.
This proxy may be utilized at any adjournment or continuation of the meeting referenced above. However, this proxy shall become ineffective on the date which is eleven (11) months following the date of this proxy. I acknowledge that I may revoke this proxy but any such revocation must be in writing and must be delivered to the Secretary prior to the opening of the polls.
This proxy shall be counted in connection with the Association's quorum requirements.
