VDR – how to take care of the image of a listed company in negotiations with banks

Virtual Data Room (VDR) Technology, so far associated with good practices during Mergers and Acquisitions is entering a new stage of usage. It is currently supporting the JastrzębskaSpółkaWęglowa in negotiations with respect to obtaining financing.

JastrzębskaSpółkaWęglowa is negotiating with banks on financing conditions, with which the Company intends to partially finance the purchase of the Knurów-Szczygłowice mine. The value of the planned investment, and hence – the funding, is so important that it requires the exchange of sensitive information from multiple entities (e.g., funding agencies, legal advisors, financial advisors, etc.).

During such difficult negotiation process with the amount of parties involved, sending documents via e-mail may be subject to a human error. VDR technology allows for full control over the access to the documents with the possibility of deciding who and to what extent and time can use the confidential data.

“There is a possibility of securing the documents in such way that they are protected from saving or printing and any further distribution. The administrator decides who has what kind of access to which documents. In addition, the client monitors any user activity through reports – in a word, each of the documents is closely guarded and watched according to the client`s needs”says Aleksandra Prusator from Datapoint.

Confidentiality in the circulation of documents during any transactions is particularly important for entrepreneurs who care about professional image, especially listed companies.
