Memorandum of Understanding
This Memorandum of Understanding (MOU) is entered into by and between the Pennsylvania Association for Supervision and Curriculum Development, with an Executive Director office at 101 Foxfire Lane, Lewisberry, PA 17339, hereinafter referred to as (“PASCD”), and Blended Schools Network, located at 2527 US Highway 522 South, McVeytown, PA 17051, hereinafter referred to as the (“BSN”).
I. BACKGROUND
A. BSN helped PASCD design, market and produce the last three annual PASCD conferences. As the branding sponsor of those conferences, BSN helped plan and advertise the conferences; helped manage registrations; provided funding toward the conference Internet network service expenses; contributed sessions; hosted presenters’ resources online; and provided the technology, logistics and staffing for delivering synchronous, web conference sessions.
B. Both PASCD and BSN view previous conference affiliations as successful, and the parties mutually desire to associate under the terms and conditions set forth in this Memorandum of Understanding with the intent to design, market and produce the 2014 PASCD Annual Conference.
II. NOW THEREFORE, in consideration of the foregoing, the parties agree as follows:
A. Purpose of Agreement. Collaboration between BSN and PASCD will yield a unique opportunity to renew a comprehensive conference that connects teaching, learning and technology. BSN and PASCD will collaborate to design, market and produce the 2014 PASCD Annual Conference to be held November 23, 24 and 25, 2014, according to the following terms. Nothing in this Agreement shall be deemed to create a partnership or other legal entity between the parties.
B. Duties; Performance.
PASCD agrees to the following:
1) On or before March 1, 2014, BSN will be provided conference banner and logo visibility on marketing, signage and conference materials. All PASCD conference print and electronic marketing materials will display BSN’s logo and clearly state that the 2014 PASCD Annual Conference is “Powered by Blended Schools Network”.
2) Employees of BSN member school districts will be charged the same conference prices as PASCD members.
3) PASCD will provide free conference registration for BSN employees.
4) The conference will have a small group strand for blended learning, and a separate small group strand for online learning. Each small group strand will be separately represented in each small group time slot. The Request for Proposals will list all small group strands.
5) If desired by PASCD, keynote presentations and at two small group sessions per time slot will be broadcast by BSN via synchronous, web conferencing technologies.
6) PASCD will provide BSN a major corporate sponsorship booth space.
7) PASCD will provide BSN an vendor reception site for either Sunday or Monday evening of the conference.
8) The PASCD conference will a host major corporate sponsor presentation by BSN.
9) BSN will be provided opportunity to present their annual awards during a conference general session.
BSN agrees to the following:
1) BSN will provide marketing access to the thousands of innovative and early adopter classroom teachers that use BSN technologies and curriculum.
2) BSN will provide online and blended learning adoption and implementation leadership.
3) BSN will provide application knowledge of innovation and trends in online and blended learning.
4) BSN will provide expert-level online and blended learning presentations.
5) BSN will provide the management, technology and experienced staff for facilitating synchronous, web conferencing presentations as needed.
6) BSN will provide two representatives to the PASCD conference committee with experience in project planning, curriculum and instruction leadership, instructional technology expertise, and conference registration management.
7) Deanna Mayers will serve as the conference chairperson for small conference sessions.
8) Sheri Borders will serve as the conference chairperson for registration.
9) BSN will contribute $10,000 for Tier 3 network access at the conference facility for use by all conference participants.
10) BSN will provide eight video projectors for conference small group sessions.
11) BSN will provide the online technology for hosting presenters’ resources.
12) BSN staff will serve as small group session moderators.
