1.SCOPE

a.Theprices,termsandconditionsstatedunderSpecialItemNumber 132-51InformationTechnology Professional Services applyexclusivelytoITProfessional Services withinthescopeofthisInformation Technology Schedule.

b.TheContractorshallprovide services attheContractor’s facilityand/orattheordering activitylocation,asagreedtobytheContractorandtheorderingactivity.

2.PERFORMANCE INCENTIVES I-FSS-60PerformanceIncentives(April2000)

a.Performance incentives maybeagreed uponbetweentheContractorandtheorderingactivityonindividual fixedpriceordersorBlanketPurchaseAgreements underthiscontract.

5.STOP-WORKORDER (FAR52.242-15) (AUG1989)

AllITProfessional Services performed bytheContractorunderthetermsofthiscontractshallbeasanindependent Contractor, andnotasanagentoremployeeoftheorderingactivity.

10.ORGANIZATIONAL CONFLICTS OFINTEREST

a.Definitions.

“Contractor” meanstheperson,firm,unincorporated association,jointventure, partnership, orcorporationthatisapartytothiscontract.

“Contractoranditsaffiliates”and“Contractororitsaffiliates”referstotheContractor,itschiefexecutives,directors,officers,subsidiaries,affiliates,subcontractorsatanytier,andconsultantsandanyjointventureinvolvingtheContractor,anyentityintoorwithwhichtheContractorsubsequentlymergesoraffiliates,oranyothersuccessororassigneeoftheContractor.

An“Organizational conflictofinterest”existswhenthenatureoftheworktobeperformed underaproposedordering activitycontract,withoutsomerestrictiononorderingactivitiesbytheContractoranditsaffiliates,mayeither(i)resultinanunfaircompetitiveadvantage totheContractororitsaffiliatesor(ii)impairtheContractor’s oritsaffiliates’objectivityinperforming contractwork.

b.Toavoid anorganizational orfinancialconflictofinterestandtoavoidprejudicing thebestinterestsoftheordering activity,ordering activitiesmayplacerestrictionsontheContractors,itsaffiliates,chiefexecutives,directors,subsidiariesandsubcontractorsatanytierwhenplacingorders againstschedulecontracts. SuchrestrictionsshallbeconsistentwithFAR9.505andshallbedesignedtoavoid,neutralize,ormitigateorganizational conflictsofinterestthatmightotherwiseexistinsituationsrelatedtoindividual orders placedagainsttheschedulecontract. 11.INVOICES

TheContractor,uponcompletionoftheworkordered, shallsubmitinvoices forITProfessional services.Progresspaymentsmaybeauthorizedbytheordering activityonindividual orders ifappropriate.

Progresspaymentsshallbebaseduponcompletionofdefinedmilestonesorinterimproducts. Invoices

shallbesubmittedmonthlyforrecurringservices performed during thepreceding month.

12.PAYMENTS

Forfirm-fixed priceorders theordering activityshallpaytheContractor,uponsubmissionofproperinvoices orvouchers, thepricesstipulatedinthiscontractforservicerendered andaccepted. Systems Engineer

Description: Under general supervision, performs high-level systems analysis, evaluation, design, integration, documentation, and implementation of very complex application that require a thorough knowledge of administrative and technical skills. Directs and participates in all phases of system development with emphasis on planning, analysis, evaluation, integration, testing and acceptance phases (IV&V and DT&E). Applies higher-level business or technical principles and methods to very difficult technical problems to arrive at automated engineering solution.

Description: Under general supervision, conducts or participates in multidisciplinary research and collaborates with equipment designers and/or hardware engineers in the planning, design, development, and utilization of electronic data processing systems software. Description: Under general supervision, responsible for moderately complex tasks typically relating to network monitoring, operations, installation or maintenance. Handles routine network activities and identifies and resolves routine network problems.

Description: Under immediate supervision, responsible for effectively tracking, logging, categorizing, and maintaining changes made against the accepted Government’s baseline(s) standards. Computer Operator

Description: Under general supervision, monitors and controls a computer by operating the central console or on-line terminals. May operate auxiliary equipment directly associated with the computer. May maintain records regarding output units and supply inventories. May assist in manipulating controls to rearrange sequence of job steps to continue operations when individual units of the system malfunction. Competent to work on most phases of computer operations, but still may require some instruction and guidance for other phases.
