Terms and Conditions of Sale

of Custom AccuPower™

Upon signing this contract, you agree to the following terms and conditions. Parties are referred to herein as "Client", purchaser of service/finished good and "Bioneer", service/finished good provider.

Bioneer has provided a validation sample of Custom AccuPower™ at the concentrations and conditions noted in the Custom AccuPower™ Order Conditions. Bioneer requires Client validation and authorization of Custom AccuPower™ before manufacturing the finished product.

  1. Bioneer has provided the validation sample to Client under the conditions noted in the Custom AccuPower™ Order Conditions.
  1. The Custom AccuPower™ sample provided by Bioneer has been tested by the Client and the reaction conditions of the Custom AccuPower™ validation sample have been approved by the Client.
  1. Client’s signature of this document implies validation of the sample and Client’s authorization to provide finished Custom AccuPower™ product.
  1. By providing a form of payment, the Client agrees to pay in accordance with the Custom AccuPower™ Pricing Structure included with this contract.
  1. The estimated date of shipment of the finished product, as detailed under the Custom AccuPower™ Order Conditions, is 20 business days starting from the receipt of this signed contract and a form of payment from the Client.
  1. Each party agrees that the Confidential Information, inclusive of sequence information and the terms of the Custom AccuPower™ Order Conditions, for seven (7) years following the date of disclosure to the other party, are to be considered confidential and proprietary to the Disclosing party and shall hold the same in confidence, shall not use the Confidential Information other than for the purposes of its business with the other party, and shall disclose it only to its officers, directors, or employees with a specific need to know. Each party will not disclose, publish or otherwise reveal any of the Confidential Information received from the Disclosing party to any third party whatsoever except with the specific prior written authorization of the Disclosing party.
  1. Bioneer is released, by the Client, from providing any further changes and/or optimizations at the quoted price other than those specified in the Custom AccuPower™ Order Conditions.
  1. Client hereby agrees to indemnify Bioneer and to hold them harmless from and against any claim, loss, expense, damage or liability (including reasonable attorneys fees and out of pocket expenses) arising out of the resale of Custom AccuPower™ by the Client.
  1. The scope of this contract does not exceed the terms and conditions not included in this contract.

By signing this contract, it is implied and/or agreed that the terms and conditions are acceptable to the Client.
