Our financial institutions implementsandmaintainsananti-moneylaundering program that:

(a)Complieswith the requirements of the Bank Secrecy Act

(b)Includes,at aminimum:

(1)A system of internalcontrols to assure ongoing compliance;

(2)Independent testingfor compliance to beconductedbybankpersonnelorbyan outsideparty;

(3)Designation ofanindividual or individualsresponsible forcoordinatingand monitoringday-to-daycompliance;

(4)Training for appropriate personnel;and

(5)Appropriate risk-basedprocedures forconducting ongoingcustomerdue diligence, to include, but not be limitedto:

(i)Understanding thenature and purposeofcustomerrelationshipsfor thepurpose ofdeveloping acustomer riskprofile;and

(ii)Conducting ongoing monitoring to maintain and updatecustomer informationand to identify and report suspicioustransactions;and

(c)Complieswith the regulation ofits Federalfunctionalregulatorgoverningsuchprograms.

BENEFICIAL OWNERSHIP REQUIREMENTS FOR LEGAL ENTITY CUSTOMERS

(a)Our financial institution is required to establishand maintainwrittenproceduresthat arereasonablydesigned toidentifyand verifybeneficialowners oflegal entity customers.

(b)Identification and Verification. With respect to legal entitycustomers, our financialinstitution’scustomer due diligence procedures should enabletheinstitution to:

(1)Identifythe beneficialowner(s) of eachlegalentitycustomer,unlessotherwise exempt pursuant to §1010.230(d). To identifythebeneficialowner(s),ourfinancial institution must obtainatthetimea new account isopened acertification in the form ofAppendixA from the individualopening theaccount on behalf ofthe legal entity customer;and

(2)Verifytheidentityofeach beneficial owner identified to thecoveredfinancialinstitution,accordingto risk-based procedures totheextent reasonable andpracticable. At aminimum, theseprocedures must be identical to our financial institution’sCustomerIdentificationProgramprocedures required for verifying theidentityof customersthatare individuals.

(c)BeneficialOwner. Forpurposes ofthis section,BeneficialOwner means each ofthe following:

(1)Eachindividual, if any,who, directlyor indirectly,throughanycontract,arrangement,understanding,relationship or otherwise,owns 25%ormoreoftheequityinterests ofa legal entity customer;

(2)A single individualwithsignificant responsibility to control,manage, ordirect alegal entity customer,including

(i)Anexecutive officer orsenior manager (e.g.,aChiefExecutive Officer,ChiefFinancialOfficer,ChiefOperatingOfficer,ManagingMember,GeneralPartner, President,Vice President, or Treasurer); or

(ii)Anyother individualwho regularlyperformssimilarfunctions.

(d)LegalEntity Customer.For the purposes ofthis section,

(1)Legalentity customermeans: a corporation,limited liabilitycompany,partnership orother similar business entity(whetherformedunder the laws ofa state oroftheUnitedStates ora foreignjurisdiction) thatopens anew account.

(2)Legalentity customerdoes not include:

(i)A financial institution regulatedby a Federalfunctionalregulator ora bankregulatedbya State bankregulator;

(ii)A persondescribed in §1020.315(b)(2) through(b)(5) ofthis Chapter;

(iii)Anissuer ofaclass of securitiesregisteredundersection 12ofthe SecuritiesExchangeAct of1934 orthat is requiredto file reportsunder section 15(d) of that Act;

(iv)Aninvestmentcompany,asdefined in section 3 oftheInvestment CompanyAct of1940, that is registeredwiththe SecuritiesandExchange Commission under that Act;

(v)Aninvestmentadviser, as defined in section202(a)(11) oftheInvestmentAdvisersAct of1940, that is registeredwiththe SecuritiesandExchange Commission under that Act;

(vi)Anexchange orclearing agency,asdefined in section 3 ofthe SecuritiesExchangeAct of1934, that is registeredunder section 6 or17Aofthe SecuritiesExchangeAct ofthatAct;

(vii)Anyotherentity registeredwith the Securities andExchange Commission under the SecuritiesExchangeActof1934;

(viii)A registeredentity,commoditypool operator,commoditytradingadvisor,retailforeignexchange dealer, swap dealer,or major swap participant, eachasdefined in section 1aoftheCommodityExchange Act,that is registered with theCommodityFutures Trading Commission;

(ix)Apublic accountingfirmregistered undersection 102 oftheSarbanes–OxleyAct;and

(x)Acharityornonprofit entitythat is described in sections501(c), 527, or4947(a)(1)oftheInternal RevenueCodeof1986, has not been denied taxexemptstatus,and is required to and has filedthemost recentlydueannualinformationreturnwith theInternalRevenue Service.

(e)Recordkeeping. Ourfinancial institution must establishproceduresformakingand maintaining a record of allinformationobtainedunder the proceduresimplementingparagraph(b) ofthis section.

(1)Requiredrecords. Ataminimum the record must include:

(i)For identification, the certificationform,and any other identifyinginformationobtainedbyourfinancial institution; and

(ii)For verification, adescription ofanydocumentrelied on (noting thetype, anyidentificationnumber, placeofissuance and; if any, dateof issuance and expiration), ofanynon-documentarymethods and the results ofanymeasuresundertaken,and oftheresolution of eachsubstantivediscrepancy.

(2)Retention of Records. Ourfinancialinstitution mustretain the records madeofthis sectionfor fiveyearsafter thedatethe account is closed, and the records madeinitiallyofthis section for fiveyearsafter therecord is made.

(f)Reliance on another Financial Institution. Ourfinancial institution mayrelyon the performance byanother financial institution (includinganaffiliate) ofthe requirements ofthiswithrespect toanylegal entitycustomerofthe coveredfinancial institution that is opening, or hasopened, an account or hasestablished a similar businessrelationshipwith the other financialinstitution toprovide or engage in services,dealings, orother financialtransactions, providedthat:

(1)Suchreliance is reasonable under the circumstances;

(2)The other financial institution is subject to a rule implementing 31 U.S.C.5318(h) and is regulatedbyaFederalfunctionalregulator;and

(3)The other financial institution enters into a contractrequiring it to certifyannuallyto thecoveredfinancial institution that ithasimplemented itsanti-moneylaundering program,andthat it willperform(or its agent willperform) the specifiedrequirements ofthecovered financialinstitution'sprocedures to comply with the requirements ofthis § 1010.230.

APPENDIXA CERTIFICATION REGARDING BENEFICIALOWNERS OFLEGAL ENTITYCUSTOMERS
