MODEL RELEASE

1.I understand that Pearson Education, Inc. (“Pearson”) desires to take or use pictures of me (the “Photographs”) for possible use in a program tentatively entitled [insert Program] (the “Program”), and I consent to such photography and/or use by Pearson or its representative.

2.I grant Pearson and its successors, assigns, grantees, licensees, and agents, with respect to the Photographs that were or will be taken of me, or provided by me, or in which I may be included with others, an exclusive, perpetual and irrevocable worldwide right to use, distribute, publish, publicly display, modify and adapt the Photographs in whole or in part, or composite without restriction as to changes or alterations from time to time, individually or in conjunction with copy ormy name or a fictitious name, or reproductions thereof in color or otherwise, in any language and in all media that exists now or may be developed in the future, for any and all purposes, including, without limitation, art, illustration, promotion, advertising, marketing, trade or in connection with Pearson’s products. Without modifying the rights granted in this release (the “Release”), neither Pearson nor its successors, assigns, grantees, licensees and agents shall be obligated to use the Recordings.

3.I waive any right I may have to inspect or approve the Program or the Photographs or other materials that may be used in connection therewith or the use to which the Photographs shall be applied.

  1. I warrant and represent that permission of no other person or entity is required; that the Photographs or the use of such Photographs or my name or fictitious name will not violate the rights of any person or entity, and will not cause Pearson to incur any liability for payment to any person or entity; and that the provisions of this Release are not in conflict with and do not violate any commitment, agreement, obligation or understanding that I have now or will have in the future with any other person or entity.

I agree to indemnify and hold Pearson and its officers, directors, representatives, agents, employees, assigns, grantees and licensees, harmless from and against all claims, losses, costs, expenses, settlements, demands and liabilities of every kind, including reasonable attorneys’ fees and expenses, arising out of or incurred by reason of taking or using the Photographs or my name or fictitious name, or the inaccuracy, alleged or actual breach of an representation, warranty, covenant, agreement, or undertaking made by me in this Release. I further agree to indemnify and hold Pearson and its officers, directors, representatives, agents, employees, assigns, grantees and licensees, harmless from and against any liability by virtue of any blurring, distortion, alteration, digital manipulation, optical illusion or use in composite form, whether intentional or otherwise, that may occur in taking the Photographs or in the subsequent processing of the Photographs, as well as any publication or use thereof, including, without limitation any claims for libel or invasion of privacy.
