It is agreed between us, that you will create and present the webinar titled “Program Name”on “Date”under the following terms and conditions:

1 You are commissioned by the Association of Specialized and Cooperative Library Agencies (RUSA) to prepare and create a webinar presentation “Program Name” (the Work).

2 You will deliver to RUSAthe Work in form and content acceptable to RUSA. The Work shall be titled: “Program Name”and will delivered on “Date and Time”

Provide appropriate program-specific handouts and PowerPoint presentation materials for their webinars. Handouts and PowerPoint materials should besubmitted to RUSA two weeks (14 days) prior to the event.

Provide a set of 4 - 6 probable questions that may be used as “seed” questions during the webinar broadcast submitted to RUSA two weeks prior to the event.

3You warrant and represent that all material in the Work prepared and submitted by you hereunder will be original and will not infringe any copyright, invade any right of privacy, contain any libelous material, or infringe or violate any other right of any other person or entity. You will indemnify and hold harmless RUSAand its licensees from any claim, suit, damage, loss, or expense (including attorney’s fees) arising out of any breach or any allegation which if true would constitute a breach of any of the foregoing warranties or representations.

4In any publication of the Work, RUSA may, and may authorize others to, identify and credit you. RUSA may use or authorize the use of your name and pertinent biographical data in connection with advertising or promotion the Work.

5You will verify all facts in the Work and will furnish the checking material to RUSA at the request of RUSA. RUSAwill have the right to verify content accuracy.

6 RUSA may decide to schedule, not or un-schedule the Work at its sole discretion.

7 The day of the event, you will loginto the Blackboard Classroom at least 30 minutes before the scheduled start time of the webinar. You will be in a quiet location free of disturbances. Notification with the link for the presenter to loginto Blackboard will be sent to the presenter within 48 hours of the scheduled start time.

8 Presenters for all RUSA Webinars are prohibited from proactively soliciting business and marketing their product(s) during their programs.This includes the presentation of sales and/or marketing materials that state or indicate that the presenter is soliciting new business. A presenter that proactively solicits business and markets their product during their program will violate the terms of this contract and may be held liable for monetary damages to the brand and reputation of RUSA. Further, RUSA reserves the right to end the webinar in progress if it is deemed that the behavior of the presenter, by any means, damages the brand and/or reputation of RUSA.

9 At the discretion of RUSA, presenters may be asked to participate in a Blackboard software practice session, as well as a webinar presentation practice session. RUSA may cancel the webinar and void this contract without any obligation to the presenter if he/she is unwilling or unable to attend either or both practice session(s) as required.

10 The presenter of Webinars for RUSA maintains all rights to the materials that they present. The Presenter gives RUSAthe rights to share Handouts, PowerPoint Presentations etc.

11 As the presenter, you understand and agree that this event is being promoted under your name and in the event you do not speak for any reason,RUSA cannot substitute another speaker; and RUSA will suffer damages in the form of lost revenue and expenses incurred. Should you not be able to speak due to personal unavoidable circumstances such as death of a family member or serious personal health issues, you agree to reschedule the event to a date no more than 60 days subsequent to the original event date. Should you not be able to speak due to an act of God, you agree to reschedule the event to a date no more than 30 days subsequent to the original event date.

Signature indicates that the presenter has read, understands and will adhere to the terms of the webinar presenter contract as outlined.
