VENDOR CODE OF CONDUCT

Bassett Mirror requires that all goods produced for it are made in facilities that meet the following criteria:

Compliance with Applicable Laws and Regulations: Our vendors and the factories in which the merchandise they sell to Bassett Mirror is manufactured (collectively, the “vendors”) must comply with all applicable laws and regulations, including but not limited to all environmental laws and regulations, and all laws, regulations and internationally adopted restrictions concerning bribery and corruption.

Forced Labor: Our vendors must not use forced labor, whether in the form of prison labor, indentured labor, bonded labor or otherwise.

Child Labor: Our vendors must not use child labor. The term “child” will be governed by the national law of the country in which the production is being conducted, including laws defining the age for completing compulsory education. If the laws of that country do not provide a definition, or if the definition includes individuals below the age of 15, we define a “child” to be anyone below 15 years of age.

Harassment or Abuse: Every employee working for our vendors shall be treated with respect and dignity. No employee shall be subject to any physical, sexual, psychological or verbal harassment or abuse.

Nondiscrimination: Employees of vendors shall not be subject to any discrimination in employment, including hiring, salary, benefits, advancement, discipline, termination or retirement, on the basis of personal characteristics or traits, including gender, race, color, religion, age, disability, nationality, political opinion, or social or ethnic origin.

Wages and Benefits: Our vendors must pay their employees at least the minimum wage required by local law or the prevailing industry wage, and provide legally mandated benefits.

Hours of Work: Except in extraordinary business circumstances, employees of vendors shall not be required to work more than the lesser of (a) 48 hours per week and 12 hours overtime, or (b) the limits on regular and overtime hours allowed by the law of the country of manufacture or, where the laws of such country do not limit the hours of work, the regular work week in such country plus 12 hours overtime. All employees shall be entitled to at least one day off in every seven day period.

Overtime Compensation: In addition to their compensation for regular hours of work, employees of vendors shall be compensated for overtime hours at such premium rate as is legally required by local lawor the prevailing industry standard in the country of manufacture or, in those countries where such laws do not exist, at a rate at least equal to their regular hourly compensation rate. All overtime work in excess of that permitted by local law must be voluntary.

Freedom of Association and Collective Bargaining: Our vendors shall recognize and respect the right of employees to freedom of association and collective bargaining, where such rights are recognized by law.

Health and Safety: Our vendors must provide their employees with a safe and healthy workplace environment and safe working conditions to prevent accidents and injury arising out of, linked with, or occurring in the course of work.
