ARTICLE II:PURPOSES

Section1.TheObjectsoftheBransonPTOare:

a.TopromotethewelfareofchildrenbyincreasingtheeducationopportunityforBransonStudents

b.Toraisethestandardsofhomelife

c.Tosecureadequatelawsforthecareandprotectionofchildrenandyouth

d.Tobringintocloserrelationthehomeandtheschool,thatparentsandteachersmaycooperate intelligentlyin theeducationofchildrenandyouth

e.Todevelopbetweeneducatorsandthegeneralpublicsuchunitedeffortsaswillsecureforallchildrenandyouth thehighestadvantagesinphysical,mental,social,andspiritualeducation

Section 2. TheObjectsoftheBransonPTOarepromotedthroughaneducationalprogramdirected towardparents,teachers, andthegeneralpublic;aredevelopedthroughconferences,committees,projects,andprograms;andaregovernedand qualifiedbythebasicpoliciessetforthin ArticleIII.

Section3.Theorganizationisorganizedexclusively forthecharitable,scientific,literary,oreducationalpurposeswithinthe meaningofSection501C(3)oftheInternalRevenueCodeorcorrespondingsectionofanyfuturefederaltaxcode (hereinafter"Internal RevenueCode").

ARTICLEIII:BASICPOLICIES

ThefollowingarebasicpoliciesoftheBransonPTO:

a. Theorganizationshallbenoncommercial,nonsectarian,andnonpartisan.

b.Theorganizationormembersintheirofficialcapacitiesshallnot endorseacommercialentityorengagein activitiesnotrelatedtopromotingtheObjectsoftheorganization.

c.Theorganizationormembersintheirofficialcapacitiesshallnot,directlyorindirectly,participateorintervene(inanyway,includingthepublishingordistributingofstatements)inanypoliticalcampaignonbehalfof, orinoppositionto,anycandidateforpublicoffice;ordevotemorethananinsubstantial partofits

activitiestoattemptingtoinfluencelegislationbypropagandaorotherwise.

d.Theorganizationshallworkwiththeschoolstoprovidequalityeducationforallchildrenandyouthandshall seektoparticipateinthedecision-makingprocessestablishingschoolpolicy,recognizingthatthelegal responsibilitytomakedecisionshasbeendelegatedbythepeopletoboardsofeducation,stateeducation authorities,andlocal education authorities.

e.The PTOoranyofitsdivisionsmaycooperate with otherorganizationsandagenciesconcernedwithchild welfare,butthePTO/representativesshallmakenocommitmentsthatbindthePTO.

f. Nopartofthenetearningsoftheorganizationshallinuretothebenefitof,orbedistributabletoitsmembers, directors,trustees,officers,orotherprivateindividualsexceptthattheorganizationshallbeauthorized andempoweredtopayreasonablecompensationforservicesrenderedandtomakepaymentsand distributionsinfurtheranceofthepurposessetforthinArticleIIhereof.

g.Notwithstandinganyotherprovisionofthesearticles,theorganization shallnotcarryonanyotheractivitiesnot permittedtobecarriedon(i)byanorganizationexemptfromfederalincometaxunderSection501c(3)of theInternalRevenueCodeor(ii)byanorganization,contributionstowhicharedeductible underSection170c(2)oftheInternalRevenueCode.

h.Uponthedissolutionoftheorganization,afterpayingoradequatelyprovidingforthedebtsandobligationsof theorganization, theremainingassetsshallbedistributed tooneormorenonprofitfunds,foundations,or organizations thathaveestablished theirtax-exemptstatusunderSection5Olc(3)oftheInternal RevenueCode.

i.Allbudgetitemsmustbeassignedtoacommittee,forexpenditure,andmustbespentonlybythatCommittee

Chairperson'sapproval

ARTICLEIV:ORGANIZATION

Section1.ThearticlesoforganizationofthisPTOinclude(a)thebylawsofsuchorganizationand(b)thecertificateof incorporationorarticlesofincorporationofsuchorganization(incasesinwhichtheorganizationisacorporation)orthe articlesofassociationbywhatevername(incasesinwhichtheorganizationexistsasanunincorporated association).

Section 2. ThisPTOshalladoptsuchbylawsforthegovernmentofthe organization.

Section3. BylawsofthisPTOshallincludeanarticleonamendments.

Section4.BylawsofthisPTOshallincludeaprovisionestablishingaquorum.

Section5. EachofficerorboardmemberofthisPTOshallbeamemberofthisPTO.

Section6. Votingbyabsenteeballotandproxyvotingisprohibited

Section7.APTOmembershallnotserveasavotingmemberofthisPTO's boardwhileservingasapaidemployeeofor undercontracttothisPTO.

Section8.OnlymembersofthisPTOwhohavepaidduesforthecurrentmembershipyearmayparticipateinthebusinessof thislocalPTO.

Section 9.This PTOshallcollectduesfromitsmembers

Section10. ThegeneralmembershipshallelectthemembersofthenominatingcommitteeforofficersofthisPTO.

Section11. ThisPTOshallkeepsuchpermanentbooksofaccountandrecordsasshallbesufficienttoestablishtheitemsof grossincome,receipts,anddisbursements oftheorganization,including,specifically,thenumberofitsmembers,thedues collectedfromitsmembers. Suchbooksofaccountandrecordsshallatallreasonabletimesbeopento inspectionbyofficers andmembersofthePTO.

Section12.ThePTOshallelectofficersbeforeMarch31.Nopersonshallholdanyelectiveorappointivepositioninany

PTOwhoisnotamemberingoodstandingofsuchPTO.

Section13. ThePTOmaydissolveinthefollowing manner.

a.TheexecutivecommitteeshalladoptaresolutionrecommendingthatthePTObedissolvedanddirectingthatthequestionsofsuchdissolution besubmittedtoavoteataspecialmeetingofmembershavingvotingrights. Writtenorprintednoticestatingthatthepurposeofsuchmeetingistoconsidertheadvisabilityof dissolvingthePTOshallbegiveneachmemberentitledtovoteatsuchmeetingatleastthirtydaysprior to thedateofsuchmeeting.

b.OnlythosepersonswhoweremembersofthePTOonthedatetheadoptionoftheresolutionandwhocontinue tobemembersingoodstandingonthedateofthespecialmeetingshallbeentitledtovoteonthequestionofdissolution.

c.ApprovalofdissolutionofthePTOshallrequiretheaffirmativevoteofatleasttwo-thirdsofthemembers presentandentitledtovoteatthespecialmeeting,aquorum being present.

ARTICLEV:MEMBERSHIPANDDUES

Section1.EveryindividualwhoisamemberofthisPTOisentitledtoallthebenefitsofsuchmembership.

Section2. MembershipinthisPTOshallbemadeavailablebythisPTO,withoutregardtorace,color,creed,ornational origin,undersuchrulesandregulations,asmaybeprescribed in thebylawsofthisPTO,toanyindividual whosubscribesto theObjectsandbasicpoliciesofthisPTO.

Section 3.ThisPTOshallconductanannualenrollmentofmembersbutmayadmitindividualstomembershipatanytime.

a.ThemembershipyearshallbeJuly1throughJune30.

Section 4. EachmemberofthisPTOshallpayannualduesofFivedollars($5.00)perannumtosaidorganization.

ARTICLEVI:OFFICERS

Section1.TheofficersofthisPTOshallbeapresident,three(3)vicepresidents,secretary,andatreasurer.

Section2.OfficersshallbeelectedbyballotinthemonthofApril.

Section3.Thevoteshallbeconducted byballotwhenthereisbutonecandidateforanoffice,theballotforthatofficemay bedispensedwithandelectionheldbyvoicevote. Amajorityshallberequiredforelection.

Section 4.Thefollowingprovisionsshallgovernthequalificationsandeligibilityofindividualstobeofficersof theBranson

PTO:'·

a.EachofficershallbeamemberofthisPTO.

b.Noofficermaybeeligibletoservemorethanthreeconsecutivetermsin thesameoffice.

c.A personwhobasservedinanofficeformorethanonehalfofafulltermshallbedeemedtohaveservedafull

terminsuchoffice.

d. There shall be a minimum of one officer representing each campus (Buchanan, Cedar Ridge, and Junior High).

Section 5. Officersshallassumetheirofficialdutiesfollowingtheendofthe membership yearinwhichtheyareelectedand shallserveforatermofoneyearoruntiltheirsuccessorsareelected.

Section6.Avacancyoccurringinanyofficeshallbefilledfortheun-expiredtermbyapersonelectedbyamajority voteof theexecutiveboard,noticeofsuchelectionhavingbeengiven. In caseavacancyoccursinthe officeofpresident, thevice presidentshallservenoticeoftheelection.

Section7.Thereshallbeanominatingcommitteecomposedofanunevennumber,nolessthatthreememberswhoshallbe electedbythisPTOataregulargeneralmembershipmeetingatleastonemonthpriortotheelectionofofficers,asoutlined inArticleVI,Section2.

a. Thecommitteeshallelectitschairperson.

b.Thenominatingcommitteeshallnominateoneeligiblepersonforeachofficetobefilledandreportits nomineesattheregulargeneralmembershipmeetinginApril,atwhichtimeadditionalnominations maybemadefromthefloor.

c.Onlythoseindividuals whoarecurrentmembersof thisPTOandwhohavesignifiedtheirconsenttoserve if electedshallbe nominatedfor,orelectedto,suchoffice.

d.Inordertovoteintheannualelectionofofficers,anindividualshall havebeenamemberofthisassociation for

atleastthirty(30)days.

ARTICLE VII:DUTIESOFOFFICERS

Section1.Thepresidentshall:

a.PresideatallmeetingsofthisPTOandbeconsidered thechairoftheExecutiveBoard/Committee;

b. Serveasanex-officiomemberofallcommitteesexceptthenominatingcommittee;

..c.CoordinatetheworkoftheofficersandcommitteesofthisPTOinorderthat theObjectsmaybepromoted;

d.Performsuchotherdutiesasmaybeprovidedforbythesebylaws,prescribedbytheparliamentary authority,directedbytheexecutivecommitteeorassociation.

e. Be in charge of bylaws committee and oversee nominations committee.

Section2.The first vicepresidentshall:

a. actasaidetothepresident

b.performthedutiesofthepresidentin thepresident'sabsenceorinabilitytoserve, if more than one vice president they will preside in order of first vice president, second vice president, etc

c.Performsuchotherdutiesasmaybeprovedfor,bythesebylaws,prescribedbytheparliamentaryauthority,or directedbythepresident,orthe executiveboardorcommittee.

d. Be in charge of the fundraising committee and oversee the Box Tops For Education & Campbell’s soup labels committee

Section 3. The second vice president shall:

a. actasaidetothepresident

b.performthedutiesofthepresidentin thepresident’sabsenceorinabilitytoserve, if more than one vice president they will preside in order of first vice president, second vice president, etc

c.Performsuchotherdutiesasmaybeprovedfor,bythesebylaws,prescribedbytheparliamentaryauthority,or directedbythepresident,orthe executiveboardorcommittee.

d. Be in charge of the bookfair committee and oversee the hospitality committee.

Section 4. The third vice president shall:

a. actasaidetothepresident

b.performthedutiesofthepresidentin thepresident’sabsenceorinabilitytoserve, if more than one vice president they will preside in order of first vice president, second vice president, etc

c.Performsuchotherdutiesasmaybeprovedfor,bythesebylaws,prescribedbytheparliamentaryauthority,or directedbythepresident,orthe executiveboardorcommittee.

d. Be in charge of yearbook committee and oversee the volunteer committee.

Section5.Thesecretaryshall:

aRecordtheminutesofallmeetingsoftheBransonPTO;

b.Beprepared toreadtherecordsofanypreviousmeetings;

c.Fileallrecords;'·

d.HaveacurrentcopyofthebylawsandacurrenteditionofRobertsRulesofOrder Newly Revised.

e.Maintainamembershiplist

f.Forwardnamesandaddressesofnewlyelected/appointedofficerstothestateofficenolaterthansevendays followinganelectionorappointment;

g.Performsuchotherdutiesasmaybeprovidedforbythesebylaws,prescribed bytheparliamentaryauthority,or directedbythepresidentortheexecutiveboardorcommittee.

h. Be in charge of the membership committee and oversee the communication committee.

Section4. Thetreasurershall:

aHavecustodyofthefundsofthisPTO

b.MaintainafullaccountofthefundsofthisPTO;

c.Makedisbursementsasauthorizedbythepresident,executiveboard,or thisPTOinaccordance withthebudget adopted by thisPTO,andinaccordwithItem"1."ofArticleVII Section 4.

d.Havechecksorvoucherssignedbytwopeople:thetreasurerandoneotherofficerwhoisapproved asabank signatory bytheBransonPTOExecutiveBoard;

e.Causetobekeptafullandaccurateaccount of the receipts and disbursements in the books belonging to the Branson PTO;

f.Provideawrittenfinancialstatementtothemembersateachmeeting;

g.Presentanannualreportofthe financialconditionoftheorganization;

h.Submitthebooksannuallyforanauditbyanauditingcommitteeselectedby theexecutiveboardorcommittee;

i.BeresponsibleforpreparingorhavingpreparedIRSformsatthepropertime;

j.Performsuchotherdutiesasmaybeprovidedforbythesebylaws,prescribedbytheparliamentaryauthority,or directed by thepresident,theexecutivecommitteeorassociation ·

k.Maintainavoucherrecordapprovingallexpenditures.Anofficerorcommitteechairpersonresponsibleforthe expendituremustsignvouchersbeforeacheckcanbewritten.

l. Insure that proper cash handling procedures are followed.

m. Be in charge of the spiritwear and oversee clothing bank.

Section 5. Upontheexpiration of thetermofofficeorincaseofresignation,eachofficershallturnovertothepresident, withoutdelay,allrecords,books,andothermaterialspertainingtotheoffice,andshallreturntothetreasurer,withoutdelay, allreceiptsandfundspertainingtotheoffice.

Section6.Allofficers,includingcommitteechairpersons,mustundergotrainingrespectivetotheiroffice,yearly.

ARTICLEVIII:EXECUTIVEBOARD

Section1.TheexecutiveboardshallmanagetheaffairsoftheBransonPTOin theintervalsbetween PTOgeneral membershipmeetings.

Section 2.EachboardmembershallbeamemberofthisPTO.

Section3.Themembersoftheboardshallbe:

a. Electedofficers

b.ListasapplicabletothePTO,i.e.standingcommitteechairs,specialcommittee chairs,non-votingmembers

(oneschoolfacultyandonestudentrepresentatives).

c.Thepresidentmayappointaparliamentarian,subjecttoapprovaloftheexecutivecommittee ofthis

PTO.

Section 4.Dutiesoftheboardshallbeto:

aCarryoutsuchbusinessasmaybereferredtoitbythemembershipoftheassociation;

b.Createspecialcommittees;

c.PresentareportattheregulargeneralmembershipmeetingsofthisPTO;

d.Selectanauditororanauditingcommitteetoauditthetreasurer'saccountsyearly;

e.Prepareandsubmitanannualbudgetto·thisPTO'sgeneralmembershipforadoption;

f.Approve paymentofroutinebillswithinthelimitsoftheapprovedbudget;

g.Fillvacanciesinanyelectedoffice,withexceptionofthatofthePresident,subjecttotheapprovalatthenext meetingoftheBransonPTO.

Section5. Ifanymemberoftheexecutiveboardshallatanytimeceasetomeetthequalificationsorfulfillthedutiesofthe position, thatpersonmayberemovedfromtheboardbyresolutionadoptedby theexecutiveboard.

Section6.Regularmeetingsoftheboardshallbeheldwiththedateandtimetobefixedbytheboardatitsfirstmeetingof theyear.Itshallmeetas needed.

Section7.Specialmeetingsoftheboardmaybecalledbythepresidentorwhenrequested byfourboardmembersupon threedays'writtennoticetoeachmemberoftheboard.

Section8. Atallmeetingsoftheboard,seven(7)membersoftheboardshallconstituteaquorumforthetransactionof business.

Section9.APTOmembershallnotserveasavotingmemberofthisPTO's boardwhileservingasapaidemployeeofor undercontracttothisPTO.

Section10. Uponthe expirationofthetermofofficeorwhenindividualsceasetoholdthepositionthatentitlesthemtobea member oftheboard,theyshallautomatically ceasetobeamemberoftheboardandshallberelievedofalldutiesand responsibilitiesincidenttosuchmembership.Allrecord,booksandothermaterialspertainingtothepositionshallbeturned overtothepresidentandallfundspertainingtothepositionshallbereturnedtothetreasurerwithinfourteendays.

ARTICLEIX:COMMITIEES

Section1.OnlymembersofthisPTOshallbe eligibletoserveinanyelectiveorappointivepositions.

Section2.ThestandingcommitteesofthisPTOshallbe:

  1. Bylaws – chaired by the President
  2. Fundraising – chaired by First Vice President
  3. Bookfair – chaired by Second Vice President
  4. Yearbook – chaired by Third Vice President
  5. Membership – chaired by Secretary
  6. Spiritwear – chaired by Treasurer
  7. Nominations – chairman appointed by President
  8. Box Tops/Labels – chairman appointed First Vice President
  9. Hospitality – chairman appointed by Second Vice President
  10. Volunteer – chairman appointed by Third Vice President
  11. Communications – chairman appointed by Secretary
  12. Clothing Bank – chairman appointed by Treasurer

Section3.TheexecutiveboardmaycreatesuchspecialcommitteesasitmaydeemnecessarytopromotetheObjectsofPTOandcarryontheworkofthisPTO.

Section 4. Thetermofofficeofacommitteechairshallbeoneyearoruntiltheselectionofasuccessor.

Section 5.Thechairofeachcommitteeshallpresentaplan ofworktotheexecutiveboardforapproval. Nocommittee work shallbeundertakenwithouttheconsentoftheexecutiveboard

Section 6.Thepresidentshallbeamemberexofficioofallcommitteesexceptthenominatingcommittee.Thepresident shallbenotifiedofallcommitteemeetings. ·

Section 7. CommitteeChairsmaychaironlyfourcommitteesatatimebutcanbeamemberofmorethanonecommittee.

ARTICLE X:GENERALMEMBERSHIPMEETINGS

Section1. RegularmeetingsofthePTOshallbeheldonthe1stThursday ofeachschoolyearmonth,unless otherwiseprovidedby thislocalPTO,ortheexecutiveboard.Seven(7)day'snoticeshallbegiventothemembershipofany changeofdate.

Section2.SpecialmeetingsofthisPTOmaybecalledby thepresident,orbyagreementoftheotherfive regularofficers

(1stVicePresident,2nd Vice President, 3rd Vice President, Secretary,Treasurer),orbyamajorityoftheexecutiveboard,withsevendays'noticehavingbeengiven.

Section3.EmergencymeetingsofthisPTOmaybecalledbythepresident,orbyagreementoftheotherthreeregular officers(VicePresident,Secretary,Treasurer),orbyamajority oftheexecutiveboard,withsevendays;noticehavingbeen givenandacrisisariseduetoseriousfinancialproblemsorseriousmisconductbyofficersormemberrequiringattention fasterthansevendays,withsevendays'noticehavingbeengiven.

Section4. TheannualmeetingshallbeheldinMay.

Section5. Ten(10)membersshallconstituteaquorumforthetransactionofbusinessinanymeetingofthisPTO.

Section6.Theprivilegesofholdingoffice,makingmotions,makingnominations,debatingandvotingshallbelimitedto membersofthisassociation whoseduesarepaid.

ARTICLE XI:FISCAL YEAR

ThefiscalyearoftheBransonPTOshallbeginonJuly1andendonthefollowingJune30.

ARTICLE XII:PARLIAMENTARYAUTHORITY

TherulescontainedinthecurrenteditionofRobert'sRulesofOrderNewlyRevisedshallgoverntheBransonPTOandinall casesinwhichtheyareapplicableandinwhichtheyarenotinconflictwiththeseBylawsorthearticlesofincorporation.

ARTICLE XIII:AMENDMENTS

Section 1.ThesebylawsmaybeamendedatanyregulargeneralmembershipmeetingoftheBransonPTObyatwo-thirds voteofthosememberspresentandvoting,aquorumbeingpresent,providedthattheproposedamendmentshavebeen providedtothemembership thirtydayspriortothemeetingorsevendayspriorinacaseofanemergencydeclaredbythe ExecutiveBoardoftheBransonPTO.

Section2. AcommitteemaybeappointedbyamajorityvotesatageneralmembershipmeetingofthisPTO,orbyatwo-thirdsvote oftheexecutiveboardofthisPTO,tosubmitarevisedsetofbylawsasasubstitutefortheexistingbylaws.
