2.SH16 Limited including their successors in title, assigns and any person legally entitled to occupy or use the DominantLand (“Covenantee”).

BACKGROUND

A.The Covenantor is the registered proprietor of the land described in the First Schedule (“the ServientLand”).

B.The Covenantee is the registered proprietor of the land described in the Second Schedule (“the DominantLand”).

Under certain agreements between them, the Covenantor and the Covenantee have agreed to enter into this Deed of Covenant for the benefit of the DominantLand

DEFINITIONS:

“Agreement” means the agreement for sale and purchase dated theday of 2013 made between the parties relating to one of the lots in the subdivision.

“Covenantor”means [] and any successors or assigns.

“Covenantee” means SH16 Limited or any person or entity appointed or nominated in writing by them to be the Covenantee.

“Subdivision” means the Covenantees’ subdivision at Kaukapakapa known asGreen Valley as described in the agreement

“Subsequent Agreement” means any agreement for sale and purchase entered into by the Covenantor as vendor for the sale or otherwise disposal of the ServientLand to a third party purchaser.

“Covenants” means the covenants in clause 3.0 of the easement instrument no TBA North Auckland Registry.

This Deed records that in consideration of the terms and conditions of an agreement between the parties:

1.The Covenantor for itself, its successors in title, assigns, lessees, licensees or occupiers of the Servient Land covenants with the Covenantee that:

(a)the Covenantor shall comply with the Covenants;

(b)the Covenantor will ensure that any subsequent agreement is conditional upon the third party purchaser entering into a similar deed of covenant as set out herein, such deed to be prepared by the Covenantee’s solicitors at the cost of the Covenantor and providing an executed power of attorney pursuant to the Covenants.

Second Schedule

Lots 1, 2, 3, 4 and 12 on DP 403930 and Lot 24 on DP 420499 and any lot in respect of which a separate Certificate of Title issues as a result of a subdivision of Lots 1, 2, 3, 4 and 12 on DP 403930 and Lot 24 on DP 420499 shall only be the Dominant Land for so long as the Covenantee is the registered proprietor of that lot.
