Contract Research Agreement

entered into between

and

LundUniversity (“LU”), registration no. 202100-3211, [department], with address P.O. Box 117, SE-221 00 Lund, Sweden;

each also referred to as “Party” and jointly as “Parties”, have entered into the following agreement.

  1. Background

The Company conducts business in the field of [field] and is involved in research and development of [product]. The Company now wishes to develop its competence through research in [a specific area].

The core activities of LU are education and research. The [department] provides education and conducts research in [the specific area]. The publication of research results are of great importance for scientific qualification. LU co-operates with society through, among other things, participation in research projects with the business community.

The Company wishes to engageLU to conductresearch in [the specific area], as described here below. LU has the competence necessary for conducting research in this area.

  1. The Agreement

LU’s performance of its obligations hereunder is subject to the provisions of this agreement (the “Contract Research Agreement”), and the General Terms for Contract Research at LundUniversity, Appendix 1. The Contract Research Agreement and the General Terms for Contract Research at LundUniversityare jointly referred to as the “Agreement”.

The General Terms for Contract Research at LundUniversity set out the terms and conditions for the execution of the Project, confidential information, rights to the results, publication, liability, termination of the Agreement, effects of termination of the Agreement, changes and amendments to the Agreement, applicable law and dispute resolution.

In the event of conflict between the provisions of this Contract Research Agreement and the General Terms for Contract Research at LundUniversity, the provisions of the General Terms for Contract Research at LundUniversity have precedence.

Words indicated with an initial capital letter in this Contract Research Agreement have the same meaning herein as is defined in the General Terms for Contract Research at LundUniversity.

  1. The Project

The Company hereby engages LU to conduct [brief but detailed description of the research to be performed] in [the specific area]. The content and implementation of the project are described in a Project Description, Appendix 2 (the “Project”).

Appendix 2 shall detail the specifics of the Project, what it aims to achieve and itstime frame. This description may be taken from a grant application or a project proposal. It is important that the Project is described clearly and in detail, and is as clearly and narrowly delimited as possible.

  1. Reports

LUwill regularly discusswith and inform the Company of the progress of the Project through written or verbal contacts. Once per [month/quarter],LUshallprovide the Company with a written report of the achieved Results.

No later than one (1) month after the completion of the Project,LU must submit a final report to the Company, containing a description of the execution of the Project and the achieved Results.

  1. Remuneration

The Company shall pay LU SEK[amount] exclusive of VAT,which is full compensation for the completion of the Project.

  1. Payment

Payment shall be made as per invoice fromLU [at regular intervals/in advance/in arrears/in accordance with the payment planin accordance withAppendix 3 (the “Payment Plan”).

Payment must be made within thirty (30) days from the invoice date. If payment is delayed, penalty interest in accordance with law will be charged.

  1. Term

This Agreement will enter into force on [date] and terminates upon both Parties’ completion of their obligations under this Agreement.

  1. Contactpersons

Contact person for the Company is [name].

The contact person may, on behalf of his or her organisation, receive notices (formal notices, such as summons, excepted) and make decisions in day-to-day issues regarding the Project. The Parties may replace their contact person with a person with the corresponding competence.The other Party must be informed of such change of contact person as soon as possible.
