CONDITIONS OFCONTRACT
CompanyName : (the“Food Vendor”)and theFolkloreFestivalCommitteeThunderBay MulticulturalAssociation (the Licensor). Thisagreementshallbe bindinguponthe parties hereto and their respective heirs,executors,administrators andsuccessors.
EACHPARTYAGREESTOTHEFOLLOWING:
1. Failuretoabidebythetermsofthiscontract may result in the removal forthwith of the FoodVendor andhisFoodBooth.Inthe event ofsuchremoval,andmoney paid by theFood VendortotheLicensorfor theleasedspace shallbetheLicensoras liquidated damages.
2.Thisagreementmay beterminatedby the LicensoriftheFoodVendor failstomake any ofsaid payments at the time appointed thereforeoranbreachofany otherofthe conditionshereofby theFoodVendorand thereupon shallallrightsof the Food Vendor hereunder shallcease andterminate, andany paymentmadeby himonaccounthereofprior tosaidterminationshallberetainedby the Licensor as liquidated damages forsuch breach andtheLicensormay thereuponre-leasethe leasespace.Ifaspaceisbookedby theFood Vendorcancelswithin 30 daysof theopening showdate, the FoodVendor isresponsible for fullpaymentof the value of the boothif the Licensorcannotresellthespace atfullrate.If space isleasedata lesserrate the FoodVendor is responsible for thedifference.
3. In the event the Food Vendor is in default under theterms or thecontractoftherulesand regulations,heshallforthwithondemandof theLicensor remove hisFoodBooth fromthe leased spaceathisown expense. TheFood Vendor acknowledges that his failure to remove hisFoodBoothatthe requestof the Licensor willresultinthe FoodBoothbeing removed at his expensebytheLicensor.
4. TheLicensorreservestherighttodeclineor prohibitany Vendor, Food Vendor, or proposed Vendor or Food Vendor, not approvedby theLicensor,andtopermitonly suchmatter andconductasshallbe approved. The abovereservation covers persons,things, conduct, printed matter,souvenirs, emblems, and allthe character ofthe exhibition.
5.AllFoodVendors mustbe completed tothe satisfaction of the Licensor prior to the opening oftheshow.AllFoodBoothsmustbe openandstaffedwherenecessary during the hours theshow is openedexcept forstatic
displaysasagreedby theLicensor.Underno circumstanceswillany portionofaFoodBooth be allowedtobe removedfromtheGardens during thecontinuanceoftheFestivalwithout written permission of theLicensor.
6.TheFood Vendormustconformtodesign requirements and specification as determined by thelicensor. All displays, interviews, conferences,distribution ofliterature,lectures and cash sales willbemadeinsideleased space.
THEFOODVENDORSAGREES:
7. TheFoodVendormaynotdistributeliterature orpromotionalmaterialfromthirdparty without the priorwritten consentofFestivalCommittee (TBMA).Spacecontracted by theFoodVendor may notbewithoutpriorwrittenpermissionof Festival Committee(TBMA).
8. UseofAudiovisualdisplaysorotheramplifying public-addressdevices,andflashing lights,is subjecttothediscretionsoftheLicensor.AV usemustbeconductedinsuchamatter astonot obstructdisplaysor create annoyance to pedestrian traffic.
9. To provide at Food Vendor’s expense, necessary labourandallotherexpensesfor installing andremovingallexhibitormaterial, observingbuildingunions contracts.
10. Nottodeface–marCurlingClubbuildingin anyway.
11. Nottouseorpermittobeusedanymachinery with parts or anyother exhibitors orgoods liable tooccasionanyaccidents,injury ordamageto persons orpropertycominginto contact with them,unlessthey areadequately guardedor protectedto prevent thepublicfromcoming into contactherewithorfromany dangerordamage arisingtherefore.
12. Tocomplywithallmunicipalandprovincialby laws,regulationsandordinancesaffecting the leasedspaceandtheoccupationthereofby the exhibition.NOTE:ThunderBay FireMarshall willnot allow anyopenflamein Building.
13. AllFoodBoothsmustberemovedaccordingto the specificshow schedule.

ALCOHOLICBEVERAGES:
14. Under no circumstances are alcoholic beveragestobe consumedinleasedbooth spaces.
INSURANCE/LIABILITY:
15. FoodVendorsarerequiredtocarrypublic liabilityandpropertydamageinsurancein an amountof $2,000,000.
16. TheLicensorwillnotassumeanyandall responsibility forthesafety ofFoodBooth againstrobbery,fire,andany typeofinjury due toFoodBoothstructuralfailure and whatever liability occurs. In all cases vendorsmustinsuretheir owngoodsand structural safety. Security guards provided bythe Licensor will be in attendance for generalprotectionofbuilding andproperty, particularly inperiodswhenexhibitsare closedandunattended,butthis innoway impliesindividual protection of vendors contents, products, etc.
17. The Food Vendor will hold the Licensor, harmlessfromany damage,expenseor liabilityarising out of the Food Vendor’s participationintheshow,including butnot limitedtouseandoccupancy ofthelease space, from any injury or damage to the FoodVendor, hisagents,servants, employees,orany otherpersons,orthe property ofsaidExhibitor,theapproaches andtheentrancestherto,by virtueofhis occupancy hereunderoranythingconnected with said occupancy.
18. TheFoodVendorcovenantsandagreesto indemnity andsaveharmlesstheLicensor, itsdirectors,employeesandagentsof and from all penalties, liabilities, costs,
expenses, claims, actions, matters orcauses of actions whatsoever, arising out of the Food Vendor’suseandoccupation ofthe leased space.
19. If for any reason whatsoever it becomes impossiblefortheLicensorto permit any FoodVendortooccupy thepremises,the Food Vendorshallpayfor thespaceonlythe period the space wasor couldhave been occupied by such Food Vendor. The Licensorisreleasedfromany andallclaims for damage which might arise in consequencethereof.
ELECTRICALCONNECTIONS:
20. Allspecialelectricalrequirementsareatthe expense of the Food Vendor, agreements withelectriciansbeingsoleresponsibility of the Food Vendor.
21. All electrical equipment or apparatus will meetElectricSafety Authority Standards. FoodVendor willnouse somuchelectric power astooverloadthepresentoutlets installedinthe Gardensbuilding.TheFood Vendor agrees to abide by any decision madebytheElectricalSafetyAuthorityin the event of anydispute
LICENSES-PERMITS:
22. Any licenses and/or permits required to display and or sell the Food Vendor’s product byanyFederal,Provincial,
23.Municipal or other authority shall be obtainedby theFoodVendorathisown expenseanddisplayedifnecessary or requiredintheexhibitareaby theFood Booth during the term of the Festival.
I have readandagreetoabidebyallrulesandregulationsasshownabove.Ifthiscontractis faxed, we authorizeThunderBay MulticulturalAssociationtoactasthoughthe faxedcontract were the original. The Food Vendoragreesto paytherequirement 100%immediatelyupon selectionof bootharea.
