WHEREAS,CAEH Desiresto Granta Revocablerighttoagencyto Use Andaccessthe HMIS;

AGENCYPARTICIPATIONAGREEMENT

ThisAgencyParticipation Agreement(the “Agreement”)ismadeand enteredintoeffectiveasof[DATE](the“EffectiveDate”),byandbetweentheChicagoAlliancetoEndHomelessness,[a501(c)(3)non-profitcorporation]locatedat651 W Washington, Chicago IL Suite 604(“CAEH”),and[NameofAgency]andlocatedat[Address](the“Agency”)regardingaccessanduseoftheChicagoHomelessManagementInformationSystem(the “HMIS”).

RECITALS

WHEREAS,CAEH desiresto granta revocablerighttoAgencyto use andaccessthe HMIS;

WHEREAS,HMISisadatacollectiontooldesignedtorecordandstoreclient-levelinformationonthecharacteristicsandserviceneedsofpersonsatriskof,orcurrentlyexperiencinghomelessnesswithin a community.

WHEREAS,HMISisusedby authorizedhomelessserviceprovideragenciesto (i)coordinatetheservicestheyprovide,(ii)managetheiroperations,(iii)generateunduplicatedcountsoftheirhomelesspopulationfora pointintime orovera period oftime,(iv)identifyand understandpatterns ofserviceuse,

(v)measuretheeffectivenessofhomelessprogramsandthehomelesssystemasawhole,and(vi)generallybetterservethehomeless(eachhomeless,a “Client”).ThedatacollectedinHMISmay alsobesharedwithresearchers andcommunityplanning.

NOW,THEREFORE,inconsiderationofthepremisesandmutualpromiseshereinaftersetforth,Agencyand CAEHmutuallyagree as follows:

1.Term.ThetermofthisAgreementbeginsontheEffectiveDateandcontinuesuntilterminatedin accordancewithSection[5].

2.PreconditiontoHMISAccessandUse.AsapreconditiontoAgencyreceivingaccesstotheHMIS,AgencyagreestoabidebyandcomplywiththetermsandconditionsofthisAgreementandthemostcurrentStandardOperatingProcedures(each a “SOP”, andcollectively the“SOPs”)madeavailable byCAEH,whichSOPsareincorporatedintothisAgreementbyreferenceandwhichmaybemodifiedfromtime-to-timeatCAEH’ssolediscretion.Intheeventofa conflictbetweenthisAgreementandanySOP,theconflictingtermsshallattempttobereadsoastoavoidsuchconflict,providedthatiftheconflictcannotbeavoided,theSOPsshallprevailoverthetermsandconditionsofthisAgreement.

3.Dutiesof CAEH.

a.CAEHshallprovide,totheextentreasonablypractical(asdeterminedinCAEH’ssolediscretion),support,assistance,direction,guidance,resourcesandtrainingtoAgencytofacilitateandsupporttheuseoftheHMISandAgency’scompliancewiththeresponsibilitiesandobligationssetforthhereinand intheSOPs.

b.CAEHshallmakeavailabletoAgency themostcurrentversionsoftheSOPsandsuchotherdocuments,includingvarioustrainingguides,asarereasonablynecessary,asdetermined byCAEH in itssolediscretion,forAgencyto access andusetheHMIS.

c.CAEHmay fromtime-to-time,initssolediscretion,solicitAgency inputintotheupdatingofthe SOPsand othermattersrelatedtotheuse andaccessofthe HMISbyAgency.

d.CAEHshallprovideaccesstotheHMISthroughServicePoint,anInternet-basedmanagementinformationsystemdevelopedbyBowmanSystems(hereafterreferredtoasthe“Vendor”).CAEHshallberesponsibleforprocuringlicensestotheHMISforthestaff,volunteersandotherpersonnelatorassociatedwithAgencywhoshalluseandaccesstheHMIS(eachsuchpersona“User”,andcollectivelythe“Users”),andshalladministerthemanagementoftheselicensesbased onthelicensemanagementprotocolsetforthinSOP’s

e.AsbetweenCAEHandAgency,allworldwideright,titleandinterestinandtoanyandallofthehardware,softwareandmaterialslicensed,providedorpurchasedundertheagreementwithVendorareownedatalltimes byCAEH.

f.CAEHshallmakeavailabletoUsers:(i)trainingontheuseoftheHMIS;(ii)trainingonclientconfidentiality,securityandprivacyrequirements;and(iii)high-leveltechnicalsupportandassistance(i.e.,generaltroubleshooting,workflowguidanceandassistancewithreportgeneration).

g.CAEHshallberesponsibleforinteractingwiththeVendor,andshallrequirethattheVendorprovidedatabackup,disasterrecoveryservices,systemmaintenance,databaseleveland SecureSocketLayer(SSL)encryption, andregularlyscheduledproductupgrades.

h.CAEHshallnotpublishreportsonClientdatathatidentifyspecificagenciesorindividuals andshallrequirethatallreportspublishedshallbelimitedtoaggregatedata.

i.Fortheavoidanceofdoubt,CAEHdoesnotrequireorimplythatAgencyservicesmustbecontingentuponaClient’sparticipationintheHMISdatabase.AgencyalwayshasthediscretiontoprovideservicestoClientsregardlessofHMISparticipation,providedthatthe Clientswouldotherwise be eligiblefortheservices in accordancewithAgencyrequirements.

4.Duties ofAgency.

a.General

i.Atalltimes,Agencyshall,andshall causeitsofficers,directors,employees,agents,committeemembersandvolunteersto,complywiththetermsandconditionsofthisAgreement andtheSOPspromulgatedbyCAEH.AgencyacknowledgesthattheSOPsmaybechangedbyCAEHfromtime-to-timeinthesolediscretionofCAEH.Agencyagreestoabidebyanyandallsuchchanges.

ii.Atalltimes,Agencyshallcomplywithanyandallapplicablelocal,state,andfederal laws, rules, regulations,ordinances,interpretivelettersand otherofficial releasesoforbyanygovernmentalagencyorauthority(including,withoutlimitation, HUD),decrees,ordersandcodes(includinganyrequirementsforpermits,certificates,approvalsandinspections),asthesamearepromulgated,supplementedand/oramendedfromtimetotime(collectively,“Laws”).

iii.AgencycannotandshallnotattempttolegallybindCAEHtoanyagreement withoutCAEH’sexpresspriorwrittenconsent.

b.ConfidentialityandDataAccess

i.AgencyshallcomplywithanyandallapplicableLawsregardingprotectionofClientconfidentialityandprivacyandthedataandinformationprovidedbyClients.

ii.AgencyshallprovideaverbalexplanationofthepurposeoftheHMISandthetermsofconsenttoeachClientandshallarrangeforaqualifiedinterpreterortranslatorintheeventthataClientisnotliterateinEnglishorhasdifficultyunderstandingtheconsentform.

iii.AgencyshallnotsolicitorinputinformationfromClientsintotheHMISunlessitisessentialtoprovideservices,ortoconductevaluationorresearch,managementreportingand operationalsupport.

iv.AgencyshallensurethatallUsersshallsignandfollowtheHMISEndUserPolicy,HMISCodeofEthics,andanyotherrequireddocumentsprovidedbyCAEH.

v.Agencyshallensurethatthedataandinformation(collectively,the“Data”)enteredorinputintotheHMIS is trueandvalidandaccuratelyrepresentsinformationontheClientsreceivingservicesfromAgency.AgencyshallnotknowinglyenterfalseormisleadingDataunderanycircumstances.AgencyshallberesponsibleforandshallensurethateachClienthasexecutedaClientConsentformforinput,useanddisclosures.IfaClientwithdrawsconsentforthereleaseofinformation,theClientRevocationformmustbeexecutedbyClient.AgencyshallkeepexecutedcopiesoftheClientConsentforms(and any ClientRevocationforms)fortheHMISforthe durationofAgency’s use oraccessoftheHMIS.

vi.AgencyshallensurethattheDataisnotmadevisibletoanyvisitorsorunauthorizedusers(including,butnotlimitedto,bykeepingallinputscreensdarkwhennotinuseandhavingnoprintedorscreenshotsoftheDatainprinters(ifapplicable)oron desktops).

vii.Agencyacknowledgesandagreesthatensuringtheconfidentiality,securityandprivacyofanydataandinformationdownloadedfromtheHMISbyAgencyis strictlytheresponsibilityofAgency.

viii.AgencyshallretainaccesstoidentifyingandstatisticalDataontheirClients.However,Agency’saccesstoDatashallbelimitedtonon-identifyingandstatisticaldataonClientsitdoes notserve

ix.Agencymaymakeaggregatedataavailabletootherentitiesforfundingorplanningpurposespertainingtoprovidingservicestohomelesspersons.However,such aggregatedatashallnotdirectlyidentifyindividualClients.

x.CAEHshalluseonlyunidentified,aggregateHMISDataforhomelesspolicyandplanningdecisions,inpreparingfederal,stateorlocalapplicationsforhomelessfunding,todemonstratetheneedforandeffectivenessofprograms,andtoobtain asystem-wideview ofprogramutilization inthestate.

c.HMIS Useand Compliance.

i.Agencyshallfollow,complywithandenforcethisAgreement,theUserCodeofEthicsandtheSOPs.Agencyshallabidebyalldataqualityandmonitoringrequirementsas outlinedinthe DataQualityand MonitoringPlan.

ii.Agencyshallutilize,andshallensurethatUsersutilize,theHMISforauthorizedpurposesonly.AgencyshallensurethatUsersshallnotremoveanyDatafromthe HMISorAgencylocation(s).

iii.HMISUserpasswordsandotheraccesscodesarehighlyconfidentialandassignedspecificallytotheUser.ItisAgency’sresponsibilitytoensurethatUsersshallnevercompromisetheHMISandClientconfidentialitybysharingtheassignedpasswordsandaccesscodes atanytime.

iv.AgencyshallnotusetheHMISwithintenttodefraudfederal,stateorlocalgovernments,individualsorentities,or to conductanyillegalactivity.Agencyshallnotincludeorinputprofanity,offensive ordiscriminatorylanguage in theHMIS.

v.ThetransmissionofanyDataorothermaterialsinviolationofanyLawsisprohibited.Thisincludes,butisnotlimitedto,copyright-protectedmaterial,materiallegallyjudgedtobethreateningorobscene,andmaterialconsideredprotectedbytradesecrets.

vi.AgencyshallconsistentlyenterinformationintotheHMISandshallstriveforreal-timedataentry.Timelinefordataentryforeachoftheprogramsshallstrictlyfollowthe guidelinesstated intheDataQualityand MonitoringPlan.

vii.Currently,DatashallbevisibletoitsrespectiveagenciesandbesharedbetweenagenciesonlyifaDataSharingAgreementissigned.IfadecisiontohaveanopensystemismadebyCAEHand/oritsgoverningbodyinthefuture,allreasonableeffortsshallbemadebyCAEHtonotifyagenciesandshallworkwithagenciestosafeguardClientconfidentialitybeforeopeningthe system.

d.DataBreach.

i.AgencywillimmediatelytakeremedialactionstomitigateanySecurityBreachinvolvinganyDataand/ortheHMIS.AgencywillnotifyCAEHimmediatelyinwritingofanysuchSecurityBreach.AgencywillcooperatewithanyinvestigationrelatingtoaSecurityBreachthatiscarriedoutby,oronbehalfof,CAEHandwithanyinvestigationrelatingtoaSecurityBreachcarriedoutatthedirectionofanyrelevantgovernmental,regulatory,quasi-regulatoryorgoverningbody,providinganyinformationormaterialinitspossessionorcontrolandimplementingnewsecuritymeasurestotheextentreasonablyrequestedbyCAEH.“SecurityBreach”meansanysuspectedoractualunauthorizeduseof,disclosureof,oraccesstotheHMIS,theData,physicalintrusionoffacilities,ortheft,misappropriationorlossofdocumentsorhardwareormediathataccessesthe HMIS.

ii.IntheeventofaSecurityBreach,CAEHmaydiscontinueAgency’saccessorconnectivitytotheDataand/ortheHMIS.UndernocircumstanceswillsuchdiscontinuanceofaccessorconnectivityconstituteabreachordefaultbyCAEHofthisAgreement.

iii.Fromtime-to-timeanduponreasonablenotice,CAEHanditsauditors(internalandexternal)andgovernmentalregulatorswillhavetherighttoinspect,examineandauditthesystems,records,data,practicesandproceduresofAgencytoverifytheintegrityoftheData,theaccessanduseoftheHMIS,andAgency’scompliancewiththedataprivacy,dataprotection,confidentialityandsecurityrequirementsofthisAgreementand theSOPs.

5.TerminationRights; RemediesforAgencyBreach

a.RighttoSuspend.CAEHmaysuspendorterminate Agency’saccesstotheHMIS,atCAEH’ssoleoption,uponnoticetoAgency,ifAgencybreachesany termorconditionofSection4andsuchsuspensionorterminationwillcontinueuntiltheapplicableissueisresolvedtoCAEH’ssatisfaction.

b.TerminationforConvenience.EachofCAEHandAgencyhastherighttoterminatethisAgreementanditsobligationsunderthisAgreementatanytimeandforanyreasonuponthirty(30)dayspriorwrittennoticetotheother party.

c.TerminationforBreach.IntheeventapartymateriallybreachesanytermorconditionofthisAgreementoranyofitsobligationsunderthisAgreement,andsuchbreachhasnotbeen curedwithin thirty (30)daysofreceiptofwritten notice of such breach fromthenon-breachingparty,thenthenon-breachingPartyshallhavetherighttoterminatethisAgreementanditsobligationsunderthisAgreement.

d.EffectofTermination.UponanyterminationofthisAgreement,AgencyshallreturntoCAEH,oratCAEH’soption,Agencyshalldestroy,allitemsandmaterialsofCAEH’sconfidentialorproprietaryinformationtheninAgency’spossessionorcontroland,uponrequest,shall certifyinwritingtoCAEHthatit hascompliedwiththeforegoing.CAEHshall notbeliabletoAgencyoranythirdpartyforCAEH’ssuspensionorterminationofAgency’saccessto,orrighttouse,theHMISassuchterminationorsuspensionisauthorizedunderthisAgreement.UpontheeffectivedateofterminationofthisAgreementforanyreason,whetherbyAgencyorCAEH,(i)Agency’srighttoaccessandusetheHMISshallimmediatelycease,(ii)AgencyanditsUsers’accesstotheHMISwillterminateand(iii)AgencyshallceaseaccessingandusingtheHMISandCAEHmaytakesuchactionstoprecludesuchaccessanduse.

e.InjunctiveRelief.ItisspecificallyagreedbyCAEHandAgencythatmonetarydamageswouldnotadequatelycompensateCAEHforabreachofthisAgreementbyAgency,thatirreparableharmshallresulttoCAEHandthatCAEHhasnoadequateremedyatlawforsuchabreach.Therefore,thisAgreementshallbespecificallyenforceable,andanybreachorthreatenedbreachofthisAgreementshallbethepropersubjectofatemporaryorpermanentinjunctionorrestrainingorderandCAEHshallbeentitledtoappropriateinjunctiverelief.Further,eachpartyheretowaivesanyclaimordefensethatthereisanadequateremedyatlawforanybreachorthreatenedbreachhereof.Thisprovisionshallbeeffectivenotwithstandingthebreachofanyagreement orunderstandingbetweenCAEHandAgency.

6.Warranties;LimitationofLiability

a.LimitedAgencyWarranty.Agencyrepresentsandwarrantsthat:(i)ithasthefullright,powerandauthoritytoexecute,deliverandperformthetermsofthisAgreementandtobinditselfandallnecessaryaction,approvalsandconsentshavebeendulytakenorobtainedtoauthorizesuch execution,deliveryandperformance; and (ii)It isnot subject toanyrestriction,agreement,law,judgment or decreewhichwouldbeprohibitedor violatedbytheexecutionanddeliveryhereof orbytheconsummationofthetransactionscontemplatedherein.

b.NoOtherWarranties.CAEHDOESNOTWARRANTTHATACCESSTO ORUSEOFTHEHMISISORWILLBEUNINTERRUPTEDORERRORFREE.AGENCYACKNOWLEDGESANDAGREESTHATTHEHMIS(ASWITHTECHNOLOGYGENERALLY),MAYHAVEERRORSBUGSANDMAYENCOUNTERUNEXPECTEDTECHNICALPROBLEMS.ACCORDINGLY,FROMTIMETOTIMEANDATANYTIME,AGENCYMAYEXPERIENCEDOWNTIMEANDERRORSINTHEOPERATION,FUNCTIONALITYORPERFORMANCEOFTHEHMIS.

c.Indemnification.Agency,atalltimes,willindemnify,defendandholdCAEHharmlessfromanydamages,liabilities,claims,andexpensesthatmaybeclaimedagainstAgency:

(i)forliabilities,damagedorinjuriestoAgency,UsersoranotherpartyarisingfromtheaccessoruseoftheHMIS;

(ii)arisingfromanyacts,omissions,neglect,orfaultofAgencyoritsUsers,agents,employees,licensees,orclients;or

(iii)arisingfromAgency’soranyUser’sfailuretocomplywithanyLawsapplicabletoitortheconductofitsbusiness. AgencywillalsoholdCAEHharmlessfor:

lossordamageresultinginthelossofDataduetodelays,non-deliveries,deliveriesinerror,orserviceinterruptioncausedbyCAEHorVendor,byAgency’soranymember agency'snegligenceorerrorsoromissions;
anyforcemajeureeventsornaturaldisastersortechnologicaldifficulties;and/or
anyotherissueorcausenot underthereasonablecontrol ofCAEH.

d.LimitationofLiability.CAEHSHALLNOTBELIABLEFORANYDAMAGESORLIABILITIESARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENT,EVENIFCAEHHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGESORLIABILITIES,INCLUDINGWITHOUTLIMITATION,ANYSUCHDAMAGESORLIABILITIESARISINGOUTOFTHEACCESSORUSEOFTHEHMISAND/ORTHEDATACONTAINEDTHEREIN.

7.GeneralTerms

a.Notices.Whenever,underthetermsoforinconnectionwiththisAgreement,anynotice,consent,approval,authorizationorotherinformationisproperorrequiredtobegivenbyeitherparty,such notice,consent,approval,authorization orother informationshall beinwritingandshallbegivenormadebyreputableovernightcourierwithdocumentationofreceipttotheintendedrecipientthereoforbyregisteredorcertifiedmail,returnreceiptrequested,andwithallpostageprepaid,totheaddresssetforthinthepreambleofthisAgreement,ortosuchotheraddressforeitherpartyasmaybesuppliedbynotice giveninaccordanceherewith.

b.Amendment; NoWaiver.ThisAgreement maybeamendedorsupplementedonlybyawritingthatissignedbydulyauthorizedrepresentativesofbothparties.NofailureordelayofCAEHinanyoneinstancetoexerciseanyremedyorpowergivenithereinortoinsistuponstrictperformancebyAgencyofanyobligationimposedonithereinshallconstituteawaiveroramodificationofthetermshereofbyCAEHorofanyrightithashereintodemandstrictcompliancewith thetermshereofby Agency inany otherinstance.Alloftheremediespermittedor availabletoCAEHunderthisAffiliationAgreement,oratlaworinequity,shallbecumulativeandnotalternativeandtheexerciseofanysuchrightorremedyshallnotconstituteawaiverorelectionofremedieswithrespecttoanyotherpermittedoravailablerightorremedy.

c.Severability.IfanyprovisionofthisAgreementisheldinvalidorunenforceableforanyreason,theremainderoftheprovisionshallbeamendedtoachieveascloselyaspossibletheeconomiceffectoftheoriginaltermandallotherprovisionsshallcontinueinfullforceandeffect.

d.ForceMajeure.CAEHshallnotbeliableforanyfailureordelayinperformanceunder thisAgreementduetofire,explosion,earthquake,storm,flood orother weather;unavailabilityof necessaryutilitiesorrawmaterials; Internet serviceproviderfailuresor delays,or denial ofserviceattacks;war,civilunrest,actsofterror,insurrection,riot,actsofGodorthepublicenemy;strikesorotherlaborproblems; anylaw,act,order,proclamation,decree,regulation,ordinance,or instructionsofgovernmentorotherpublicauthorities,orjudgmentordecreeofa courtofcompetentjurisdiction(notarisingoutofbreachbyCAEHofthisAgreement);oranyothereventbeyondthereasonablecontrolofthepartywhoseperformanceistobeexcused.

e.EntireAgreement.ThisAgreement,includingallOrder(s),Statement(s)ofWork,andExhibitstothisAgreement,constitutestheentireagreementbetweenthepartiesrelatingtothissubjectmatterandsupersedesallpriororsimultaneousunderstandings,representations,discussions,negotiations,andagreements,whether writtenor oral.

INWITNESSWHEREOF, this AgencyPartnershipAgreement is effectiveas of the EffectiveDate.
