Although every effort is made to ensure that you receive the correct pricing the minute it is made available, there are times when we may experience difficulties beyond our control.

Our invoicing system is updated promptly with these new contracts and pricing, and the pricing on the invoicing system takes preference over the pricing on the WOW order.

Contract customers

This document is to ensure that there are no discrepancies should any problem arise. If there is a pricing difference in your negotiated contract and the pricing on the WOW system, the hard copy of the contract stands as the price to be charged.

General

Waltons cannot, and does not, guarantee that the Services will be performed entirely without fault or that the system is compatible with all PCs, but will use its reasonable endeavours to correct reported faults as soon as is reasonably practical in the circumstances. If a fault occurs you should report the fault by telephone or e-mail to Waltons will attempt to restore the Services as soon as reasonably practical after any fault. If for any reason the user may decide they no longer require the system, it would be appreciated if we can receive notification of this, so as to send a technician out to remove the program from the relevant PC.

Should you at any stage decide to no longer use the program, it will be appreciated if you could please notify us by e-mail or telephonically to avoid any unnecessary updates being sent out.

SOFTWARE LICENCE AND LIMITED WARRANTY

This is a legally binding agreement between you, your Company and Waltons. By installing and/or using this software, you are agreeing to become bound by the terms of this agreement.

PURCHASE PRICE. This software is issued at no charge to bona fide Waltons’ current account customers. It is never sold.

GRANT OF LICENCE. Waltons grants to you as a bona fide customer, a non-exclusive right to use this software program. (Hereinafter the "Software") in accordance with the terms contained in this Agreement. You may use the Software on a single computer.

UPGRADES. If you acquired this Software as an upgrade of a previous version, this Agreement replaces and supersedes any prior Agreements. You may not continue to use any prior versions of the Software.

OWNERSHIP OF SOFTWARE. Waltons retains the copyright, title and ownership of the Software and the written materials.

COPIES. No copying is permitted. You may not distribute copies of the Software or accompanying written materials to others.

TRANSFERS.

Upon a transfer, you must remove all copies of the Software from the computer from which it was transferred. Upon a transfer to a third party you must destroy all backups. In no event may you transfer, assign, rent, lease, sell or otherwise dispose of the Software on a temporary basis.

TERMINATION. This agreement is effective until terminated. This Agreement will terminate automatically without notice from Waltons if you fail to comply with any provision of this Agreement. Upon termination you shall destroy the written materials and all copies of the Software, including modified copies, if any.

LIMITED WARRANTY. Waltons warrants the media on which the Software is furnished to be free of defects in material and workmanship, under normal use, for a period of ninety (90) days following the date of delivery to you. In the event of defects, Waltons sole liability shall be to replace the defective media. You must return the Software to Waltons during the 90 – day warranty period in order to receive a replacement.

Disclaimer of warranties. Waltons disclaims all other warranties, express or implied, including, but not limited to any implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Should any other warranties be found to exist, such warranties shall be limited in duration to ninety (90) days following the date you receive the Software.

GENERAL. This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa and shall benefit Waltons, its successors and assigns. Any claim or dispute between you and Waltons or against any agent, employee, successor or assign of Waltons related to this software shall be subject to arbitration.

The catalogue and viewing thereof will be used solely for transactions on a business-to-business basis between Waltons and company listed in A above

Any Waltons catalogue information, pricing and any product images hosted on Servers or Intranet may not be used by any other e-procurement or other systems without the prior authority and written consent of Waltons

The successful implementation of this business-to-business relationship and the manner of procurement may not be used as a marketing tool to solicit other parties or business to conduct business with Waltons on a similar basis, without the prior authority and written consent of Waltons.

The catalogue information, pricing and any product images hosted on your companies servers remain the property of Waltons and may be removed from the system should your company and Waltons fail to transact on the basis envisaged.

Every effort is made to ensure that the customer receives the correct pricing the minute it is made available. Waltons can not be held responsible for pricing discrepancies that may arise from updates not being done meticulously on the servers in question.

Our invoicing system is updated promptly with these new contracts and pricing, and the pricing on the invoicing system takes preference over the pricing being displayed on any procurement solution.
